SUPPLY OF GOODS AND SERVICES. 3.1 In consideration of UKRI's agreement to pay the Charges, the Supplier shall supply the Goods and/or Services to UKRI subject to and in accordance with the terms and conditions of the Contract. 3.2 In supplying the Goods and/or Services, the Supplier shall: (a) co-operate with UKRI in all matters relating to the supply of Goods and/or Services and comply with all UKRI's instructions; and (b) comply with all applicable laws. 3.3 The Supplier shall supply the Goods in accordance with the Specification. The Supplier warrants, represents, undertakes and guarantees that the Goods supplied under the Contract shall: (a) be free from defects (manifest or latent), in materials and workmanship and remain so for 12 months after Delivery; (b) be of satisfactory quality (within the meaning of the Sale of Goods Act 1979) and comply with any applicable statutory and regulatory requirements relating to the manufacture, labelling, packaging, storage, handling and delivery of the Goods; (c) conform with the specifications (including the Specification), drawings, descriptions given in quotations, estimates, brochures, sales, marketing and technical literature or material (in whatever format made available by the Supplier) supplied by, or on behalf of, the Supplier; (d) be free from design defects; and (e) be fit for any purpose held out by the Supplier or made known to the Supplier by UKRI expressly or by implication, and in this respect UKRI relies on the Supplier's skill and judgement. The Supplier acknowledges and agrees that the approval by UKRI of any designs provided by the Supplier shall not relieve the Supplier of any of its obligations under this clause 3.3. 3.4 In supplying the Services, the Supplier shall: (a) perform the Services with all reasonable care, skill and diligence in accordance with good industry practice in the Supplier's industry, profession or trade; (b) use Staff who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's obligations are fulfilled in accordance with the Contract; (c) ensure that the Services shall conform with all descriptions and specifications set out in the Specification; (d) not do or allow anything to be done that would, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any way; and (e) provide all equipment, tools and vehicles and other items as are required to provide the Services.

SUPPLY OF GOODS AND SERVICES. 3.1 The Supplier shall provide the Goods and Services to Agency in accordance with the terms and conditions of this Agreement and all applicable Orders. 3.2 The Supplier shall apply such time, attention, resources, trained personnel and skill as may be necessary or appropriate for the supply of the Goods and Services to a high standard. The Supplier may only delegate work to be performed as part of the Services or source Goods required to be supplied to Agency under an Order, to a third party subcontractor, with the prior written approval of Agency. Agency shall also have a right of prior written approval as to the identity of any subcontractors to be appointed by the Supplier in accordance with this Clause 3.

SUPPLY OF GOODS AND SERVICES. 2.1 In consideration of the Charges, the Supplier shall provide the Goods and/or Services specified in each Order to the Company in accordance with the provisions of this Agreement. 2.2 The Company reserves the right to refuse payment for any Services or Goods not ordered on an Order. 2.3 The Supplier shall provide Goods which are without fault and which are of the same quantity, quality and description as specified in the Order and/or in any applicable Specification supplied by the Company to the Supplier. 2.4 The Supplier shall provide the Goods and/or the Services: 2.4.1 with that degree of diligence, prudence and foresight which would reasonably and ordinarily be expected from a skilled and experienced person engaged in a type of undertaking similar to that of the Supplier; 2.4.2 in such a manner as to minimise disruption to the business of the Company; and 2.4.3 as regards the Services only, in accordance with any Service Levels. 2.5 The Supplier shall comply with all Regulations in its provision of the Goods and/or Services. 2.6 The Company shall have the right to inspect and test the Goods at all times and the Supplier shall not unreasonably refuse any request by the Company to inspect and test the Goods during manufacture, processing or storage at the premises of the Supplier or any third party prior to delivery and the Supplier shall provide the Company with all facilities reasonably required for inspection and testing. 2.7 If as the result of such inspection or testing the Company is not satisfied that the Goods will comply in all respects with this Agreement or any Specifications the Supplier shall take all steps necessary to ensure compliance. 2.8 Notwithstanding any such inspection or testing, the Supplier shall remain fully responsible for the Goods until risk in the Goods has passed to the Company in accordance with Condition 4.1 below and any such inspection or testing shall not diminish or otherwise affect the Supplier's obligations under the Agreement. 2.9 The Goods shall be packaged and marked in accordance with the Company's instructions and any applicable Regulations or requirements of the carrier and properly packed and stored so as to reach their destination in an undamaged condition. 2.10 Any Specifications or equipment supplied by the Company to the Supplier, or produced by the Supplier in compliance with its obligations under this Agreement in the provision of the Services shall be the sole and exclusive property of the Company an...
SUPPLY OF GOODS AND SERVICES. 2.1. The Vendor’s quotation constitutes an offer by the Vendor to sell the Goods and/or provide the Services to the Buyer, which shall only be deemed accepted upon the Buyer’s issuance of the Order. Performance by the Vendor shall not entitle the Vendor to claim any payment for the Goods and/or Services where an Order has not been issued by the Buyer. 2.2. The Buyer, its representatives and/or a regulatory body may (but are not obliged to) inspect and test all Goods at the Vendor’s (or its sub-contractor’s) premises at all reasonable times and to reject (at the Vendor’s risk and expense) any Goods that do not or are unlikely to comply with the Agreement. The Vendor must (at the Buyer’s option) repair any rejected Goods, or replace such rejected Goods with Goods that comply with the Agreement prior to the delivery date specified in the Order. Any inspection, testing, or acceptance given by or on behalf of the Buyer shall not relieve the Vendor from any further obligations regarding the Goods under the Agreement. 2.3. The Vendor shall, at its own risk and expense, ensure that the Goods are properly and carefully stored, packaged and transported to prevent loss, damage, contamination and/or deterioration of the Goods in accordance with the Specification (or best industry practice if no such Specification exists). Upon request, each delivery shall be accompanied by a certificate of conformity in a form acceptable to the Buyer. 2.4. The required date for the delivery of the Goods, performance of the Services and delivery of any deliverables from any Services (“Deliverables”) shall be specified in the Order. The time for delivery and performance is of the essence. 2.5. The Vendor must accompany each delivery with an advice or delivery note which clearly states the Buyer’s part number, order number, line number, delivery address and a description of the Goods, Services and/or Deliverables. 2.6. Delivery shall only be deemed to have occurred when the Goods and/or Deliverables have been delivered and unloaded in full (except where partial delivery is expressly agreed in writing in advance), correctly documented, and in good and correct packaging at the address stated in the Order. The Buyer reserves the right to refuse to accept delivery in full or in part in case of strikes, lockouts or force majeure. 2.7. SUPPLY OF GOODS AND SERVICES. The Retailer agrees to sell gas to the Customer at the Customer’s premises and the Customer agrees to purchase gas from the Retailer on the terms and conditions as set out in this contract. The quantity of gas supplied by the Retailer to the Customer will be the amount measured by the Meter at the Customer‘s premises. Under the terms and conditions of this contract, the Retailer will: 1) arrange for connection of the Premises to the Network; 2) supply Gas to the Premises at the Delivery Point; 3) arrange for the provision and maintenance of the Meter; and 4) provide or arrange associated services from time to time, including testing of the Meter in accordance with the requirements of law, disconnection and reconnection. The works set out in paragraphs (1), (3) and (4) above must be in accordance with current Australian gas distribution standards. These services will be provided to the Customer on the terms and conditions provided in this Contract and the Retailer will comply with the relevant Regulations (including the standards of services set out in Part 5 of the Energy Coordination (Customer Contracts) Regulations 2004), the relevant Codes and the Retailer’s Customer Charter. However, the Retailer does not guarantee that Gas will be supplied to the Customer without interruption. The Retailer may disconnect the supply of Gas to the Customer at the Premises, if a Customer has not paid or agreed to pay by instalments any outstanding monies owed to the Retailer for the supply of Gas to the Customer, including the amount of any Gas usage fee or any other fee allowed under the Customer Service Code (refer Clause 9).
SUPPLY OF GOODS AND SERVICES. 2.1 During the continuance of this Agreement OpenAir shall sell and the Company shall purchase such quantities of the Goods and such Services as may be ordered by the Company from time to time subject to the terms and conditions of this Agreement. 2.2 All sales of the Goods and Services by OpenAir to the Company pursuant to this Agreement shall be subject to the terms and conditions set out in the Manual from time to time. 2.3 The Company shall be responsible to OpenAir for ensuring the accuracy and completeness of the terms of any order pursuant to this Agreement, and for giving OpenAir any necessary information relating to the Goods and Services within a sufficient time to enable OpenAir to perform its obligations under this Agreement

SUPPLY OF GOODS AND SERVICES. 2.1 This Agreement applies to the supply of Goods and Services as specified in the Purchase Order. The Purchase Order issued by us will reflect the matters we have agreed between us before its issue. You must review each Purchase Order promptly upon receipt, and if you believe that it does not reflect the matters we have agreed between us (including if you are unable to provide the Goods or Services in accordance with the Purchase Order), or you believe there is any ambiguity or uncertainty in respect of the Purchase Order, you must notify us without delay. We will seek to resolve such matter with you, but until such time as the matter is resolved either Party may terminate this Agreement with immediate effect. 2.2 In consideration of payment of the Price by us, you must supply the Goods and Services to us in accordance with this Agreement. 2.3 We intend to contract for the Goods and Services only on the terms of the Agreement, and not on any other terms. Accordingly, the provision of other terms by either Party will not bind the Parties, will be of no legal effect, and will not constitute a contract or part of this Agreement irrespective of any act by either Party or by any of its Personnel, including execution of any document incorporating (including by reference) any other terms. 2.4 Before you supply the Goods or Services, you acknowledge that you have read and understood these general terms and conditions before making a supply under this Agreement. If you make a supply under a Purchase Order or any other form of order or request by us to supply goods or services, whether or not in writing, these general terms and conditions will apply to that supply. 2.5 You must supply the Goods and Services to us in accordance with this Agreement. 2.6 We will provide you with access to our Site to the extent necessary for you to provide the Goods and Services. 2.7 In providing the Goods and Services you must, and you must ensure that your Personnel: (a) use best endeavours not to interfere with any of our activities or the activities of any other person on our Site, and not adversely affect the security, cleanliness, order or fitness for use of our Site; (b) supply the Goods and perform the Services in a safe manner and by appropriately qualified, skilled and experienced Personnel undertaking all activities, functions and tasks safely, with all due skill and care, and avoiding all undue risk to the environment; (c) comply with all applicable Laws and the applicable...
SUPPLY OF GOODS AND SERVICES. 2.1. Supplier is obliged to supply the goods timeously in accordance with quantity, quality and specification and prices specified in Purchase Order. Must apply the best practices to eliminate and reduce the potential hazards to environment while being compatible with Purchaser’s HSE Standard and Policy when supplying goods and services; 2.2.5. Provide Purchaser with written report of progress and implementation or any other information and assistance requested by the Purchaser in relevance with the goods and services being supplied. 2.3. Supplier warrants the followings in respect of own goods and services to the Purchaser: 2.3.1. Compatibility with Purchase Order, General and Special Terms of this Agreement, its Appendixes, requirements, specifications, photos and description for the ordered goods; 2.3.2. Supplied goods and services are free from defects, manufactured in line with relevant quality, format and design standards and transported in accordance with applicable requirements; 2.3.3.
