Regulatory Compliance and Reporting. The Administrator shall provide to the Company such information with respect to the Reinsured Contracts as is required to satisfy all current and future informational reporting, prior approval and any other requirements imposed by any Governmental Authority. Upon the reasonable request of the Company, the Administrator shall timely prepare such reports and summaries, including statistical summaries, as are necessary or reasonably required to satisfy any requirements imposed by a Governmental Authority upon the Company with respect to the Reinsured Contracts. In addition, the Administrator, upon the reasonable request of the Company, shall promptly provide to the Company copies of all existing records relating to the Reinsured Contracts (including, with respect to records maintained in machine readable form, hard copies) that are necessary to satisfy such requirements. All copies of records furnished in the ordinary course of business shall be furnished by the Administrator at the Administrator’s cost. Any extraordinary costs reasonably incurred by the Administrator in response to requests from the Company shall be reimbursed by the Company. Among other responsibilities:
(i) The Administrator shall promptly prepare and furnish to Governmental Authorities all reports and related summaries (including, without limitation, statistical summaries), certificates of compliance and other reports required or requested by a Governmental Authority.
(ii) The Administrator shall assist the Company and cooperate with the Company in doing all things necessary, proper or advisable, in the most expeditious manner practicable in connection with any and all market conduct or other Governmental Authority examinations relating to the Reinsured Contracts.

Subject to Section 2.3, upon the timely and reasonable request of the Company, the Administrator shall provide to the Company such information with respect to the Reinsured Contracts as is reasonably required to enable the Company timely to comply with regulatory and financial reporting requirements applicable to the Company from time to time. Without limiting the foregoing, the Administrator shall provide the reports and information set forth on Schedule A within the timeframes indicated therein. In addition, and without limiting the Administrator’s obligation to provide the Administrative Services hereunder, upon the timely and reasonable request of the Company, the Administrator shall promptly provide to the Company copies of all existing records relating to the Administered Business (including, with respect to records maintained in machine readable form, hard copies) that are reasonably necessary to satisfy any requirements imposed by applicable Law or any Governmental Entity upon the Company with respect to the Administered Business. All (i) such information and (ii) such records furnished in the ordinary course of business relating to the Administered Business shall be furnished at the Administrator’s sole cost and expense. Without limiting the generality of the foregoing, upon the timely and reasonable request of the Company, the Administrator shall promptly prepare and furnish to the Company all reports and related summaries (including statistical summaries) and other reports required or requested by any Governmental Entity with respect to the Administered Business. Without limiting the foregoing,
(i) As soon as practicable but not more than 15 Business Days after the end of each month that this Agreement is in effect, the Administrator shall provide to the Company reports and summaries of transactions (and upon the reasonable request of the Company, detailed supporting records) related to the Reinsured Contracts as may be reasonably required for use in connection with the preparation of the Company’s GAAP and statutory financial statements (or any consolidated GAAP financial statements of the Company or its Affiliates, as applicable), including all premiums received and all benefits paid. The Parties shall cooperate in good faith to establish the manner for the providing of such reports.

Regulatory Compliance and Reporting. The Company will inform the Administrator of any informational reporting and any other requirements imposed by any Governmental Authority with respect to the Policies. The Administrator shall, within a reasonable time frame, provide to the Company such information with respect to the Policies as is reasonably requested by the Company to enable it to satisfy all such current and future informational reporting and any other requirements imposed by any Governmental Authority. Without limiting the foregoing, the Administrator shall, within a reasonable time frame, (a) prepare such reports and summaries, including statistical summaries, with respect to the Policies as are necessary or useful to satisfy any such requirements imposed by any Governmental Authority upon the Company and
Regulatory Compliance and Reporting. Customer may at various intervals request information from RoseASP to support Customer’s regulatory compliance requirements. RoseASP will make every reasonable effort to provide the requested information within a reasonable period of time. Examples of such information include, but are not limited to, a list of Customer users with access to the RoseASP network, a list of system or backup failures during the relevant period, and a summary of changes and maintenance activity performed during the relevant period.

(b) The Administrator shall promptly prepare and furnish to the Company all reports and related summaries (including statistical summaries), certificates of compliance and other reports required or requested by any Governmental Authority and related to the Policies. Where practicable, the Administrator shall file such reports on behalf of the Company. Otherwise, where reasonably practicable, such reports and summaries shall be in a format so as to allow the Company to input the data contained therein directly into the applicable reports of the Company. The Parties shall cooperate in good faith to establish the manner for the providing of such reports.
(c) The Administrator shall assist the Company and cooperate with the Company in doing all things necessary, proper or advisable in the most expeditious manner practicable in connection with any and all market conduct or other Governmental Authority examinations that include matters involving the Policies.
(d) The Administrator shall provide to the Company such other information with respect to the Policies as is reasonably requested by the Company, including information required to prepare the Insolvency Fund Assessment Accounting in accordance with Section 10.1.

Subject to Section 1.3, the Administrator shall provide to the Company such information reasonably derivable from information within the possession of the Administrator or which is obtainable by the Administrator in the ordinary course of business with respect to the Lincoln VA Contracts as is required to satisfy all current and future informational reporting, prior approval and any other requirements imposed by any Governmental Entity. Upon the timely and reasonable request of the Company, the Administrator shall timely prepare such reports and summaries, including statistical summaries and certifications, as are necessary or reasonably required to satisfy any requirements imposed by a Governmental Entity upon the Company relating to periods following or including the Effective Date with respect to the Lincoln VA Contracts. In addition, the Administrator, upon the timely and reasonable request of the Company, shall promptly provide to the Company copies of all existing records relating to the Lincoln VA Contracts (including, with respect to records maintained in machine readable form, hard copies) that are necessary to satisfy such requirements. All copies of records furnished in the ordinary course of business shall be furnished by the Administrator at the Administrator’s cost. Among other responsibilities:
(i) The Administrator shall promptly prepare and furnish to Governmental Entities, to the extent permitted by Applicable Law, all reports and related summaries (including, statistical summaries), certificates of compliance and other reports required or requested by any such Governmental Entity with respect to the Lincoln VA Contracts relating to periods following or including the Effective Date.
(ii) The Administrator shall assist the Company and cooperate with the Company in doing all things necessary, proper or advisable in a commercially reasonable manner in connection with any and all market conduct or other Governmental Entity examinations to the extent related to Lincoln VA Contracts relating to periods following or including the Effective Date.
Regulatory Compliance and Reporting. 7.1 Commencing on the Inception Date, Administrator shall take all necessary action within its control so that the Insurers, solely with respect to the Business Covered, satisfy all current and future informational reporting and any other requirements imposed by any Regulator. Without limiting the foregoing, Administrator shall timely prepare such reports and summaries, including statistical summaries, as are necessary to satisfy any requirements imposed by a Regulator upon Insurers with respect to the Business Covered. In addition, Administrator, upon the reasonable request of Insurers, shall promptly provide to Insurers copies of all existing records relating to the Reinsured Contracts (including, with respect to records maintained in machine readable form, hard copies) that are necessary to satisfy such requirements.
7.2 Administrator shall reasonably assist Insurers and cooperate with Insurers in doing all things necessary, proper or advisable, in the most expeditious manner practicable in connection with any and all market conduct or other Regulator examinations relating to the Business Covered.

Upon the reasonable request of the applicable Company, the Administrator shall timely prepare such reports and summaries, including statistical summaries and certifications, as are necessary or reasonably required to satisfy any requirements imposed by a Governmental Entity upon such Company relating to periods following the Closing Date with respect to the Administered Contracts and Accounts, in the possession of the Administrator (in a form, and including such information, as agreed between the Companies and the Administrator). All copies of records furnished in the ordinary course of business shall be furnished by the Administrator and any costs incurred in the provision of such copies shall be borne by the Administrator.
