The Employer shall repair or replace all required equipment items required by the Employer which are excessively worn or rendered inoperable not due to negligence on the part of the member. Members are responsible for the repair or replacement of excessively worn, lost, damaged, or inoperable equipment which is due to negligence on the part of the member.

(i) The Customer agrees (for and on behalf of itself and the Vessel Owner) that the Operator shall only be required to obtain a maximum of [three (3)] quotations from contractors in respect of the repair or replacement of damaged terminal infrastructure or equipment.
(ii) In procuring the selection of a contractor to undertake any repair or replacement work and the proposed scope of such work, the Operator shall take into account any reasonable comments raised at the meeting of the appointed experts pursuant to clause 20.3(b).
Repair/Replacement. 1. The Vendor shall initiate response within four (4) business hours and provide incident resolution by the close of the next business day.
2. The Vendor shall be provided access to the customer’s building where the equipment is located as required to fulfill the service request.
3. The Vendor shall coordinate change management activity with the customer utilizing the customers change process. This includes but is not limited to Firmware and host Operating System updates (including emergency releases).
4. The Vendor shall support and accommodate new releases of server host operating system within 9 months of Release to Manufacturer (RTM) release.
Repair/Replacement i. Pending written acceptance by the City of repair/replacement work plan, Contractor shall proceed to complete repair and replacement work.
