RESTRICTIONS AND PROHIBITIONS. Unless otherwise agreed in this Contract or by the Parties separately, the Tenants and the Landlord agree to the followings: 4.1 Installation and Modification 4.1.1 Without the prior written consent of the Landlord which consent shall not be unreasonably withheld with respect to the Tenant’s reasonable request (the Landlord shall grant written consent within five (5) days after the Tenant proposes such request, otherwise it will be deemed that the Landlord has already consented), the Tenant shall not install, or set up or modify any fixed equipment, partition or other facilities. Without such similar consent, the Tenant shall not install any equipment or adjunct on the electrical lines and pipelines, or install or allow installation of any equipment, device or machinery exceeding the originally designed load capacity of the floor, or request addition of electrical system, lines and wiring that are not connected to the Tenant’s electric meter. The Landlord has the right to specify the safety system setting and the maximum weight and the location of other heavy equipments. The Tenant shall satisfy the Landlord’s requirements on the unified schedule of the test work for the water circulation in the water and heating pipelines before November 15. 4.1.2 When carrying out the approved fit-out construction, the Tenant shall procure its employees, agents, contractors and workers to fully cooperate with the Landlord and its employees, agents, contractors and workers. The Tenant and its agents, contractors and workers shall comply with and follow the directions and guidance issued by the Landlord’s representative when carrying out this work. The Tenant is responsible for supervision, management and acceptance. 4.1.3 In the event that the Tenant carries out the construction of installation of electrical, air conditioning and fire fighting systems and related lines and pipes or pipage in order to satisfy its requirement on use, the Tenant and the Landlord shall consult each other and jointly decide the design and construction plans and implement joint management on the construction schedule. The Landlord shall, as much as it possibly can, provide the site and supports for the construction, and assist the Tenant in reporting for approval and acceptance. The Landlord shall focus on the construction and acceptance of the work for heat insulation on the top floor and waterproof curtain walls and use its best efforts to avoid the safety threat and reconstruction.
RESTRICTIONS AND PROHIBITIONS. (a) The Customer must not (and must not permit any of its Personnel to): (i) assign, sub-license, transfer, sell, lease, rent, charge or otherwise deal in ProcurePro, make ProcurePro available to any third party or use ProcurePro to provide services to any third party, except as set out in this Agreement, or as otherwise agreed between the parties from time to time; (ii) copy, reproduce, decompile, disassemble, reverse compile or otherwise reverse engineer all or any portion of ProcurePro, including any source code, object code, algorithms, methods or techniques used or embodied therein; or (iii) permit any software or other program to be written or developed based on or derived from ProcurePro; (iv) use ProcurePro: (A) in a way which is offensive, indecent, menacing, a nuisance or defamatory; (B) to send, knowingly receive, upload, download, store, display or use any material which is offensive, abusive, indecent, defamatory, obscene or menacing or which is in breach of copyright, confidence, privacy or any other third party right (including Intellectual Property Rights); (C) in connection with the commission of any criminal offence, in an unlawful or fraudulent manner or in contravention of any legislation, laws, regulations, codes of practice, or licence conditions or in breach of any third party rights (including Intellectual Property Rights); (D) to "spam" or to send or provide unsolicited advertising or promotional material or to knowingly receive responses from "spam" or unsolicited advertising or promotional material sent or provided by the Customer or any third party acting on its behalf; (E) or perform its obligations under this Agreement in a manner that breaches any applicable law; (F) to knowingly upload or make available any virus, other malicious code or corrupt data or otherwise threaten the integrity or security of any computer (including by disclosing passwords); or (G) in a way that has a material adverse effect on any telecommunications network. (b) The Customer must comply with, and must ensure that Users that are its Personnel comply with, the Acceptable Use Policy. (a) Except as otherwise set out in an Order Form, the Customer is responsible for: (i) properly configuring and setting-up ProcurePro; and (ii) taking appropriate action to secure, protect and backup Customer accounts and Customer Material contained in ProcurePro in a manner that will provide appropriate security and protection, which might include use of encryption to pro...

RESTRICTIONS AND PROHIBITIONS. 5.1 You shall not: (i) analyse, decompile, “unlock,” decode, disassemble, reverse engineer, reverse translate or attempt to discover or reconstruct any source code of the Software for any purpose, nor shall You cause a third party to do so; (ii) attempt to disable, tamper with or bypass the Licence Key system or any other licence enforcement technology incorporated into the Software; (iii) copy, reproduce, modify, adapt, improve, enhance, translate or create derivative works based on the Software or any accompanying materials; (iv) violate any applicable laws, rules or regulations in connection with Your use of the Software, or use the Software other than in accordance with the instructions or documentation provided by Modality Systems; (v) remove, alter or obscure any watermark or proprietary notice (including any notice of copyright or trademark) of Modality Systems or its affiliates and partners; (vi) use the Software for creating a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for any services, product or software offered by Modality Systems; or (vii) distribute, resell or permit access to the Software by any third party. 5.2 The Software may be installed on any number of computers, provided that the number of users You allow to use the Software does not exceed the number of Licences granted from Modality Systems, as stated in Your Software Documentation.
RESTRICTIONS AND PROHIBITIONS. Subject to the foregoing, Parties will adhere to the following restrictions and prohibitions in their Trust investments: 1. Transactions with current or prospective related parties (“self dealing”), including individuals employed by a Party, and a parent or affiliated company of a Party, are prohibited. Securities lending will not be considered a “self dealing” transaction. 2. The average credit quality of a Trust’s fixed income securities will be rated an equivalent “A2/A/A” or higher by Moody’s, S&P, or Fitch respectively. If all three rating agencies rate a security, the middle rating will be used. When two agencies rate a security, the lower rating will be used. If the security is not rated by one of the three rating agencies listed above, the investment manager’s internal rating will be used. The market value of unrated securities cannot exceed 5% of the aggregate market value of a Trust’s fixed income allocation. Cash and cash equivalent securities will be rated an equivalent “Aaa/AAA/AAA” or “P-1, A-1, F1” by Moody’s, S&P, or Fitch respectively. 3. Securities lending is permitted, provided that the program’s collateral investment vehicle complies with the standards for Permitted Investments contained herein.
