S ubcontracting. No portion of this Agreement shall be subcontracted without prior written consent of the Residency Administrator. In the event that the Contractor desires to subcontract part of the work specified herein, the Contractor shall furnish the Residency Administrator with the names, addresses, contact persons, qualifications, references, type(s) of work to be performed, and the experience of their proposed subcontractors for VDOT’s approval. The Contractor shall; however, remain fully liable and responsible for the work to be done by its subcontractor(s) and shall assure compliance with all requirements of the Agreement.
S ubcontracting. With Idorsia’s prior written consent in each instance, Institution and/or Investigator may subcontract the performance of certain activities under this Agreement to qualified third parties, provided that (i) such third parties perform the activities in a manner consistent with the terms and conditions of this Agreement, (ii) Institution remains liable for such third parties’ performance, and (iii) Investigator has no direct or indirect financial interest in any such third parties.
S ubcontracting. When deemed necessary to carry out the purpose(s) of this Agreement, Provider may subcontract; provided, however, that before subcontracting Provider shall disclose, in writing, to the Agency Agreement Manager, the individual or entity Provider intends to subcontract with along with a brief summary of what Agreement work the proposed subcontractor shall be doing or assisting with. Those subcontracts referenced under “Recitals” in this Agreement shall be considered exempt from this process. Agency shall have until the fifth (5TH) working day after receiving the disclosure to notify the Provider (by telephone and written confirmation, email or surface mail) of its approval or disapproval of the proposed subcontractor. All subcontracts shall be:
a. memorialized in substantially the same form as Agency’s standard Intergovernmental Agreement form.
b. procured in accordance with all applicable federal, state, and/or Xxxxx County Board of Commissioners rules, regulations, policies and procedures. Provider shall be responsible for submitting a copy of each subcontractor agreement to Agency within thirty (30) days of the later of (i) the effective date of this Agreement; or (ii) the date subcontractor is engaged by Provider.
S ubcontracting. County may subcontract with any third party for Services related to this Agreement with notice to the City.
S ubcontracting. The Contractor shall not subcontract any portion of the services to be performed under this Contract without the prior written approval of the Agency and the State Auditor. An agreement between the Contractor and a subcontractor to subcontract any portion of the services under this Contract shall be completed on a form prescribed by the State Auditor. The agreement shall be an amendment to this Contract and shall specify the portion of the audit services to be performed by the subcontractor, how the responsibility for the audit will be shared between the Contractor and the subcontractor, the party responsible for signing the audit report and the method by which the subcontractor will be paid. Pursuant to Section 2.2.2.8 NMAC, the Contractor may subcontract only with independent public accounting firms that are on the State Auditor's List of Approved Firms, and that are not otherwise restricted by the State Auditor from entering into such a contract.
S ubcontracting. The Contractor may only subcontract work contemplated under this Contract if it obtains the prior written approval of COMMERCE. If COMMERCE approves subcontracting, the Contractor shall maintain written procedures related to subcontracting, as well as copies of all subcontracts and records related to subcontracts. For cause, COMMERCE in writing may: (a) require the Contractor to amend its subcontracting procedures as they relate to this Contract; (b) prohibit the Contractor from subcontracting with a particular person or entity; or (c) require the Contractor to rescind or amend a subcontract. Every subcontract shall bind the Subcontractor to follow all applicable terms of this Contract. The Contractor is responsible to COMMERCE if the Subcontractor fails to comply with any applicable term or condition of this Contract. The Contractor shall appropriately monitor the activities of the Subcontractor to assure fiscal conditions of this Contract. In no event shall the existence of a subcontract operate to release or reduce the liability of the Contractor to COMMERCE for any breach in the performance of the Contractor’s duties. Every subcontract shall include a term that COMMERCE and the State of Washington are not liable for claims or damages arising from a Subcontractor’s performance of the subcontract.
S ubcontracting. Contractor may subcontract all or any portion of the work relating to the construction, commissioning and maintenance of the Project to subcontractors. Regardless of subcontracting arrangements, Contractor shall be responsible for the performance of this Agreement, including all reporting to NYSERDA, and the continued operation and maintenance of the Project, unless this Agreement has been assigned pursuant to §14.6. Contractor shall remain ultimately responsible and engages to the same extent as if such acts or omissions were made by Contractor or its employees. Nothing contained herein shall create any contractual rights in any subcontractor against NYSERDA. The Contractor shall not, without prior written permission from NYSERDA, knowingly subcontract with, employ or hire any individual or company to perform work under this Agreement if said individual or company is currently in a probation or suspended status or whose past participation in the Bulk Energy Storage Incentive Program or any other NYSERDA PON or program has been suspended or terminated. For each subcontract valued at $100,000 or more, the Contractor shall obtain and maintain a completed Vendor Assurance of No Conflict of Interest or Detrimental Effect form (Exhibit E) from such subcontractor prior to the execution of the subcontract. Such form shall be made available to the Contractor by NYSERDA. Each such subcontract shall contain a provision whereby the subcontractor warrants and guarantees that there is and shall be no actual or potential conflict of interest that could prevent the s of duties required to be performed pursuant to the terms of the subcontract and that the subcontractor shall have a duty to notify NYSERDA immediately of any actual or potential conflicts of interest.
S ubcontracting. The Contractor agrees that he is completely responsible to the Owner for the acts or omissions of his subcontractors and of the persons either directly or indirectly employed by them, as he is for the acts and omissions of persons employed by him. Nothing contained in the Contract documents shall create any contractual relationship between any subcontractor and the Owner, however should the Owner or City on behalf of the Owner be required to expend funds to subcontractors or for another contract as necessary for completion of the contract work, it is agreed by the Contractor that reimbursement will be made to the Owner or City and that any court costs or attorney fees expended to finalize contract requirements will be paid by the primary contractor.
S ubcontracting. Data Controller hereby provides Data Processor with a general written authorization to employ sub-processors under this Data Processing Agreement. Data Processor informs Data Controller of any intended changes concerning the addition or replacement of sub- processors, thereby giving Data Controller the opportunity to object to such changes. Subcontractors used are listed in Annex 2. Where Data Processor subcontracts its obligations under the Data Processing Agreement, Data Processor shall ensure that the subcontract imposes substantially the same obligations on the subcontractor as are imposed on Data Processor under this Data Processing Agreement. Data Processor shall prior to and regularly during the term of the subcontract supervise the technical and organizational measures which are necessary to protect Data and were implemented by the subcontractor. Data Controller agrees that Data Processor has a general consent to use the Data Processor’s Affiliates as Sub-Processors when Processing Personal Data.
S ubcontracting. The Contracting State Agency shall not assign this lnteragency Agreement or enter into a subcontract for any of the services performed under this lnteragency Agreement without obtaining the prior written approval of the Procuring State Agency. Notwithstanding any use of approved subcontractors, the Contracting State Agency shall be the prime contractor and shall be responsible for all work performed.
