Scope of duties and responsibilities. The Employee shall provide 22 calls per year which will be one weeknight and one weekend call during the months when in the generalist call pool. The option for additional general OB/GYN call coverage will be offered to Fellows in good standing and who meet the standard required number of calls per quarter (9). The additional calls must be concurrent with Department needs. This call shall be compensated to the Employee on a quarterly incentive basis at the appropriate General OB/GYN rate at the time of service as detailed in the table contained in Exhibit B below. Scope of duties and responsibilities. The Employee shall: conscientiously, effectively and timely perform his/her duties and exercise rights granted and functions assigned to him/her by the Employer; implement an operational strategy designed by the Employer; devote his/her time, attention and skills to the performance of duties; keep confidential the amount of remuneration actually agreed and received hereunder; display creative initiative and notify the Employer without delay of any events arising as a consequence of performing duties under the employment relationship, and of any other manifestations of the Employee’s activity that do not independently constitute the subject-matter of a work of authorship; follow all guidelines, instructions, resolutions, decisions and other recommendations of the Employer, and provide explanations and information on the Employer’s request; protect and take care of the Employer’s property. The Employee shall, during the term of this contract, refrain from any activity that would be contrary to the Employer’s interests, and in particular shall not undertake any employment under an employment contract or any other legal relationship with any other entity without obtaining the Employer’s written consent. The Employee shall notify the Employer without delay of any conflict of interest that renders it difficult or impossible for the Employee to provide work to the Employer. A detailed scope of the Employee’s duties is attached as Schedule 1 hereto which constitutes an integral part hereof.

Responsibilities under the General Conditions of the Contract for Construction: In addition to the responsibilities herein set forth, Consulting Engineer/Architect agrees to be responsible for those matters identified in the General Conditions as being responsibilities of the Consulting Engineer/Architect. Maintains inventory, records and standards (a) Maintains records related to work orders, chargebacks, preventive maintenance programs, and inventory; (b) Assists in the estimating and ordering of materials.

  • Responsibilities 1. Subject to the provisions of this Agreement, BNY shall with respect to each Specified Country select an Eligible Foreign Custodian. In connection therewith, BNY shall: (a) determine that assets of the Funds held by such Eligible Foreign Custodian will be subject to reasonable care, based on the standards applicable to custodians in the relevant market in which such Eligible Foreign Custodian operates, after considering all factors relevant to the safekeeping of such assets, including, without limitation, those contained in paragraph (c)(1) of the Rule; (b) determine that the Funds’ foreign custody arrangements with each Eligible Foreign Custodian are governed by a written contract with the Custodian which will provide reasonable care for the Funds’ assets based on the standards specified in paragraph (c)(1) of the Rule; (c) determine that each contract with an Eligible Foreign Custodian shall include the provisions specified in paragraph (c)(2)(i)(A) through (F) of the Rule or, alternatively, in lieu of any or all of such (c)(2)(i)(A) through (F) provisions, such other provisions as BNY determines will provide, in their entirety, the same or a greater level of care and protection for the assets of the Funds as such specified provisions; (d) monitor pursuant to the Monitoring System the appropriateness of maintaining the assets of the Funds with a particular Eligible Foreign Custodian pursuant to paragraph (c)(1) of the Rule and the performance of the contract governing such arrangement; and (e) advise the Funds whenever BNY determines under the Monitoring System that an arrangement (including, any material change in the contract governing such arrangement) described in preceding clause (d) no longer meets the requirements of the Rule.
