Seller Support Sample Clauses

Seller Support. All initial inquiries for support from Distributor shall be made to Seller by emailing xxxxxxx@xxxxxxxxx.xxx or via direct phone access. Access to support outside of Seller’s primary business hours of support will be made available on a best effort basis and is not guaranteed. Primary business hours are defined as Monday through Friday, 8:00am to 5:00pm Pacific Time, excluding Seller-observed holidays.
Seller Support. In recognition of the on-going profit share arrangement contemplated by this Agreement, Seller agrees to provide the Manager and other senior level personnel of the Company, as well as the manager and senior level personnel of any New Business, with reasonable access to Mxxxxxx X. Xxxxx, Gxxxxx Xxxxxxxx and Jxxxx X. Xxxxxxxx (for so long as such individuals are employed by the Seller), for the purpose of seeking general business advice and in the case of Mx. Xxxxxxxx, general legal advice and counsel, In addition, the Seller agrees to provide access to, and use of, one office and the conference room (on an as available basis) at the Seller’s office located at 400 Xxxxxxxxx Xxxxxx, Xxxxx 0000, Xxx Xxxx Xxx Xxxx.
Seller Support. A. As per the Operating and Maintenance Contract, for a the period set forth in the Operating and Maintenance Agreement, the Seller will make available to the Purchaser replacement parts and repair service for the System as may be reasonably necessary for its operation, maintenance or repair, with exception of the composite alloy rods. Where identical parts cannot be supplied, the Seller shall provide fully compatible parts with characteristics equal or superior to those originally provided by the Seller. Such parts and services shall be provided under commercially reasonable conditions of price and delivery as set forth in more detail in the Operating/Maintenance Contract. B. Notwithstanding Article 11(A), if for any reason the Seller or Seller's suppliers intend to cease or ceases manufacturing or having manufactured identical or fully compatible replacement parts, the Seller shall use reasonable efforts to give one year's prior written notice to the Purchaser to allow the Purchaser to order from the Seller any required replacement parts and shall provide full details of the arrangements to provide equivalents.
Seller SupportBuyer and Buyer’s employees shall be responsible for migrating the Subject Business and the Seller Customers to Buyer’s systems. Notwithstanding the foregoing, for the six (6) month period following the Closing Date and during the Services Period, in the event Buyer requires minimal transition assistance as described on Schedule 18, attached hereto (the “Transition Services”), from Seller, Seller agrees to provide or cause to be provided such Transition Services to Buyer, at no cost to Buyer; provided, however, that (a) Buyer and Seller shall mutually agree on the scope and time schedule for such Transition Services, (b) Seller shall make its employees available to Buyer on an “as-available” basis such that Seller may prioritize Seller projects or any other projects above the Transition Services to be provided to Buyer; (c) such Transition Services shall be provided on an “as is-where is” basis such that Seller makes no express or implied representations or warranties of any kind whatsoever, including any representations or warranties as to the condition, merchantability, or fitness for a particular purpose, concerning any of the Transition Services; (d) Buyer shall provide any and all equipment, hardware and internet connectivity requirements it may need in connection with the receipt of Transition Services; and (e) Seller reserves the right to stop or suspend the provision of Transition Services in the event Buyer fails to provide the Switching Services.
Seller Support. If requested by Buyer and agreed to by Seller in a Change Order, Seller shall provide technical support to Buyer to assist Buyer to start up, validate and manufacture the Products at Buyer’s facilities. Such services will be paid for by Buyer as provided in a Change Order.
Seller Support. Buyer agrees to provide Seller with the support services detailed below for those products and contracts in existence with Seller at date of Closing of the Agreement until such time the Seller no longer requires the service. This service shall be at no cost to seller except where detailed in Clause 3 below.

  • Customer Support If Customer is entitled to receive Customer Support as part of a separately purchased Service Plan, Sage warrants that while Customer’s Service Plan is in effect and if it has paid all required Service Plan fees, Sage will use qualified personnel to provide Customer Support in a professional manner consistent with industry standards. Customer’s sole remedy under this section 5.2 is limited to Sage’s re-performance of the Customer Support services giving rise to Customer’s claim.

  • Customer Support and Closing A. Agent shall provide support to Referred Client in their evaluation and negotiation for the purchase or sale of real estate in addition to the following duties: i. Provide Referred Client with qualified local vendor sources to facilitate the sale; ii. Assist Referred Client throughout the transaction, acting within applicable standards of care at all times; iii. Use professional knowledge and skills to negotiate for Referred Client purchase or sale of property; iv. Agent agrees to at all times fully comply with all laws, statutes, ordinances, rules, regulations, and orders applicable to this Agreement. B. Agent shall provide XXXX.xxx with the contact information for the Title Officer, Xxxxxx Officer and/or Closing Agent within 48 hours of an offer being accepted. Agent shall deliver this information via email to xxxxxxxxxxxx@xxxx.xxx RECIPIENT BROKER: XXXX.XXX: C. Agent shall deliver or coordinate with the Title, Escrow or Closing Agent to deliver to XXXX.xxx a copy of the Closing Statement within 48 hours of Closing. Agent will confirm Closing and coordinate the payment of Referral Fees to XXXX.xxx by the Closing Agent at Closing. Closing updates shall be reported by Agent to XXXX.xxx via email to xxxxxxxxxxxx@xxxx.xxx.

  • Customer Support and Training System Agency will provide support for the CMBHS, including problem tracking and problem resolution. System Agency will provide telephone numbers for Grantees to obtain access to expert assistance for CMBHS-related problem resolution. System Agency will provide initial CMBHS training. Grantee shall provide subsequent ongoing end-user training.

  • CHILD SUPPORT CERTIFICATION Under Section 231.006, Texas Family Code, the Engineer certifies that the individual or business entity named in this contract, bid, or application is not ineligible to receive the specified grant, loan, or payment and acknowledges that this contract may be terminated and payment may be withheld if this certification is inaccurate. If the above certification is shown to be false, the Engineer is liable to the state for attorney’s fees, the cost necessary to complete the contract, including the cost of advertising and awarding a second contract, and any other damages provided by law or the contract. A child support obligor or business entity ineligible to receive payments because of a payment delinquency of more than thirty (30) days remains ineligible until: all arrearages have been paid; the obligor is in compliance with a written repayment agreement or court order as to any existing delinquency; or the court of continuing jurisdiction over the child support order has granted the obligor an exemption from Subsection (a) of Section 231.006, Texas Family Code, as part of a court- supervised effort to improve earnings and child support payments.

  • Child Support (Applicable if the Party is a natural person, not a corporation or partnership.) Party states that, as of the date the Agreement is signed, he/she: a. is not under any obligation to pay child support; or b. is under such an obligation and is in good standing with respect to that obligation; or c. has agreed to a payment plan with the Vermont Office of Child Support Services and is in full compliance with that plan. Party makes this statement with regard to support owed to any and all children residing in Vermont. In addition, if the Party is a resident of Vermont, Party makes this statement with regard to support owed to any and all children residing in any other state or territory of the United States.

  • Minimum Customer Support Requirements for TIPS Sales Vendor shall provide timely and commercially reasonable support for TIPS Sales or as agreed to in the applicable Supplemental Agreement.

  • Life support equipment (a) If a person living or intending to live at your premises requires life support equipment, you must: (i) register the premises with your retailer or with us; and (ii) provide medical confirmation for the premises. (b) Subject to satisfying the requirements in the Rules, your premises may cease to be registered as having life support equipment if medical confirmation is not provided to us or your retailer.

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • STUDENT SUPPORT SERVICES The Parties will identify and collaborate on measures to assist those students who may not be performing satisfactorily to succeed. The School will seek guidance from the College designee(s) in the areas of test preparation, tutoring, College Connection services, academic advising, and the development of an integrated support system for Students across the two institutions. Students will have access to the same or similar tutoring and other academic support as provided for other students in the School District, School and College. To promote academic success, the Parties will provide academic support services as may be needed. The School counselor and its designee will work to ensure Students receive pertinent information regarding higher education, financial assistance, and assistance waivers for tuition and fees. As needed, each Party will assist families as they complete initial application and admission requirements per the respective organizations’ processes. The School District will be responsible for non-academic counseling services and the College is authorized, but not required, to provide emergency counseling intervention services. See section 4 – Disability Support Services.

  • Customer Notification By executing this Agreement, the Advisor acknowledges that as required by the Advisers Act the Sub-Advisor has supplied to the Advisor and the Trust copies of the Sub-Advisor’s Form ADV with all exhibits and attachments (including the Sub-Advisor’s statement of financial condition) and will promptly supply to the Advisor copies of all amendments or restatements of such document. Otherwise, the Advisor’s rights under federal law allow termination of this contract without penalty within five business days after entering into this contract. U.S. law also requires the Sub-Advisor to obtain, verify, and record information that identifies each person or entity that opens an account. The Sub-Advisor will ask for the Trust’s legal name, principal place of business address, and Taxpayer Identification or other identification number, and may ask for other identifying information.
