Spare Parts and Consumables. The Seller shall provide the Buyer with all spare parts and consumables required for Startup and Commissioning of the Seller’s Work at the Seller’s own cost and expense.
Spare Parts and Consumables. 17.1. Without derogating from Supplier's undertaking to provide the Warranty, Supplier undertakes that during a period of twenty (20) years commencing on the date of issuance of the Final Acceptance Certificate, it will supply ISR with all Consumables Spare Parts and tools and updates necessary and recommended pursuant to (i) the Technical Specifications, (ii) the applicable manufacturer specifications, and (iii) the best professional practice, required for maintenance and for the repair of the RSDEV or any part thereof, while assuring that the RSDEV and all systems therein shall operate and perform to the maximum extent of its capabilities and in all respects in strict accordance with the terms and the conditions of this Agreement, including the Technical Specifications (the "Spare Parts").
17.2. Without derogating from the generality of Section 17.1, Supplier shall furnish a detailed Spare Parts List and Work Consumables and maintenance consumables of all necessary and recommended Spare Parts and Work Consumables and maintenance consumables and their prices, in the form attached hereto as Annex M F2 by the Effective Date (the "Spare Parts List and Work Consumables and Prices") no later than 60 days prior to Delivery time of the RSDEV. The Spare Parts List and Work Consumables and Prices shall be in English or Hebrew and shall quote the delivery time, description, original manufacturer's name, part number of original manufacturer and the prices DAP ISR's Site for each Spare Part and Consumables, and subject to the terms specified in Section 11.111.
1. The Spare Parts List and Prices shall be linked in accordance with the linkage mechanism set forth in the Consideration Annex. If Supplier foresees that it will be unable to manufacture and/or supply any or all Spare Parts, for any reason whatsoever, it shall notify ISR in writing six (6) months in advance, so that ISR can make any arrangements necessary to obtain alternate spare parts and Supplier shall support ISR in making all arrangements.
17.3. Notwithstanding the undertaking of Supplier to sell ISR the necessary Spare Parts for a period specified in Section 17.1 above, ISR shall be under no obligation whatsoever to acquire any Spare Parts from Supplier. ISR, in its sole discretion, shall decide if, and when, it will acquire the Spare Parts from Supplier during the relevant time period. Supplier shall reasonably support ISR in acquiring the Spare Parts even if ISR shall decide not to purchase the Spare ...
Spare Parts and Consumables. When the production or purchasing of the Equipment has terminated or permanently ceased, Seller shall, unless the PSA specifically provides otherwise, remain responsible for supply of Spare Parts and Consumables for seven (7) years from the date of whichever applies of the following: Do Not Duplicate Without Permission 38 Master Program Agreement XC/FX Confidential Signature Version Controlled Distribution
(a) termination of production of Equipment; or
(b) stop order taking (“SOT”) date of Equipment if the Equipment is made by a third party. In the event that Buyer requires an end of life purchase for Spare Parts and Consumables for use after such seven-year period, Buyer is responsible to make that purchase during such seven (7) year period and to keep the inventory. If Seller should encounter or anticipate difficulty in supplying any Spare Parts or Consumables for the aforementioned seven (7) year period of supply, Seller will promptly notify Buyer and the parties will work in good faith to find an acceptable solution. If Buyer requests in writing an extension to the Stop Order Taking date for Spare Parts or Consumables, the Parties agree to discuss and negotiate the date, however, Seller reserves the right to determine the actual SOT date. The parties recognize that in instances where Equipment comprises individual modules manufactured by third parties such as, without limitation, certain DFE’s, the Seller may anticipate, based upon its agreement with such independent supplier, that the aforementioned seven (7) year period may not be available for such individual modules and related Options, Consumables, and Spare Parts. In such instances, Seller will inform Buyer, and the PSA will incorporate end-of-life terms based upon the terms available from the independent supplier. Seller agrees to use good faith efforts to negotiate end-of-life terms that provide the aforementioned seven (7) year period whenever such terms are reasonably possible.
Spare Parts and Consumables. (a) During the Term of this Agreement, O&M Contractor shall provide and inventory Spare Parts for the WECs and shall provide services related to Spare Parts and Consumables as set forth in Section I.C of Exhibit B.
(b) All material and Spare Parts procured or utilized by O&M Contractor for performance under this Agreement during the term of any equipment warranties shall be of specification and quality required so as to in no way invalidate such warranties, or any portion thereof. Spare Parts may include new, used or rebuilt parts, provided that any used or rebuilt parts shall comply with the requirements set forth in Exhibit N.
Spare Parts and Consumables. 1) Provision of and periodic updating of, a list of Spare Parts reasonably necessary for the performance of the services under this Agreement, and
2) Provision of day-to-day Consumables required for the performance of the services set forth in this Agreement.
Spare Parts and Consumables. The Contractor shall provide as part of this EPC Contract a sufficient quantity of consumable parts and materials such as gaskets, seals, lubricants, hand-hole covers, computer paper, recorder charts, ink, binary working fluid, chemicals etc., and Binary Plant spares for its use during erection, testing and commissioning. The Contractor shall also recommend to the Owner an inventory of spare parts and consumables for the Binary Plant to enable the Owner to carry out routine maintenance as recommended by the manufacturer. The Owner may order all or any number of the spare parts recommended to it by the Contractor at its own discretion. All spares supplied shall be strictly interchangeable with the parts which they are intended to replace and shall be tested and packed for long storage under the climatic and atmospheric conditions prevailing at Site. Any spare having a limited shelf life or requiring a special storage condition shall be separately identified. Each spare shall be clearly marked with the description, purpose and Plant Identification code. If the Contractor's practice is to assign its part numbers to parts purchased from other manufacturer's, a part number list shall be furnished which provides a cross-reference between the Contractor's Plant Identification code and the part of the original supplier.
Spare Parts and Consumables. Turbine Supplier shall provide to Buyer a listing of recommended spare parts, including any spare parts lists obtained from equipment manufacturers relating to the Work. Turbine Supplier agrees to sell Buyer spare parts for the repair of each Turbine or, if it is unable or otherwise fails to do so, permit Buyer to use the Turbine Specifications and manufacturing drawings with respect thereto, for a period of twenty (20) years from the date of Final Turbine Completion. The purchase price of such parts does not include the cost of shipping, insurance, sales or use taxes, customs or duties, or other similar charges, all of which shall be the responsibility of Buyer. Turbine Supplier shall provide Buyer with a schedule of all consumables required for assembling, erecting and installing Supply Items, including consumables such as lubricants, paint, welding materials and supplies, rods, bolts, nuts, gaskets, filters, silicon seals, insulating tape and other items normally consumed in the assembly, erection, and installation of the Supply Items (“Installation Consumables”). Turbine Supplier shall provide, as part of its start-up services, all spare parts and consumables required for commissioning and start-up testing of Supply Items.
Spare Parts and Consumables. The Design-Build Contractor shall have delivered and placed into storage at the WWTP all spare parts and Consumables required by the applicable Technical Specifications; and
Spare Parts and Consumables. In order to be able to provide rapid assistance to the End User in the event of service, the Partner should be in a position to replace required spare parts quickly (within 3 working days at the latest) and in an uncomplicated manner. This means in detail: vhf provides the Partner with a list of spare parts and consumables including a storage recommendation according to the number of Products to be serviced. The Partner should set up its stock in the same way. Spare parts and consumables are not provided by vhf on a consignment basis. The Partner monitors the stock independently and replenishes it in good time. In particular, the exchange of parts and assemblies listed on the spare parts list is carried out independently by the Partner. — Spindle replacement — Replacement of tool magazine inserts — Control unit exchange The exchange of parts and assemblies which are not explicitly listed on the spare parts list may also be the responsibility of the Partner, especially if the Partner is supported by additional repair instructions from vhf.
Spare Parts and Consumables. 8.01 Spares Listing - ACS and Xerox shall mutually agree on a list of spares -------------- which shall be designated as the recommended Spares. Such list shall be set forth in Exhibit C hereto. Exhibit C will be completed by no later than March 15, 1996. Prices of the Spares shall be established so that the total prices for all the Spares required to completely manufacture one printer shall not exceed one hundred thirty percent (130%) of the price for the applicable ACS printer listed in Exhibit C hereto.
