Seniority of Employees Transferred Out of Unit. An employee transferred from the bargaining unit shall continue to accrue seniority for three (3) months thereafter. If within the three (3) months' period he is returned to the bargaining unit, he may exercise his seniority to return to his former job. An employee may exercise the rights described in the previous two sentences only once during the term of this Agreement. Employees with seniority in the bargaining unit transferring out of the unit and remaining out of the unit for three (3) consecutive months or more, who are thereafter transferred back into the bargaining unit, shall commence work as hourly rated employees with no seniority ranking.

Seniority of Employees Transferred Out of Unit. (a) If an employee is or has been transferred out of the unit to a position in the Plant Protection Department prior to March 1, 1977 and is thereafter transferred to a position within the unit, the employee shall return to the district, classification and shift from which the employee was transferred with accumulated seniority up to March 1, 1977. (b) If an employee who is or has been transferred pursuant to the terms of Subsection (a), is subsequently transferred to a salaried position outside the Plant Protection Department prior to March 1, 1977, the employee shall continue to accumulate seniority in the unit up to March 1, 1977 for a period of time not to exceed twelve (12) months from the time transferred out of the Plant Protection Department, after which time the employee shall return to the unit with seniority the employee had at the time of transfer from the unit. (c) If an employee is or has been transferred to a salaried position not included in the unit or the Plant Protection Department prior to March 1, 1977, the employee shall accumulate seniority in the unit from which the employee was transferred up to March 1, 1977 for a period of time not to exceed twelve (12) months from the time transferred out of the unit. If, during this period, the employee is transferred again to a position within the unit, the employee shall return, to the district, classification and shift provided the employee has sufficient seniority from which the employee was transferred, with accumulated seniority. After this period, the employee shall return to the unit with the seniority the employee had at the time of transfer from the unit. (d) If an employee is transferred to a position not included in the unit on or after March 1, 1977 and is again transferred to a position in a unit, the employee shall commence work with the amount of seniority the employee had at the time of his transfer from the unit. (e) An employee who is transferred out of the bargaining unit subsequent to January 1, 2003, shall retain the seniority held at the time of such transfer but not accumulate seniority during period of such transfer if the employee is transferred back within one (1) year. If the employee is transferred back to the bargaining unit after one (1) year, the employee will assume date of entry seniority. (c02)

  • Disability of Employee If the Employee, in the reasonable opinion of the Company, is unable to perform his duties under this Agreement by reason of incapacity, either physical or mental, as determined in accordance with the MIIX Group of Companies Long Term Disability Group Benefit Plan (the "LTD Plan"), or similar plan which may be in effect from time to time, the Company shall have the right to terminate the Employee's employment upon written notice to the Employee, whereupon such termination shall be effective as of the date specified in such notice (the "Termination Date") and the Company shall have no further obligations under this Agreement, except the obligation to pay to the Employee: (1) the balance of his accrued and unpaid Base Salary, (2) unreimbursed expenses, (3) unused, accrued vacation time (up to a maximum of three weeks) through the Termination Date, (4) any other applicable severance payments provided for in Section 4 hereof, and (5) any other benefits earned by the Employee and vested (if applicable) as of the Termination Date under any employee benefit plan of the Company or its affiliates in which the Employee participates. If the Company determines not to terminate the Employee's employment in the event of a disability as allowed under this Section 3.2, the Company shall continue to pay Base Salary to the Employee for a period of up to ninety days, and shall pay the difference between Base Salary and benefits paid to the Employee under the LTD Plan for a period of up to six months thereafter, paid in accordance with the Company's normal payroll practices, while the Employee is not working. If the Employee, in the reasonable opinion of the Company, remains disabled at the end of such nine month period, his employment shall be deemed terminated and he shall receive the benefits provided for in this Section 3.2.

  • Continuity of Employment This Option shall not be exercisable by the Grantee in any part unless at all times beginning with the date of grant and ending no more than three (3) months prior to the date of exercise, the Grantee has, except for military service leave, sick leave or other bona fide leave of absence (such as temporary employment by the United States Government) been in the continuous employ of the Company or a parent or subsidiary thereof, except that such period of three (3) months shall be one (1) year following any termination of the Grantee's employment by reason of his permanent and total disability.

  • Termination of Employment; Change in Control (i) For purposes of the grant hereunder, any transfer of employment by the Optionee among the Corporation and the Subsidiaries shall not be considered a termination of employment. Except as set forth below in this Section 4(c)(i), if the Optionee's employment with the Corporation shall terminate for any reason, (a) the Option (to the extent then vested) may be exercised at any time within ninety (90) days after such termination (but not beyond the Term of the Option) and (b) the Option, to the extent not then vested, shall immediately expire upon such termination. Notwithstanding the foregoing, (a) if the Optionee's employment with the Corporation is terminated for Cause (as defined in the last Section hereof), the Option, whether or not then vested, shall be automatically terminated as of the date of such termination of employment, (b) if the Optionee's employment terminates by reason of Retirement, the termination of the Optionee's employment by the Company other than for Cause, or the termination of the Optionee's employment by the Optionee for Good Reason (as defined in the last Section hereof), the Option shall remain exercisable for three years from the date of such termination of employment (but not beyond the Term of the Option) and (c) if the Optionee dies or becomes Disabled (A) while employed by the Corporation or (B) within 90 days after the termination of his or her employment (other than a termination described in clause (a) or (b) of this sentence), the Option may be exercised at any time within one year after the Optionee's death or Disability (but not beyond the Term of the Option). (ii) If the Optionee's employment terminates by reason of death, Disability, Retirement, the termination of the Optionee's employment by the Company other than for Cause, or the termination of the Optionee's employment by the Optionee for Good Reason, the Option shall become fully and immediately vested and exercisable. In the event of a Change in Control (as defined in the last Section hereof), the Option shall immediately become fully vested and exercisable.
