Service Offering. The Sub Distributor must fill out and return their services offering list on signing of this document (See Annexure A), such list will be incorporated into all advertising mediums and promoted accordingly. The Service list can be updated but relevant certifications may be required for any additional updates as per Item 4 (Installation) above.

Service Offering. MP will include in the MP Areas substantially similar Services and other Content (including, without limitation, any features, offers, contests, functionality or technology) that are then made available by or on behalf of MP through any Additional MP Channel, except to the extent any such Services or other Content are (i) subject to exclusive, proprietary or other preferential obligations in favor of third parties and such obligations cannot be reasonably duplicated for ICQ or for which generally comparable benefits for ICQ Users cannot be provided for ICQ, or (ii) are otherwise prohibited from inclusion in the MP Areas pursuant to this Agreement; provided, however, that (i) such inclusion will not be required where it is commercially or technically impractical to either Party (i.e., inclusion would cause either Party to incur substantial incremental costs or cause a breach of another agreement); and (ii) the specific changes in scope, nature and/or offerings required by such inclusion will be subject to the terms of this Agreement.
Service Offering. Subject to and in accordance with the terms and conditions of this Agreement, WorkWave will act in the capacity of a “payment service provider” or “payment facilitator”, as those terms are used in the applicable Operating Regulations. In such capacity, WorkWave will provide to Sub-Merchant the Payment Card Processing services, eCheck Processing services, and any other services described herein and in the applicable Appendix or agreed by WorkWave and Sub-Merchant. WorkWave provides Payment Card Processing with respect to certain payment card brands of the Associations. Sub-Merchant acknowledges that no party will acquire any right, title, or interest in or to the marks of any Association. Sub-Merchant will not assign to any third party any of the rights to use the marks of any Association, and the Association may use information obtained in the Application to monitor Sub-Merchant in connection with card marketing and administrative purposes.
Service Offering. Pursuant to the terms and conditions of this Addendum and the Agreement, you hereby agree to purchase and we hereby agree to provide the Return Mail Service. You hereby grant to us (or our vendor) the authority to process and redistribute documents that are returned to us (or our vendor) via our Return Mail Service. The Return Mail Service consists of the receipt and data harvesting of any document identified as being undeliverable. We agree to provide reporting of the results of the Return Mail Service.
Service Offering. 1.1 The purpose of the collaboration is to facilitate the provision by the Parties of a combined upstream service offerings, to include those services listed in Schedule 1 (the “Services”), providing a streamlined, integrated offering to the respective clients of the Parties.
1.2 The respective key contributions of the Parties will be summarised by the Parties in a separate schedule as soon as possible following execution of this Agreement, and when signed, such schedule shall be deemed to be incorporated herein as Schedule 2.
Service Offering. 1.1 The purpose of the collaboration would be to facilitate the provision by the Parties of a combined upstream service offering portfolio, to include those oil field services to be agreed in the definitive agreement, and to provide a streamlined service which focuses on delivery to smaller and mid-sized oil companies.
1.2 The Parties intend to prioritise joint marketing of a fully integrated solution and anticipate that the resultant accelerated expansion of Xxxx'x global presence through collaboration with Schlumberger will be to the benefit of both Parties.
Service Offering. 3.1. The Supplier will provide the service for the monthly or hourly fees agreed in any proposals sent and signed off by both parties, as per the following items:
3.1.1. vCPU’s (per single core)
3.1.2. RAM (per GB of Memory)
3.1.3. Various performance tiers of storage (per GB of storage)
3.1.4. Hybrid Multi-cloud Management Platform (per instance - as below)
3.1.4.1. All instances hosted on the Saicom Private Cloud are exempt from this per instance cost. Only workloads managed through the AnyCloud Portal on any other configured 3rd party platform (on-premises, hosted, or public clouds) would be subject to this per instance cost.
3.1.4.2. An Instance is defined as a set of containers or virtual machines that can correlate to a single horizontally scalable entity or a service suite e.g. Apache web farm
3.2. Any quantity change based on The Customer's usage per month and will be billed according to the Saicom cloud platform usage reporting tools;
3.3. A price renegotiation with an agreed proposal must be signed off by both parties;
Service Offering. 1.1 According to terms and conditions of this agreement, Party B appoints Party A as its exclusive service provider in the period of the agreement to provide overall technology support, consulting and other services including but not limited to the following content:
(1) Permission of allowing Party B to use the related software which Party A has its legal right;
(2) Development, maintaining and update of related software which is needed by Party B’s business;
(3) Designing, assembling, management, maintaining and update of computer network system, hard equipment and database;
(4) Technology support and professional training of related personnel of Party B;
(5) Assisting Party B in consulting, collecting and studying related technology and market information (the scope of market survey forbidden by Chinese law on wholly foreign-owned companies is excepted);
(6) Providing Party B with corporate management consulting;
(7) Providing Party B with marketing and market promotion service;
(8) Providing Party B with customer deals management and customer service;
(9) Equipment, property leasing; and
(10) Under the permission of Chinese law, providing Party B with other related services as Party B requires.
1.2 Party B agrees to accept service provided by Party A. Party B further agrees that Party B shouldn’t directly or indirectly obtain any same or similar service from the third party regarding the services and other items stipulated in the agreement, or establish cooperation relation with any third party on items this agreement describes in the period of the agreement. Both parties agree that Party A can designate other party (the other party can sign some agreements with Party B described in Term 1.3 of the agreement) to provide Party B with stipulated service in this agreement
1.3 The Way to Provide Service
1.3.1 Both parties are agreed that in the valid period of the agreement Party B can sign service agreement with Party A or the other party designated by Party A depending on circumstances, and arrange the specific content, approach, personnel, payment and so on of each service.
1.3.2 To fulfill the agreement better, both parties are agreed that, depending on circumstances, in the valid period of the agreement Party B can sign equipment and property lease agreement with Party A or the other party designated by Party A time to time according to its business processing, and Party A should provide related equipment and property to Party B for usage.
