SERVICES IMPROVEMENT. 8.1 The Supplier shall have an ongoing obligation throughout the Term to identify new or potential improvements to the Services in accordance with this Clause 8. As part of this obligation the Supplier shall identify and report to the Programme Board once every 12 months on: (a) the emergence of new and evolving relevant technologies which could improve the IT Environment and/or the Services, and those technological advances potentially available to the Supplier and the Authority which the Parties may wish to adopt; (b) new or potential improvements to the Services including the quality, responsiveness, procedures, benchmarking methods, likely performance mechanisms and customer support services in relation to the Services; (c) new or potential improvements to the interfaces or integration of the Services with other services provided by third parties or the Authority which might result in efficiency or productivity gains or in reduction of operational risk; (d) changes in business processes and ways of working that would enable the Services to be delivered at lower cost and/or with greater benefits to the Authority; and/or (e) changes to the IT Environment, business processes and ways of working that would enable reductions in the total energy consumed in the delivery of Services. 8.2 The Supplier shall ensure that the information that it provides to the Authority shall be sufficient for the Authority to decide whether any improvement should be implemented. The Supplier shall provide any further information that the Authority requests. 8.3 If the Authority wishes to incorporate any improvement identified by the Supplier the Authority shall send the Supplier a Change Request in accordance with the Change Control Procedure.

SERVICES IMPROVEMENT. The Service Provider shall have an ongoing obligation throughout the Term to identify new or potential improvements to the Services in accordance with this clause, and as outlined elsewhere in this Contract. The Service Provider shall identify and report to the Purchaser no less than once every twelve (12) months new or potential improvements to the Services. The Service Provider shall ensure that the information that it provides to the Purchaser in accordance with clause 25.1 shall be sufficient for the Purchaser to decide whether any improvement should be implemented. The Service Provider shall provide any further information that the Purchaser requests. If the Purchaser wishes to incorporate any improvement identified by the Service Provider the Purchaser shall send the Service Provider a Change Request in accordance with the Change Control Procedure.

As part of this obligation the Supplier shall identify and report to Network Rail at least once every three (3) months on: 8.1.1 the emergence of new and evolving relevant technologies which could improve the IT Environment and/or the Services, and those technological advances potentially available to the Supplier and Network Rail which the Parties may wish to adopt; 8.1.2 new or potential improvements to the Services including the quality, responsiveness, procedures, benchmarking methods, likely performance mechanisms and customer support services in relation to the Services; 8.1.3 new or potential improvements to the interfaces or integration of the Services with other services provided by third parties or Network Rail which might result in efficiency or productivity gains or in reduction of operational risk; 8.1.4 changes in business processes and ways of working that would enable the Services to be delivered at lower cost and/or with greater benefits to Network Rail; and/or 8.1.5 changes to the IT Environment, business processes and ways of working that would enable reductions in the total energy consumed in the delivery of Services.

As part of this obligation the Supplier shall identify and report to the Operational Board at least once every [twelve (12)] months (or more frequently in the event that the Supplier identifies or is made aware of significant improvements in or in connection with the Services prior to the next report which is due to be provided pursuant to this Clause 8.1) on: (a) the emergence of new and evolving relevant technologies which could improve the IT Environment and/or the Services, and those technological advances potentially available to the Supplier, RCDTS and the Customer which the Parties may wish to adopt; (b) new or potential improvements to the Services including the quality, responsiveness, procedures, benchmarking methods, likely performance mechanisms and customer support services in relation to the Services; (c) new or potential improvements to the interfaces or integration of the Services with other services provided by third parties, the Customer or RCDTS which might result in efficiency or productivity gains or in reduction of operational risk; (d) changes in business processes and ways of working that would enable the Services to be delivered at lower cost and/or with greater benefits to RCDTS and/ or the Customer; and/or (e) changes to the IT Environment, business processes and ways of working that would enable reductions in the total energy consumed in the delivery of Services. 8.2 The Supplier shall ensure that the information that it provides to RCDTS shall be sufficient for RCDTS to decide whether any improvement should be implemented and shall be provided together with a Gainshare Report which includes the information set out in Part B (Savings Initiatives) of Schedule 7.3 (Value for Money). The Supplier shall provide any further information that RCDTS requests. 8.3 If RCDTS wishes to incorporate any improvement identified by the Supplier RCDTS shall send the Supplier a Change Request in accordance with the Change Control Procedure. The Parties shall comply with the provisions of Schedule 4.5 (Assets) in relation to the 9.1 transfer of Assets.]

As part of this obligation the Contractor shall identify and report to the Authority on: 8.1.1 new or potential improvements to the Services; and 8.1.2 changes in business processes and ways of working that would enable the Services to be delivered at lower costs and/or at greater benefits to the Authority. 8.2 The Contractor shall ensure that the information that it provides to the Authority shall be sufficient for the Authority to decide whether any improvement should be implemented. The Contractor shall provide any further information that the Authority requests. 8.3 If the Authority wishes to incorporate any improvement identified by the Contractor, the Authority shall send the Contractor a Change Request and the Change shall be implemented in accordance with the Change Control Procedure.

As part of this obligation the Contractor shall identify and report to the Council once every six months throughout the Term on: 8.1.1 the emergence of new and evolving relevant technologies which could improve the ICT Environment and/or the Services, and those technological advances potentially available to the Contractor and the Council which the parties may wish to adopt; and/or 8.1.2 new or potential improvements to the Services including the quality, responsiveness, procedures, benchmarking methods, likely performance mechanisms and customer support services in relation to the Services; and/or 8.1.3 new or potential improvements to the interfaces or integration of the Services with other services provided by third parties or the Council which might result in efficiency or productivity gains or in reduction of operational risk; and/or 8.1.4 changes in business processes and ways of working that would enable the Services to be delivered at lower costs and/or at greater benefits to the Authority; and/or 8.1.5 changes to the ICT environment, business processes and ways of working that would enable reductions in the total energy consumed annually in the delivery of Services. 8.2 The Contractor shall ensure that the information that it provides to the Council shall be sufficient for the Council to decide whether any improvement should be implemented. The Contractor shall provide any further information that the Council requests. 8.3 The Council shall at all times be responsible for determining its own ICT strategy. The Council may notify the Contractor of any changes to the Council's ICT strategy and request the Contractor to consider, review and respond to that strategy. If, in the Contractor’s opinion, any notified change to the Council ICT strategy would impact upon the provision of the Services, the Contractor shall refer the matter to the Change Control Procedure. 8.4 If the Council wishes to incorporate any improvement identified by the Contractor the Council shall send the Contractor a Change Request and the parties shall: 8.4.1 develop a plan for the implementation of the improvement within 20 Working Days of the Council's Change Request for the approval of the Authority; 8.4.2 implement the improvement in accordance with the provisions of an impl...

SERVICES IMPROVEMENT. 8.1 The Supplier shall adopt a policy of continuous improvement in relation to the Services, which must include regular reviews with the Authority of the Services and the way it provides them, with a view to reducing the Authority's costs (including the Charges) and/or improving the quality and efficiency of the Services. The Parties shall provide each other with any information reasonably required to meet this objective. 8.2 The Supplier shall, throughout the Term, identify new or potential improvements to the provision of the Services with a view to reducing the Buyer’s costs (including the Charges) and/or improving the quality and efficiency of the Deliverables and their supply to the Buyer. 8.3 The Parties shall comply with the provisions of Part A of Schedule 7.3 (Value for Money), if such Schedule is used, in relation to the Supplier’s ongoing obligation of continuous improvement.
SERVICES IMPROVEMENT. 12.11.1 The Contractor shall have an ongoing obligation throughout the Term to identify new or potential improvements to the Services in accordance with this Clause 12.11 and Schedule 35 (Continuous Improvement). As part of this obligation the Contractor shall identify and report to the Agency Executive Board no less than quarterly: (a) the emergence of new and evolving relevant technologies which could improve the Services, and those technological advances potentially available to the Contractor and the Authority which the Parties may wish to adopt; and/or (b) new or potential improvements to the Services including improvements to the quality, responsiveness, procedures, benchmarking methods, likely performance mechanisms and customer support services in relation to the Services; and/or (c) new or potential improvements to the interfaces or integration of the Services with third parties or the Authority which might result in efficiency or productivity gains or in reduction of operational risk; and/or (d) new or potential improvements to business processes and ways of working that would enable the Services to be delivered at lower cost and/or with greater benefits to the Authority; and/or (e) changes to the ICT environment, business processes and ways of working that would enable reductions in the total energy consumed annually in the delivery of Services. 12.11.2 The Contractor shall ensure that the information that it provides to the Authority shall be sufficient for the Authority to decide whether any improvement should be implemented. The Contractor shall provide any further information that the Authority reasonably requests. 12.11.3 If the Authority wishes to incorporate any improvement identified by the Contractor, such improvement shall be incorporated in accordance with Schedule 23 (Change Control) or Schedule 36 (Projects).
