Software Currency. The Parties agree to maintain reasonable currency for Maintenance Releases and Versions of Software, unless Certegy requests otherwise. For purposes of this Section, “reasonable currency” shall mean that the next Maintenance Release or Version is installed not later than the longer of (i) twelve (12) months after the date the licensor makes such Maintenance Release or Version commercially available, or (ii) within one (1) month after the date the licensor makes a subsequent Maintenance Release or Version commercially available which causes Certegy to be more than one Maintenance Release or Version behind, unless such Maintenance Release or Version contains defects, Viruses Disabling Code or similar infirmities identified by the Parties, or either of them, that will adversely affect Certegy’s operations, in which case, the previous Maintenance Release or Version will be deemed “reasonably current”. In the event Certegy requests IBM to expedite installation of a Maintenance Release or Version or to delay the installation of a Maintenance Release or Version of specific Software beyond such period or requires operation and maintenance of multiple Versions of Software, IBM shall do so, provided, that if IBM reasonably determines that it will incur any additional costs as a result of such requests (e.g., Software support costs due to withdrawal of maintenance by the licensor, multiple version charges, etc.) for resources not otherwise required to provide the Services under the applicable Transaction Document or covered under a current Resource Unit Baseline for such Transaction Document, then IBM will notify Certegy of the amount of such costs in writing and Certegy, at its option, will either delay installation of such Maintenance Release or Version or update the Software to the current level (as applicable) or reimburse IBM for any demonstrable costs. The installation and promotion into production of each Maintenance Release and Version shall be performed in accordance with the Change Control Process. In addition, Certegy shall relieve IBM from any failure to meet a Performance Standard or Minimum Service Level to the extent directly impacted by the delay or acceleration of the next Maintenance Release or Version until such time as the affected Software is brought to “reasonable currency” as defined in this Section 3.9.
Software Currency. Contractor represents, warrants and covenants that, unless otherwise agreed and to the extent it has operational responsibility under this Agreement, it shall maintain the reasonable currency for Software (including Contractor’s and third party software currency to N or N-1) so that they operate in accordance with the Service Levels and their Specifications.

Software Currency. At all times throughout the Term, HP-OMS shall upgrade or replace HP-OMS Software as necessary to satisfy its obligations under this Agreement according to Exhibit C, at no additional cost to Customer; provided, HP-OMS shall utilize at least the second to most (if not the most) updated version of such Software.

Software Currency. Following Initial Refresh, IBM shall perform all functions required to maintain all In-Scope Software currency. Unless otherwise agreed by the parties, IBM shall maintain In-Scope Software within one generation of current release levels.

Software Currency. (a) Versions and Releases. Subject to Sections 7.4, 9.8, and 9.9(b), and the applicable Statement of Work, Provider shall maintain reasonable currency for Software for which it is responsible under this Agreement and provide maintenance and support for new releases and versions of such Software. At Client’s request, Provider shall operate, maintain and support multiple releases or versions of Software on a temporary basis for a reasonable period of time during a technology or business transition (e.g., a software upgrade or business unit acquisition). In addition, unless otherwise directed by Client, Provider shall keep Software within release levels supported by the appropriate third party vendor to ensure compatibility with other Software or Equipment components of the Systems. For purposes of this Section 9.9, “reasonable currency” shall mean that, unless otherwise agreed by Client, Provider shall: (i) maintain Software in compliance with all applicable license terms, (ii) maintain Software within one Major Release of the then current Major Release, and (iii) install Minor Releases promptly or earlier, if requested by Client; provided, however, that Provider’s obligation to maintain reasonable currency in accordance with this Section 9.9 shall not apply to any excluded Software as expressly set forth in a Statement of Work (“Excluded Software”), such identification of Excluded Software to be amended by the Parties during Transition.
