Subcontractor Work. Notwithstanding the provisions of Paragraph 11.15 and notwithstanding the wording of such certificates, the Trade Contractor shall ensure that each Subcontractor’s work is satisfactory and in good order pursuant to the Trade Contract Documents pending the issuance of a final Certificate of Payment and the Trade Contractor shall be responsible for ensuring that the correction of defects or Trade Contractor Work not performed regardless of whether or not such defects were apparent when such certificates were issued.

Subcontractor Work. Purchaser or any of its subsidiaries may hire an Affiliate of Shareholder to perform services as a subcontractor to Purchaser or such subsidiary without any violation of Section 7.14(a).
Subcontractor Work. The scope of work to be performed by Subcontractor shall be established by the Purchase Order (“Subcontract Work”), and shall be done under the direction of the Contractor, and to the satisfaction of the Contractor, Owner and Architect/Engineer. Subcontractor shall perform the Subcontract Work diligently, continuously and with the highest standards in the industry to the satisfaction of the Contractor, Owner and Architect/Engineer. The Subcontract Work to be performed by the Subcontractor includes that work specifically set forth in the Purchase Order, as well as any and all other work incident or related thereto, or reasonably inferable therefrom, including but not limited to that work reasonably necessary for the Subcontract Work to be complete, properly working and totally acceptable as required by the Contract Documents. It is the express intent of the parties that all work usually performed by the trade covered by the Purchase Order and required by the Contract Documents shall be performed by the Subcontractor, in addition to the work specifically set forth in the Purchase Order. The Subcontract Work includes, without limitation, the construction, labor, materials and services required by the Contract Documents or reasonably inferable therefrom and includes all supervision, transportation, mobilization expenses, tools, equipment, machinery, hoisting, rigging, appliances, surveying and layout, taxes, permits, incidentals and all other things necessary for the safe, proper and timely performance of the Subcontract Work to the satisfaction of the Contractor, Owner and/or Architect/Engineer.
Subcontractor Work. Portions of the Work may be performed and material and equipment supplied under contracts with Subcontractors (“Subcontracts”) who also may retain sub-tier subcontractors, suppliers or vendors (referred to collectively as Subcontractors). All Subcontractors retained by Contractor shall be subject to Owner’s prior, written approval. Contractor shall be solely responsible for coordination of all Subcontractor work, means and methods, and any acts, errors or omissions arising out of all Subcontracts for Work on the Project. Contractor shall supervise the performance of the Work by Subcontractors and shall properly coordinate/schedule the Work of all Subcontractors on the Project. 7.12.1. It is the policy of the Owner to promote the utilization of women, minorities and small business enterprises in all phases of the design, development, construction and maintenance of the Project. While the Owner does not impose any quotas regarding their utilization, Contractor shall take all steps established by the Contract Documents or otherwise reasonably requested by Owner to satisfy the Owner that they have made their “best efforts” to involve in the Work as many companies or firms owned by women, minorities and small business enterprises as practicable, provided they are qualified to conduct the Work. 7.12.2. Each Subcontract to be entered into by Contractor in connection with the Work shall contain a provision providing that, if this Agreement is terminated by Owner for cause, at the option of Owner in its sole discretion, the Subcontract shall be assigned by Contractor to Owner or to such other entity as Owner may direct. In such event, Owner, or its designee, as of the date of assignment shall assume all of Contractor’s post-assignment obligations thereunder provided, however, that nothing shall be deemed to release Contractor from liability to such Subcontractor, or to Owner or Owner’s designees, with respect to claims arising from events occurring prior to the effective date of such assignment.
Subcontractor Work. Calpine warrants all services and deliverables provided by any Subcontractors it uses, and represents that each such subcontractors is specially trained, experienced, and competent to perform its portion of the work.
Subcontractor Work. In accordance with this Agreement, the Subcontractor shall be engaged as an independent contractor only and shall provide administration and/or labor as necessary to properly assist the Contractor in completing the Project for its Clients (the “Subcontractor Work"). Subcontractor Work. Contractor shall use its best efforts to ensure that all warranties provided by lower-tier subcontractors and manufacturers are assigned to TAMUS. If any warranty cannot be assigned to TAMUS, Contractor shall use its best efforts to make the warranty available for TAMUS’s benefit. Contractor shall deliver a copy of each written warranty provided by lower-tier subcontractors and manufacturers to TAMUS. The warranties under this provision shall be in addition to any others provided elsewhere in this Agreement or otherwise under any operation or application of law.

  • Subcontractor Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer.

  • Contract Work Contract work means capital project work within existing plant facilities, major maintenance and/or revamp work, plant modifications and/or shutdown work, minor maintenance and/or repair work, breakdown maintenance.

  • Contractor Key Personnel ‌ The Contractor shall assign a Corporate OASIS SB Program Manager (COPM) and Corporate OASIS SB Contract Manager (COCM) as Contractor Key Personnel to represent the Contractor as primary points-of-contact to resolve issues, perform administrative duties, and other functions that may arise relating to OASIS SB and task orders solicited and awarded under OASIS SB. Additional Key Personnel requirements may be designated by the OCO at the task order level. There is no minimum qualification requirements established for Contractor Key Personnel. Additionally, Contractor Key Personnel do not have to be full-time positions; however, the Contractor Key Personnel are expected to be fully proficient in the performance of their duties. The Contractor shall ensure that the OASIS SB CO has current point-of-contact information for both the COPM and COCM. In the event of a change to Contractor Key Personnel, the Contractor shall notify the OASIS SB CO and provide all Point of Contact information for the new Key Personnel within 5 calendar days of the change. All costs associated with Contractor Key Personnel duties shall be handled in accordance with the Contractor’s standard accounting practices; however, no costs for Contractor Key Personnel may be billed to the OASIS Program Office. Failure of Contractor Key Personnel to effectively and efficiently perform their duties will be construed as conduct detrimental to contract performance and may result in activation of Dormant Status and/or Off-Ramping (See Sections H.16. and H.17.).

  • Contractor If COUNTY elects to renegotiate this Agreement due to reduced or terminated 20 funding, CONTRACTOR shall not be obligated to accept the renegotiated terms.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses.   • Contractor Project Manager The Contractor Project Manager shall serve, from the Effective Date, as the Contractor project manager and primary Contractor representative under this Agreement. The Contractor Project Manager shall (i) have overall responsibility for managing and coordinating the performance of Contractor’s obligations under this Agreement, including the performance of all Subcontractors; and (ii) be authorized to act for and bind Contractor and Subcontractors in connection with all aspects of this Agreement. The Contractor Project Manager shall respond promptly and fully to all inquiries from the JBE Project Manager.

  • Project Work PURCHASER shall complete the following projects in accordance with the specifications provided in Exhibits B, C, D, E, and F and written instructions from STATE. Project locations are shown on Exhibit A unless otherwise described. PURCHASER shall furnish all material unless otherwise specified.

  • Contractor’s Project Manager 7.2.1 The Contractor’s Project Manager is designated in Exhibit F (Contractor’s Administration). The Contractor shall notify the County in writing of any change in the name or address of the Contractor’s Project Manager. 7.2.2 The Contractor’s Project Manager shall be responsible for the Contractor’s day-to-day activities as related to this Contract and shall meet and coordinate with County’s Project Manager and County’s Contract Project Monitor on a regular basis.

  • Vendor’s Subcontractors TIPS recognizes that many vendors operate in the open market through the use of subcontractors. For that reason, TIPS permits Vendor to utilize subcontractors as authorized and permitted by the TIPS Member Customer. However, all purchase documents must include: (1) Vendor’s Name, as known to TIPS, and; (2) Vendor’s TIPS Contract Name and Number under which it is making the TIPS Sale. Vendor must report the sale pursuant to the terms herein and Vendor agrees that it is legally responsible for all reporting and fee payment as described herein for TIPS Sales even when subcontractors are utilized. The TIPS Administration Fee is assessed on the amount paid by the TIPS Member to Vendor. The Parties intend that Vendor shall be responsible and for actions of subcontractors during a TIPS Sale. Vendor agrees that it is voluntarily authorizing subcontractors and in doing so, Xxxxxx agrees that it is doing so at its own risk and agrees to protect, indemnify, and hold TIPS harmless in accordance with Sections 14-17 above related to subcontractor TIPS Sales made pursuant to this Agreement or purporting to be made pursuant to this Agreement that may be asserted against Vendor whether rightfully brought or otherwise. The Parties further agree that it is no defense to Vendor’s breach of this Agreement that a subcontractor caused Vendor of breach this Agreement.
