SUBDELEGATION Sample Clauses

SUBDELEGATION. 8.1. The Service Provider shall not subcontract to any third party (“the Subcontractor”) any portion of the Deliverables that must be provided under this Service Provider Agreement without the Fund’s prior written consent. 8.2. The Fund shall not be under any obligation to consent to a request by the Service Provider to subcontract to any third party any portion of the Deliverables that must be provided under this Service Provider Agreement. 8.3. The Fund shall, when giving consideration to a request contemplated in clause 8.1 above, take into consideration the following aspects pertaining to the Subcontractor : 8.3.1. An original B-BBEE Status Level Verification Certificate in respect of the Subcontractor, issued by an accredited verification agency, alternatively a certificate issued by the accounting officer (in respect of a close corporation), the registered auditor (in respect of a company) or accredited verification agency, that the Subcontractor is an Exempted Micro Enterprise, furnished to the Fund by the Service Provider with the written request contemplated in clause 8.1 above; 8.3.2. An original Declaration of Interest completed and signed by the Subcontractor and furnished to the Fund by the Service Provider with the written request contemplated in clause 8.1 above; and 8.3.3. An original valid Tax Clearance Certificate in respect of the Subcontractor and furnished to the Fund by the Service Provider with the written request contemplated in clause 8.1 above. 8.4. The Fund may, if the Fund elects to approve a request contemplated in clause 8.1 above, make such consent subject to such terms and conditions as the Fund in its sole election consider reasonable. 8.5. Notwithstanding that the Fund may elect to consent to a request contemplated in clause 8.1 above, such consent by the Fund shall not relieve the Service Provider of any of the Service Provider’s obligations under this Service Provider Agreement and the Service Provider shall remain responsible for the actions and omissions of the Subcontractor.
SUBDELEGATIONHealth Plans retain the right to approve arrangements for any drug utilization management activities sub-delegated by CompCare or any of its delegates. CompCare shall obtain Health Plans approval prior to sub-delegation of any activities initiated during the term of this Agreement, and shall report any change in approved sub-delegation arrangements to Health Plans at least thirty (30) days in advance of such change. Sub-delegates shall be subject to all Applicable Laws and Health Plans policies and procedures. Any required approval by Health Plans of any sub-delegate shall not be unreasonably withheld.
SUBDELEGATION. It may be allowable for Delegate to subdelegate specific activities that relate to Claims and Encounter Data. As provided for under the Agreement and as set forth herein, subdelegation requires the prior written approval of MCO. In addition to the requirements for subdelegation set forth in the Agreement, Delegate will submit to MCO a Delegation Chart (template to be provided by MCO). If a subdelegation is approved, the Delegate will be responsible for ongoing oversight of the subdelegate’s performance and will be required to report performance results to MCO.
SUBDELEGATION. It may be allowable for Delegate to subdelegate specific activities that relate to Crisis Services. As provided for under the Agreement and as set forth herein, subdelegation requires the prior written approval of CHPW. In addition to the requirements for subdelegation set forth in the Agreement, Delegate will submit to MCO a Delegation Chart (template to be provided by CHPW). If a subdelegation is approved, the Delegate will be responsible for ongoing oversight of the subdelegate’s performance and will be required to report performance results to CHPW. 24-7 Availability Crisis Services shall be available 24-7- 365, including regional crisis hotline that provides screening and referral services Immediate Access Crisis Services shall be available to Members without the need for the member to complete an intake evaluation or other screening or assessment processes. Encounter Data Require submission of complete and accurate encounter data related to the provision of Crisis Services in HCA- prescribed formats Weekly basis provide to CHPW batches of such data Crisis Services standards- Washington Administrative Code Crisis services shall be performed in accordance with all state agency requirements, including Washington Department of Health and HCA regulatory requirements, applicable to Crisis Services and Crisis Services providers Telephone Access Telephones are answered by a live voice within 30 seconds with an abandonment rate within 5 percent. Submission to CHPW staff of a monthly summary report that includes total calls, call answer time and abandonment rate. Reports provided in electronic copy. Manager of Delegation will receive and review monthly reports for performance review. Daily Crisis Service Log Daily Crisis Services will be kept on a standardized log and submitted each business day to CHPW. Daily (business day) CHPW will assist as needed to coordinate any services.

The Fund shall not be under any obligation to consent to a request by the Firm to subcontract to any third party any portion of the Deliverables that must be provided under this Agreement. The Fund shall, when giving consideration to a written request for consent contemplated in clause 12.1 above, conduct a due diligence on the Specialist. Further to the provisions of clause 12.3 above, and to assist the Fund in conducting its due diligence as envisaged, the Firm shall provide with the written request, and the Fund shall take into consideration, the following aspects pertaining to the Specialist: An original B-BBEE Status Level Verification Certificate in respect of the Specialist, issued by an accredited verification agency, alternatively a certificate issued by the accounting officer (in respect of a close corporation), the registered auditor (in respect of a company) or accredited verification agency, that the Specialist is an Exempted Micro Enterprise or a Qualifying Small Enterprise; An original Declaration of Interest completed and signed by the Specialist; and An original valid Tax Clearance Certificate in respect of the Specialist. The Fund may, if the Fund elects to approve a request contemplated in clause 12.1 above, make such consent subject to such terms and conditions as the Fund in its sole election consider reasonable. Notwithstanding that the Fund may elect to consent to a request contemplated in clause 12.1 above, such consent by the Fund shall not relieve the Firm of any of the Firm’s obligations under this Agreement and the Firm shall remain responsible for the actions and omissions of the Specialist.

  • Delegation (a) The Administrator, upon prior notice to the Trust and in compliance with applicable law, may delegate any of the Services, or adjust any prior delegation, to any other person or persons that the Administrator controls, is controlled by, or is under common control with, or to specified employees of any such persons, to the extent permitted by applicable law. (b) Subject to prior approval of a majority of the members of a Fund’s Board of Trustees, including a majority of the Trustees who are not “interested persons,” and, to the extent required by applicable law, by the shareholders of a Fund, the Administrator, upon prior consent of the Trust and in compliance with applicable law, may delegate or outsource any of the Services, or adjust any prior delegation or outsourcing, to any other person or persons unaffiliated with the Administrator or to specified employees of any such persons, to the extent permitted by applicable law. (c) Notwithstanding any delegation under clauses (a) or (b) of this Section 4, the Administrator will continue to supervise the Services provided by such persons or employees and any delegation will not relieve the Administrator of any of its obligations under this Agreement.

  • Delegations The Commonwealth Minister may delegate the assessment of performance against milestones and the authorisation of related project payments to senior Commonwealth officials, having regard to the financial and policy risks associated with those payments.

  • No Delegation The Asset Representations Reviewer may not delegate or subcontract its obligations under this Agreement to any Person without the consent of the Issuer, the Sponsor and the Servicer.

  • Assignment; Delegation The Contract shall be binding upon and ensure to the benefit of the City and the Contractor and their respective successors and assigns, provided however, that no right or interest in the Contract shall be assigned and no obligation shall be delegated by the Contractor without the prior written consent of the City.   • Delegation of Powers Subject to any limitations set forth in the Act, the member(s) may delegate any of its powers to officers of the Company or to committees consisting of persons who may or may not be member(s). Every officer or committee shall, in the exercise of the power so delegated, comply with any restrictions that may be imposed on them by the member(s).
