Examples include mass transit incentives, financial counseling services, concierge services and computer discounts. Expansion of these services nationally may be evaluated by the Strategy Group during future years of the contract.

The parties agree to explore opportunities for a strategic approach, leveraging KP market reach, to voluntary health and well-being benefits/discounts (e.g., discounts for gym membership, weight management programs), and provide recommendations and best practices to regions and facilities within 12 months of ratification. The parties will explore recognitions that could be provided to UBTs who attain Levels 4 and 5 on the P2P. The recommendations may include a phased approach to leveraging KP market reach, bringing best practices in line over time.
Referral Services. The City has adopted a City-wide Employee Assistance Program involving assessment and referral for counseling and treatment of alcoholism. Alcoholism will be recognized and treated as a disease. Employees suffering from alcoholism will be afforded the opportunity for counseling and rehabilitation through this City program. Alcohol related Employee infractions may be subject to disciplinary action whether or not the Employee participates in the Employee Assistance Program. The City shall maintain confidentiality with respect to all Employees who make use of the program. Employees may be referred for assistance services by the City or may request the City to refer them for such services.
Referral Services. UNI shall provide the Referral Services to Bank separate from the Program. UNI represents and warrants in connection with the Referral Services: (i) its activities, and all the UNI Referral Materials, shall comply with Applicable Laws; (ii) it is authorized, registered and licensed to do business each state in which the nature of its activities make such authorization, registration or licensing necessary or required; and (iii) each Bank offer displayed in connection with the Referral Services shall be in accordance with Applicable Law and the Program Guidelines. On a monthly basis UNI shall make available to Bank all new or modified UNI Referral Materials.
Referral Services referral services provided by the Partner to the SaaS Business in exchange for a commission in accordance with the Partner Agreement, as specified in Annex 1 to these Affiliate Partner Terms.
Referral Services. ER hereby authorizes Consultant, on a non-exclusive basis, to locate business entities and/or individuals with whom ER may develop a business relationship ("Relationship"). Consultant will clear all introductions to any potential Relationship, in advance, with ER and will provide ER (or its representative) with notice of the time and place of all schedule meetings with a potential Relationship.
Referral Services. Advisor engages Solicitor to market its advisory services and to solicit and refer prospective clients (“Referred Clients”) to Advisor for whom Advisor’s investment advisory services would be suitable, upon the terms and conditions of this Agreement.
(a) Solicitor will not market or offer Advisor’s services in any jurisdiction unless and until notified that Advisor and Solicitor are each legally authorized to do so under applicable federal and state securities laws.
(b) If Solicitor is a corporate entity, then Adviser authorizes Solicitor to perform its services under this Agreement through its agents. All covenants applicable to Solicitor shall also apply to its agents. Solicitor shall be responsible for its agent’s performance and conduct under this Agreement.
(c) Solicitor is not authorized to provide investment advice on behalf of Advisor to Referred Clients or any other client of Advisor (collectively, “Clients”). Solicitor may provide investment or financial planning advice to the extent that it is properly registered or licensed to do so, or is exempt from such requirements, under applicable federal and state securities laws.
(d) Solicitor shall inform each Referred Client that Solicitor is an independent contractor engaged to perform the services described in this Agreement. Solicitor shall not hold itself out to the public as an employee, officer, director, partner, or joint venturer of Advisor.
(e) Solicitor has no authority to bind Advisor in any way and will make only such representations to Referred Clients or other persons relating to Advisor or its advisory services which are:
(i) expressly authorized by this Agreement;
(ii) contained in Part 2 of Advisor’s Form ADV (“Advisor’s Disclosure Brochure”);
(iii) contained in the Advisor’s client services agreement; and/or (iv) contained in advertising and sales literature provided by Advisor for Solicitor’s use, as each may be amended from time to time.
(f) Solicitor acknowledges that Advisor has no obligation to accept any Referred Client as a Client and may terminate its relationship with any Referred Client at any time, with or without cause, without any obligation of Advisor to Solicitor. Similarly, any Referred Client is free to terminate its relationship with Advisor at any time, with or without cause, without any obligation of Advisor to Solicitor
Referral Services. The Tribal WIC Program shall provide WIC program applicants and clients with information on other health-related and public assistance programs, and when appropriate, shall refer applicants and participants to such programs, including Medicaid.
Referral Services. During the term of this Agreement, the Referrer may utilize its experience, expertise, and contacts to refer potential customers to the Company for the Company’s Services. All agreements for the Company’s Services will be between the Company and the Company’s customers. The Referrer will have no authority to enter into any agreement with respect to the provision of the Company’s Services or to bind the Company in any way and shall not represent to any potential customer or any other third party that it has such authority. The Company will not be under any obligation to enter into an agreement with any potential customer, and any sales of the Company’s Services will be subject to the approval of the Company and a written agreement between the Company and the customer. The parties do not intend for this Agreement to obligate the Referrer to provide referral services or any other services to the Company. The Referrer will not be required to devote any specific amount of time to rendering services under this Agreement.
Referral Services. When an end user customer changes from Pacific to ACI, or from ACI to Pacific, and does not retain its original telephone number, and the end user customer (or the customer's new provider on behalf of the customer) requests provision of a referral announcement, the Party formerly providing service to the end user will provide a referral announcement on the abandoned telephone number. This announcement will provide the new number to be dialed to reach this customer. This announcement will be provided for the standard period specified in each Party's exchange service tariff in effect as of the date this Agreement is executed. There will be no charge for this service during the first three year term of this Agreement. After that three year term ends, the service will be provided at tariffed rates, if any, unless otherwise agreed by the Parties.
2. NONDISCRIMINATORY ACCESS TO NETWORK ELEMENTS [THE ACT SECTIONS 271(C)(2)(B)(II), (IV), (V), (VI) AND (X)] Pacific will not discontinue any unbundled Network Element provided under this Agreement, during the term of this Agreement or extensions without ACI's consent, except (i) to the extent required by network changes or upgrades, in which event Pacific will comply with the network disclosure requirements stated in the Act and FCC regulations thereunder; or (ii) if required by a final order of the Court, the FCC or the Commission as a result of remand or appeal of the FCC's order In the Matter of Implementation of Local Competition Provisions of the Telecommunications Act of 1996, Docket 96-98. In the event such a final order allows but does not require discontinuance, Pacific may, on thirty (30) days written notice, require that such terms be renegotiated and the Parties shall renegotiate in good faith such mutually acceptable new terms as may be required or appropriate to reflect the results of such action. In the event that such new terms are not renegotiated within ninety (90) days after such notice, or if the Parties are unable to agree, either Party may submit the matter to the Dispute Resolution Process described herein. Pacific shall provide ACI access to the following unbundled Network Elements for the provision of telecommunications services by ACI. ACI, at its option, may combine such Network Elements from Pacific with elements of its own network to provide such services. Pacific's prices charged to ACI will be no greater than the cost of providing the Network Element, including a reasonable profit.
