Support Professional Services. If noted on a Services Order, Mimecast will perform Professional Services, such as Takedowns, Domain Blocks, and/or support (“Support”). Professional Services will be performed in a professional and workmanlike manner, consistent with industry standards. In the event that any Professional Services do not conform to the Services Order, Customer will notify Mimecast of such failure within fifteen days of delivery (“Acceptance Period”). Promptly after receipt of Customer’s notice, Mimecast will re-perform the non-conforming Professional Services at no additional cost to Customer, as Customer’s exclusive remedy. After the Acceptance Period, any additional Professional Services will be subject to a new Services Order. Mimecast shall not be deemed in breach of its obligations under this Section 1.2 to the extent that Mimecast is delayed or prevented from performing due to an act or omission of Customer. Support Professional Services. 3.1 Support. Support for the Devices and Software is provided to Customer pursuant to a separate support subscription agreement, directly with the OEM subject to the OEM’s support subscription terms (including applicable fees) in the case where Devices are purchased from the OEM, or directly with Pensando subject to Pensando’s support subscription terms (including applicable fees), in the case where Devices are purchase directly from Pensando.
Support Professional Services. Except as otherwise agreed to by Amendment to the Contract or within a statement of work, Knomatic warrants for a period of thirty (30) days from the date of performance of Support/Professional Services that such Support/Professional Services will be performed with reasonable skill and care. For Support/Professional Services not performed as warranted in this provision and provided RRC has reported such non-conformance to Knomatic within thirty (30) days of performance of such non-conforming Support/Professional Services, Knomatic will, at its discretion, either correct any nonconforming Support/Professional Services or refund the relevant fees paid for the nonconforming Support/Professional Services.
Support Professional Services. Subject to payment by Customer, Innoviz shall provide the Customer with whatever technical support and training services (if any) are specified in the Quote ("Support Services"). Support Services may be provided by Innoviz or its third party service providers. Except for the Support Services, Innoviz is under no obligation to provide any services of any kind. In the event Customer wishes to receive implementation, configuration, customization, integration, or other professional services under this Agreement ("Professional Services"), Customer may request same from Innoviz in writing, and, subject to Innoviz's agreement to provide the Professional Services, such Professional Services shall be set out in sequential Statements of Work (that reference the corresponding Quote to which it relates) to this Agreement executed by both Parties (each, an "SOW"), and shall be charged in accordance with such SOWs. If an SOW does not specify charges, the Professional Services will be charged at Innoviz's then- current rates. Each SOW is hereby deemed incorporated into this Agreement by reference. To the extent of any conflict between the main body of this Agreement and an SOW, the former shall prevail, unless and to the extent that the SOW expressly overrides a provision hereof. Professional Services may be provided by Innoviz or its third party service providers.
Support Professional Services. 1. Provision of Support Services - Foleon makes available web-based support through the Service(s) and also email support (xxxxxxx@xxxxxx.xxx). Additional Support Services may be available to the Customer upon payment of applicable fees, as specified in Customer’s Order Form or Foleon’s price list applicable each time. Any Support Services are subject to this Contract and Foleon’s applicable support policies. Foleon may also provide onboarding, implementation and other services under this Contract. The scope, pricing, and other terms for these Professional Services will be specified in an Order Form, Order Form exhibit, or other document referencing this Contract. The Customer may use anything delivered as part of these additional services internally during its Subscription Term to support its authorized use of the Service, subject to the restrictions in Section 4 (Access to the Service) and Section 5.3 (Acceptable Use Policy/Prohibited Use) above applicable to the Service(s) itself. Foleon’s ability to deliver additional services will depend on the Customer’s reasonable and timely cooperation and the accuracy and completeness of any information from the Customer needed to deliver the additional services such as copy, images and other content.

  • Other Professional Services We will provide you the various implementation-related services itemized in the Investment Summary and described in the Statement of Work.

  • Scope of Professional Services 3.1 On the terms and conditions set forth in this Agreement, COUNTY hereby engages CONTRACTOR to provide all labor, materials and equipment to complete the Project/Service in accordance with the Scope of Services, attached hereto and incorporated herein as Attachment A, as modified or clarified by Addendum(s) # , dated , attached hereto and incorporated herein by reference as Attachment B. It is understood that the Scope of Services may be modified by change order as the Project/Service progresses, but to be effective and binding, any such change order must be in writing, executed by the parties, and in accordance with the COUNTY’s Purchasing Policies and Procedures. A copy of these policies and procedures shall be made available to the CONTRACTOR upon request.

  • Professional Services Bodily injury" or "property damage" arising out of the rendering of or failure to render profes- sional services;

Where it is necessary for Us or Our Group to visit your sites in order to perform Professional Services you shall at no cost to Us or Our Group: (a) provide reasonable access to any relevant sites at times to be agreed; (b) inform Us of health and safety, and security policies applicable at the sites; (c) ensure the sites are safe;

  • Professional Service Consultant agrees that all services and work performed under this agreement will be accomplished in a professional manner, in accordance with the accepted standards of Contractor’s profession.

  • Educational Services Any service or supply for education, training or retraining services or testing including: special education, remedial education; cognitive remediation; wilderness/outdoor treatment, therapy or adventure programs (whether or not the program is part of a Residential Treatment facility or otherwise licensed institution); job training or job hardening programs; educational services and schooling or any such related or similar program including therapeutic programs within a school setting.

  • Investigational Services This plan covers certain experimental or investigational services as described in this section. Clinical Trials This plan covers clinical trials as required under R.I. General Law § 27-20-60. An approved clinical trial is a phase I, phase II, phase III, or phase IV clinical trial that is being performed to prevent, detect or treat cancer or a life-threatening disease or condition. In order to qualify, the clinical trial must be: • federally funded; • conducted under an investigational new drug application reviewed by the Food and Drug Administration (FDA); or • a drug trial that is exempt from having such an investigational new drug application. To qualify to participate in a clinical trial: • you must be determined to be eligible, according to the trial protocol; • a network provider must have concluded that your participation would be appropriate; and • medical and scientific information must have been provided establishing that your participation in the clinical trial would be appropriate. If a network provider is participating in a clinical trial, and the trial is being conducted in the state in which you reside, you may be required to participate in the trial through the network provider. Coverage under this plan includes routine patient costs for covered healthcare services furnished in connection with participation in a clinical trial. The amount you pay is based on the type of service you receive. Coverage for clinical trials does not include: • the investigational item, device, or service itself; • items or services provided solely to satisfy data collection and that are not used in the direct clinical management; or • a service that is clearly inconsistent with widely accepted standards of care.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Professional Services Acceptance The acceptance process (if any) will be described in the applicable Supporting Material, will apply only to the deliverables specified, and shall not apply to other products or services to be provided by HP.

  • INDEPENDENT PERSONAL SERVICES 1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State unless he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base.
