Suspension of 14 Days or Less. The following applies to a bargaining unit employee in the competitive service who is not serving a probationary or trial period under an initial appointment or who has completed 1 year of current continuous employment in the same or similar positions under other than a temporary appointment limited to 1 year or less. Such an employee is entitled to: i. An advance written notice stating the specific reasons for the proposed suspension. ii. Up to 15 days to answer orally and/or in writing and to furnish affidavits and other documentary evidence in support of the answer. iii. Be represented by a NFFE Union representative, represent him/herself, or be represented by an attorney or other representative in responding to the proposed action. iv. Review the material, including statements of witnesses, documents, and investigative reports. The notice shall inform the employee where this material may be reviewed and that his/her representative may also review the material as well. v. A written decision and the specific reasons therefore, at the earliest practicable date. vi. Grieve the decision through the negotiated grievance procedure contained in Article

When proposing such an action, the employee will be given ten (10) days advance written notice stating: 1. the specific reason(s) for the proposed suspension; 2. the employee has seven (7) days to respond orally and/or in writing and may submit affidavits or other documentary evidence in support of their response; additional time may be granted on a case-by-case basis; 3. the official to whom the reply should be sent; 4. the employee has the right to review the material that is relied on to support the reason(s) for the proposed action, subject to the Privacy Act requirements, and is entitled to a reasonable amount of official time to do so; the employee must request and obtain supervisory approval for the use of official time in advance; and 5. the employee has the right to Union or other representation. B. Management will issue a final decision in writing at the earliest practicable date after receipt of the oral and/or written reply, or the expiration of the reply period. The decision notice will inform the employee of the reasons and specifications that are sustained, the effective date (if any), and the right to file a grievance using the negotiated grievance procedure (if applicable). The Union shall be given the opportunity to be present when Management issues the notice, if the employee has designated the Union as a representative. C. Copies of relevant notices, replies (including summaries of oral replies), final decisions, and supporting documentation will be maintained by the Agency and will be made available to the employee and/or the Union representative upon request, subject to the Privacy Act requirements.

The BUE must submit an email request for official time. v. Copies of the material or documentation which was relied on by the Proposing Official to support the reasons for the action given in the proposal notice. These should be included as enclosures to the proposal notice. These enclosures may be redacted if inclusion would cause violations of the Privacy Act. The notice shall inform the employee where this material may be reviewed and that his/her representative may also review the material as well. vi. A written decision and the specific reasons therefore, at the earliest practicable date. vii. Grieve the decision through the negotiated grievance procedure contained in Article 20. The written decision shall advise the employee of the above rights, along with the name of the Union President and telephone number, and the name of the Employer official to whom the grievance should be directed. The Union President will then provide the name of the local representative.

  • Suspension Periods The Company may, after receiving the written consent of both Univar NV, CD&R Investor and Temasek Investor, (i) delay the filing or effectiveness of a Registration Statement in conjunction with a Demand Registration or an S-3 Shelf Registration or (ii) prior to the pricing of any Underwritten Offering or other offering of Registrable Shares pursuant to a Demand Registration or an S-3 Shelf Registration, delay such underwritten or other offering (and, if it so chooses, withdraw any registration statement that has been filed), but in each case described in clauses (i) and (ii) only if the Company determines (x) that proceeding with such an offering would require the Company to disclose material non-public information, which disclosure in the good faith judgment of the Board (after consultation with external legal counsel), would not otherwise be required to be disclosed at that time but for the filing, effectiveness or continued use of such Registration Statement and that the disclosure of such information at that time would not be in the Company’s best interests, or (y) that the registration or offering to be delayed would, if not delayed, materially and adversely affect the Company or the Group or materially interfere with, or jeopardize the success of, any pending or proposed material transaction, including, if material, any debt or equity financing, any acquisition or disposition, any recapitalization or reorganization or any other transaction. Any period during which the Company has delayed a filing, an effective date or an offering pursuant to this Section 5.05 is herein called a “Suspension Period”. If pursuant to this Section 5.05 the Company delays or withdraws a Demand Registration or S-3 Shelf Registration requested by a Stockholder, such Stockholder shall be entitled to withdraw such request and, if it does so, such request shall not count against the limitation on the number of such registrations set forth in Section 5.02 or Section 5.04. The Company shall provide prompt written notice to the Stockholders of the commencement and termination of any Suspension Period (and any withdrawal of a Registration Statement pursuant to this Section 5.03). The Stockholders shall keep the existence of each Suspension Period confidential. In no event (i) may the Company deliver notice of a Suspension Period to the Stockholders more than two times in any calendar year (or more than once in a six month period) and (ii) shall a Suspension Period or Suspension Periods be in effect for an aggregate of 90 days or more in any calendar year or any single period of time in excess of 60 days.

  • – SUSPENSION OF THE CONTRACT Without prejudice to the Agency's right to terminate the Contract, the Agency may at any time and for any reason suspend execution of the tasks under the Contract or any part thereof. Suspension shall take effect on the day the Contractor receives notification by registered letter with acknowledgment of receipt or equivalent, or at a later date where the notification so provides. (b) Any change in the above status shall be immediately reported to the Agency.

  • Suspensions Upon giving no less than one day’s prior written notice to the Holders of Registrable Securities, the Company shall be entitled to delay or suspend the filing, effectiveness or use of a Registration Statement or Prospectus (a “Suspension”) if the Conflicts Committee of the Company’s Board of Directors determines in good faith that the filing, effectiveness or use of such Registration Statement or Prospectus would be materially detrimental to the Company and its shareholders because such registration would (x) materially interfere in a way materially adverse to the Company with a significant acquisition, merger, disposition, corporate reorganization or other similar transaction involving the Company, (y) require premature disclosure of material information that the Company has a bona fide business purpose for preserving as confidential or (z) render the Company unable to comply with requirements under applicable securities laws; provided, that the Company shall not be entitled to exercise a Suspension (i) more than twice during any 12-month period or (ii) for a period exceeding 90 days on any one occasion. The Company shall use its reasonable best efforts to resolve any Suspension. Each Holder who is notified by the Company of a Suspension pursuant to this Section 7 shall keep the existence of such Suspension confidential and shall immediately discontinue (and direct any other Person making offers or sales of Registrable Securities on behalf of such Holder to immediately discontinue) offers and sales of Registrable Securities pursuant to such Registration Statement or Prospectus until such time as it is advised in writing by the Company that the use of the Registration Statement or Prospectus may be resumed and, if applicable, is furnished by the Company with a supplemented or amended Prospectus as contemplated by Section 8(g). If the Company delays or suspends a Demand Registration, the Holder that initiated such Demand Registration shall be entitled to withdraw its Demand Registration Request and, if it does so, such Demand Registration Request shall not count against the limitation on the number of such Holder’s Demand Registrations set forth in Section 3(b).

  • Suspension 19.2.1 If: (a) the Grantee does not comply with an obligation under this Agreement and the Commonwealth believes that the non‐compliance is capable of remedy; (b) the Commonwealth reasonably believes that the Grantee is unlikely to be able to perform the Activity or manage the Grant in accordance with this Agreement; or (c) the Commonwealth reasonably believes that there is a serious concern relating to this Agreement that requires investigation; the Commonwealth may by written notice: (d) immediately suspend the Grantee from further performance of the Agreement (including expenditure of the Grant); and/or (e) require that the non‐compliance or inability be remedied, or the investigation be completed, within the time specified in the notice. 19.2.2 If the Grantee: (a) remedies the non‐compliance or inability specified in the notice to the Commonwealth’s reasonable satisfaction, or the Commonwealth reasonably concludes that the concern is unsubstantiated, the Commonwealth may direct the Grantee to recommence performing the Activity; or (b) fails to remedy the non‐compliance or inability within the time specified, or the Commonwealth reasonably concludes that the concern is likely to be substantiated, the Commonwealth may reduce the scope of the Agreement in accordance with clause 19.1 or terminate the Agreement immediately by giving a second notice in accordance with clause 19.3.
