System Completion. Any Mobile Video System sold hereunder will be deemed completed upon DIR Customer’s (or the applicable Authorized User’s) Beneficial Use of the applicable Mobile Video System (the “System Completion Date”). DIR Customer will not unreasonably delay Beneficial Use, and in any event, the Parties agree that Beneficial Use will be deemed to have occurred thirty (30) days after functional demonstration. As used in this Section, “Beneficial Use” means use by DIR Customer or at least one (1) Authorized User of the material features and functionalities of Mobile Video System, in material conformance with Product descriptions in the applicable Ordering Document. Any additional Equipment sold in connection with the initial Mobile Video System shall be deemed delivered in accordance of the terms of the CSA. Any additional Subscription Software purchased under the VaaS Program will be deemed delivered upon DIR Customer’s receipt of credentials required for access to the Cloud Hosted Evidence Management System or upon Motorola otherwise providing access to the Cloud Hosted Evidence Management System. This Section applies to Products purchased under the MVA notwithstanding the delivery provisions of the Addendum applicable to such Products, such as the SSA or CSA, and this Section will control over such other delivery provisions to the extent of a conflict.
System Completion. STA acknowledges that SPC will negotiate the sale of the First Conduit to Qwest Communications Corporation, substantially in the form of Appendix M hereto (the "Qwest Agreement"). STA shall use its commercial best efforts to promptly complete the System according to the schedule set forth on Exhibit E of the Qwest Agreement, including without limitation, the construction, testing, and maintenance thereof (including the maintenance and retention of all licenses, permits, authorizations, and other rights, in whatever form necessary, to access, operate, and maintain the System) and the payment of operational costs related thereto, and shall perform such other obligations related thereto and existing at the Effective Date. STA further agrees to promptly and in good faith cooperate with SPC in the timely discharge of SPC's obligations under the Qwest Agreement, where the character and time of performance of such obligations require the assistance, collaboration, support, or consent of STA.
System Completion. That point when the Licensee has provided written documentation to the Issuing Authority that its 400MHz Cable System has been fully upgraded to a 750MHz trunk, or Digital Compression Technology equivalent, and distribution system and that such new technology has been made available to one hundred percent (100%) of the residential households in the Town, subject to Section 4.7 hereof.
System Completion. That point when the Licensee has provided written documentation to the Issuing Authority that its 860 MHz Cable System has been made available to one hundred percent (100%) of the residential households in the Town.
System Completion. All the requirements for Installation Completion as set forth in Section 5.1 have been satisfied, and the Installation Completion Date has occurred.

Related to System Completion

  • Shift Work Shift work is work not in excess of ordinary hours (ie 38 hours per week), but carried out wholly or partly between the hours of 7.00pm and 7.00am, Monday to Friday. Shift work is work scheduled at least 24 hours prior to the commencement of the shift. Employees required to work shift work will be paid at time and one quarter of the ordinary rate per hour for ordinary hours worked.

Where applicable, the Assignee shall be entitled to have a sufficient covenant of indemnity inserted in the assignment in order for the Purchaser to assume all liabilities and obligations pertaining to the property. The Assignee shall not be required to assign the property to any person other than the Purchaser. b) If the separate document of title or strata title for the property has been issued whether before, on or after the date of the auction sale, the Assignee shall not be required to register its charge(s) nor to procure a transfer in Form 14A as prescribed by the National Land Code, 1965 in favour of the Purchaser from the Developer or the Proprietor (as the case may be). The transfer of the Property from the Developer or Proprietor (as the case may be) shall be procured and prepared by the Purchaser at the Purchaser’s expense who undertakes to pay such sums and comply with the conditions (if any) imposed by the Developer and / or Proprietor and / or their solicitors and / or relevant authorities pertaining to the registration of such transfer of the property. c) “ Any arrears of Quit Rent, Assessment, service/maintenance charges, sinking fund including the late penalty interest (if any) which may be lawfully due to any relevant authority or the Developer up to the date of successful sale of the subject property shall be deducted from the purchase money upon receipt of the Balance sum, provided that the Assignee/Bank is in receipt of the itemized billing for Quit Rent, Assessment bills issued by the relevant authority and the Developer’s invoice/statement of account from the Purchaser within ninety (90) days from the date of sale. For avoidance of doubt, in the event such invoices and/or itemized xxxxxxxx are not submitted within the stipulated ninety (90) days from the auction date, any subsequent claims made thereunder will not be entertained by the Assignee/Bank and the same shall be borne by the Purchaser solely. All other charges as at the date of auction sale not specified in Clause 7(c) (including but not limited to water bills, electric bills, sewerage charges, telephone bills and/or other monies whatsoever outstanding to the Developer and/or other authority/parties) shall not be borne by the Assignee/Bank. The Purchaser shall bear and pay all fees and expenses including but not limited to all legal fees, stamp duty and registration fees in connection with, incidental to or pursuant to the Assignment and all other documents necessary for effecting the transfer or assigning the beneficial ownership in the property to the Purchaser d) The Purchaser is responsible to make his own enquiries and all liabilities and encumbrances affecting the property and shall be deemed to purchase in all respects subject thereto whether or not he makes any enquiry and neither the Assignee nor the Auctioneer shall be required or bound to inform the Purchaser of any such matters whether known to them or not and the Purchaser shall raise no enquiry, requisition or objection thereon or thereto. e) The stamp duty and registration fee for the Memorandum, the Assignment and subsequent transfer (as the case may be) shall be borne and paid by the Purchaser.

  • Day Work The Company shall structure the Project Working Hours to include one (1) half-hour rest break to be taken without deduction of pay by Employees working the Project Working Hours on any day (Monday to Saturday inclusive).

  • Commencement of Work Engineer shall not commence any field work under this Contract until he/she/it has obtained all required insurance and such insurance has been approved by County. As further set out below, Engineer shall not allow any subcontractor/subconsultant(s) to commence work to be performed in connection with this Contract until all required insurance has been obtained and approved and such approval shall not be unreasonably withheld. Approval of the insurance by County shall not relieve or decrease the liability of Engineer hereunder.

  • Work Day The standard work day shall be eight (8) consecutive hours of work exclusive of a lunch period in a consecutive twenty-four (24) hour day.
