System Deliverables. Upon Contractor’s notification to ComEd that Contractor has completed delivery of deliverables identified in a Statement of Work, ComEd shall review or test such deliverables to determine whether such component or deliverable performs in accordance with the Specifications and to ComEd’s satisfaction, and meets the acceptance criteria set forth in the applicable Statement of Work, if any. ComEd will use commercially reasonable efforts to complete such review or testing within a reasonable period after delivery of deliverables from Contractor. Deliverables will be deemed accepted upon ComEd’s written acceptance thereof.

System Deliverables. 2.1 System Deliverables shall be subject to the Acceptance Tests in this Schedule and the Statement of Work. 2.2 Acceptance Tests shall be performed by the Customer in relation to each System Deliverable. Supplier will provide reasonable assistance in accordance with the relevant Statement of Work and as otherwise agreed in advance with the Customer. 2.3 The Customer shall at all times be responsible for the provision of data and sample datasets for the purposes of conducting Acceptance Testing (including any requirements detailed in the relevant Statement of Work). 2.4 In good time prior to the planned date for the Acceptance Tests, the Customer shall prepare test scenarios, scripts and data as reasonably required to test whether a System Deliverable meets the Specification. 2.5 The Customer shall perform the applicable Acceptance Tests promptly following notification to the Customer by Supplier that the System Deliverable is ready for Acceptance Testing. Supplier shall provide such assistance and co-operation as the Customer may reasonably require for such purpose and shall be entitled to observe the Acceptance Tests and to see the results of the Acceptance Tests. 2.6 If the Acceptance Tests are passed, the Customer shall promptly confirm that the relevant System Deliverable has passed the Acceptance Tests by signing an Acceptance Certificate. In any event, the Customer shall have Accepted the System Deliverable. 2.7 If the Acceptance Tests are not passed, the Customer shall notify Supplier in writing as soon as reasonably practicable of any incident in relation to the Acceptance Tests and identifying the failure conditions, supplying details of the incident and the parties shall agree the priority of the incident for resolution purposes. 2.8 Following notification for the Customer that the Acceptance Tests are not passed, Supplier shall promptly identify whether the failure was as a result of (a) an issue with the Third Party Product (not caused by Supplier’s deficient performance of the Services) or (b) Supplier’s deficient performance of the Services. If and to the extent that: 2.8.1 there is an issue with the Third Party Product, Supplier will provide the Customer with reasonable assistance and reasonable cooperation with the provider of the Third Party Product to resolve that issue; or 2.8.2 there is an issue with Supplier’s performance of the Services, Supplier will rectify that issue as soon as reasonably practicable. 2.9 The Customer shall, as so...

  • SERVICE DELIVERABLES You will receive service on the Covered Product as described below: Carry-In: Unless otherwise provided in this Agreement, the Covered Product must be shipped or delivered and retrieved by You at Our authorized service center during normal business hours. In-Home/On-Site: Service will be performed in Your home or on-site as indicated on the Declarations Page of this Agreement, or on Your sales receipt or invoice provided You have fulfilled the following requirements: (1) provide Our authorized technician with accessibility to the Covered Product; (2) provide a non-threatening and safe environment for Our authorized technician; and (3) an adult over the age of 18 must be present for the period of time Our authorized technician is scheduled to provide service and while Our authorized technician is on Your property servicing the Covered Product. In-Home Service will be provided by Our authorized service provider during regular business hours, local time, Monday through Friday, except holidays. Our authorized service center may opt to remove the Covered Product to perform service in-shop. The Covered Product will be returned upon completion. Additional time and mileage charges for in-home repairs outside of twenty-five (25) contiguous land miles or the normal service radius of Our authorized service center are not covered by this Agreement, and are Your responsibility.
