(1) Unless exempted by an addendum to this contract, the Contractor is responsible during performance and through final payment of any contract for the accuracy and completeness of the data within the XXX database, and for any liability resulting from the Government's reliance on inaccurate or incomplete data. To remain registered in the XXX database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the XXX database to ensure it is current, accurate and complete. Updating information in the XXX does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.
(i) If a Contractor has legally changed its business name, "doing business as" name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in FAR subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to (A) change the name in the XXX database; (B) comply with the requirements of subpart 42.12; and (C) agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor must provide with the notification sufficient documentation to support the legally changed name.
(ii) If the Contractor fails to comply with the requirements of paragraph (t)(2)(i) of this clause, or fails to perform the agreement at paragraph (t)(2)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the XXX information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the "Suspension of Payment" paragraph of the electronic funds transfer (EFT) clause of this contract.
(3) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the XXX record to reflect an assignee for the purpose of assignment of claims (see Subpart 32.8, Assignment of Claims). System for Award Management (XXX). The XXX is the primary registrant database for the federal government and the repository into which an entity must submit information required to conduct business as a recipient. All applicant organizations must register with XXX, and will be assigned a XXX number. All information relevant to the XXX number must be current at all times during which the applicant has an application under consideration for funding by CDC. If an award is made, the XXX information must be maintained until a final financial report is submitted or the final payment is received, whichever is later. The XXX registration process can require 10 or more business days, and registration must be renewed annually. Additional information about registration procedures may be found at xxx.XXX.gov.

The Sub-grantee shall register in the System for Award Management (XXX), which is the primary registrant database for the U.S. Federal Government, and shall enter any information required by FFATA into the XXX, update the information at least annually after the initial registration, and maintain its status in the XXX through the Term of this Agreement. System for Award Management (XXX). XXX is the official federal system that collects, validates, stores, and disseminates business information about the federal government's trading partners in support of contract awards, grants, and electronic payment processes. A XXX registration is required for an entity to be able to apply for federal grants, to request modifications to existing grants, and to enable them to closeout expiring grants. See Training and Employment Notice 18-17 for additional guidance. Unless the grant award recipient is exempt from this requirement under 2 CFR 25.110, the grantee must maintain current its information in the XXX. This includes information on the recipient’s immediate and highest level owner and subsidiaries, as well as on all of the recipient’s predecessors that have been awarded a Federal contract or Federal financial assistance within the last three years, if applicable, until the grantee submits the final financial report required under this Federal award or receive the final payment, whichever is later. This requires that the grantee review and update the information at least annually after the initial registration, and more frequently if required by changes in its information or another Federal award term.

In order to receive a financial assistance award and to ensure proper payment, it is required that Cooperator maintain their registration with XXX, accessed at xxxx://xxx.xxx.gov. Failure to maintain registration can impact obligations and payments under this Agreement and/or any other financial assistance or procurements documents the Cooperator may have with the Federal government.
