TECHNICAL SUPPORT FEESClient understands that technical support fees will be required annually, in order to receive software updates and technical support. The support period shall begin from the date of go-live as part of the initial first year costs. The Client may elect to purchase subsequent annual support, on a yearly basis at a fixed cost, and billed annually as referenced in Section 5 above. The option to purchase annual support is solely at the Client’s discretion. The Client’s license to use PbK is not dependent upon the Client purchasing annual support; however, if the Client discontinues annual support it will not be provided with updated versions of the software, unless it is purchased. Provided Client’s computers, network and systems meet recommended specifications set for by Xxxxxx Solutions and the Client is current with annual support payments then Xxxxxx Solutions shall provide updated versions of their system and/or software as they become available during the terms of the contract. If the option for renewal is exercised, Karpel has the right to increase current pricing.

TECHNICAL SUPPORT FEES. CABG agrees to pay SURMODICS for technical support that SURMODICS provides to CABG for CABG’s products (“Technical Support Fees”) if such technical support is provided to CABG under a mutually agreed upon written project plan. SURMODICS shall charge CABG for such support at SURMODICS’ then-standard rates. SURMODICS shall have the right to determine whether patent or other intellectual property protection will be sought for any such invention and shall be solely responsible for all costs associated with obtaining and maintaining such patent or other intellectual property protection.

Client’s license to use the Software Program(s) is not dependent upon Client purchasing annual support; however, if Client discontinues annual support, Client will not be provided with updated versions of the Software Program(s), unless the updates are purchased by Client. Provided Client’s computers, network and systems meet recommended specifications set by Xxxxxx Solutions and Client has purchased and is current with annual support payments, Xxxxxx Solutions will provide updated versions of the Software Program(s) as they become available during the term of the Agreement. If Client elects to renew the annual support service, Xxxxxx Solutions has the right to increase current pricing for annual support at the time of renewal, provided that notice of the increased pricing is provided to Client prior to the effective date of the renewal of the annual support service.

SURMODICS may change its Technical Support Fees with thirty (30) days advance written notice to CARDIMA. SURMODICS shall additionally charge direct materials plus fifteen percent (15%). Other expenses such as travel and special equipment shall be reimbursed at cost, but only as mutually agreed upon in writing. SURMODICS shall invoice CARDIMA monthly for such Technical Support Fees, and CARDIMA shall make payment to SURMODICS within thirty (30) days after the date of the invoice.
TECHNICAL SUPPORT FEESLICENSEE shall pay the following amounts for the respective technical support services provided by NDS pursuant to any work request: 4.2.1. Webpage development, website changes or customization, and management consulting at a rate of $125.00 per hour; and, 4.2.2. Questions development at a rate of $0.50 per question. Technical support fees shall be due and payable by LICENSEE within ten (10) business days after receipt of an invoice for services from NDS. The technical support fees shall be adjusted upward annually according to the "best price" offered by and charged by NDS to its preferred vendors, which shall not exceed an increase of 10% over the amount charged in the previous year. Failure by the LICENSEE to pay NDS, at its election, to stop work until payment is made without liability for any damages or being considered in breach of contract.
TECHNICAL SUPPORT FEES. Oracle agrees that the Alliance Member shall have the right to offer Oracle annual Technical Support services to Sublicensees in the United States that are currently acquiring Full Use Programs. The Alliance Member shall only offer Oracle Technical Support services with respect to the initial first year of Technical Support for a Sublicensed Program. The Alliance Member shall only offer Oracle annual Technical Support services to a Sublicensee provided that: A. Oracle receives from the Sublicensee an executed, standard Oracle Technical Support Services Agreement, Oracle Agreement, or other terms to govern the Technical Support services as agreed to in writing by Oracle and the Sublicensee; B. The Full Use Programs are currently Sublicensed by the Alliance Member; C. The Alliance Member pays Oracle its required Sublicense fee for the applicable Sublicensed Programs as provided under the Agreement, and the Alliance Member pays Oracle the applicable Technical Support services fees as set forth herein in advance; D. The Alliance Member's Sublicense of the Full Use Programs coincides with the agreement to provide Technical Support Services for such Programs; and E. The net Technical Support services fees represent new Technical Support revenue to Oracle. The Technical Support services fees payable by Alliance Member as provided above shall be Oracle's standard rates for such services as provided under the Price List in effect at the time the Technical Support services are ordered, discounted in accordance with the Discount Schedule for License and Technical Support Fees attached hereto as Exhibit A.
