Technology System Usage and Maintenance Services. On [●], our Company (for itself and on behalf of its subsidiaries) entered into a framework technology system usage and maintenance services agreement (the “Framework Technology System Usage and Maintenance Services Agreement”) with China Vanke (for itself and on behalf of members of the Retained China Vanke Group and their respective associates), pursuant to which members of the Retained China Vanke Group and their respective associates agreed to provide our Group with technology system usage and maintenance services. The technology system usage and maintenance services include (i) the purchase of network infrastructure resources; and (ii) the grant of rights of using certain non-essential information system and software (such as electronic signature contract software) and the provision of maintenance services connected thereto (collectively, the “Technology System Usage and Maintenance Services”). The Framework Technology System Usage and Maintenance Services Agreement has a term commencing from the [REDACTED] to December 31, 2024, which may be renewed as the parties may mutually agree, subject to compliance with the requirements under Chapter 14A of the Listing Rules and all other applicable laws and regulations. The definitive technology system usage and maintenance services agreements to be entered into between members of our Group and members of the Retained China Vanke Group and their respective associates shall only contain provisions which are, in all material aspects, consistent with the binding principles, guidelines, terms and conditions set out in the Framework Technology System Usage and Maintenance Services Agreement. For the years ended December 31, 2019, 2020 and 2021 and the three months ended March 31, 2022, the total amount of fees paid by our Group to members of the Retained China Vanke Group and their respective associates in respect of the Technology System Usage and Maintenance Services was approximately RMB3.8 million, RMB7.8 million, RMB8.8 million and RMB2.4 million, respectively. The increase in the transaction amount for the year ended December 31, 2020 as compared to that for the year ended December 31, 2019 was primarily for the reason that we poured more resources into technology research and development, which resulted in our increasing demand for purchasing network infrastructure resources under the Technology System Usage and Maintenance Services.   • Software Maintenance and Support If You purchase Software Maintenance and Support for the Software, the Software Maintenance and Support will be provided as described in Kofax’s then current Software Maintenance and Support Agreement, available at xxxx://xxx.xxxxx.xxx/legal/SMSA, and which is incorporated herein by this reference. If You are active and current on Software Maintenance and Support, You may request reconfigurations of the Software subject to Your payment of Kofax’s then current standard rates for such reconfigurations. Kofax will have no liability to You arising from or related to Your cessation of Software Maintenance and Support, whether from Your failure to timely renew Software Maintenance and Support or otherwise. If You elect to reinstate Software Maintenance and Support following expiration of the Software Maintenance and Support for whatever reason, You will (a) pay a reinstatement fee equal to the sum of the current annual Software Maintenance and Support fees, any unpaid Software Maintenance and Support fees from the date of expiration to the date of reinstatement, and an amount equal to one additional year of Software Maintenance and Support fees, and (b) apply all upgrades, enhancements and new releases to the Software needed to bring Your Software current with Kofax’s most current supported version of the Software. Software Maintenance and Support pricing will increase for renewal terms by an amount not to exceed 5% of the prior year term fee, provided that increases associated with additional software license purchases, if any, will be incorporated into the base for the purpose of calculation of each annual increase.

  • Network Maintenance and Management 36.1 The Parties will work cooperatively to implement this Agreement. The Parties will exchange appropriate information (for example, maintenance contact numbers, network information, information required to comply with law enforcement and other security agencies of the Government, escalation processes, etc.) to achieve this desired result.

  • Operating and Maintenance Manuals 58.1 If “as built” Drawings and/or operating and maintenance manuals are required, the Contractor shall supply them by the dates stated in the Contract Data.
