TERM/PERIOD OF PERFORMANCE. This AGREEMENT shall continue in full force and effect for a period of one
(1) year from the EFFECTIVE DATE. All of the PARTIES’ obligations and duties hereunder shall survive termination of this AGREEMENT for any reason and shall continue in full force and effect with respect to all PROPRIETARY INFORMATION received prior to such termination.
TERM/PERIOD OF PERFORMANCE a. The term of this Agreement shall commence on June 1, 2022, or the date the Agreement is approved by the California Department of Technology, whichever is later (referred to herein as the “Effective Date”) and continue through May 31, 2024.
b. The State reserves the option to extend the term of this Agreement at its sole discretion for up to two (2) optional two (2) year extensions.
c. The Contractor shall not be authorized to deliver or commence services as described in this SOW until written approval has been obtained from the State. Any delivery or performance of service that is commenced prior to the signing of the Agreement shall be considered voluntary on the part of the Contractor and not eligible for payment nor compensation.
TERM/PERIOD OF PERFORMANCE a. The period of performance for the Contract shall be two (2) months from April 20, 2020 or upon approval, whichever is later, through June 20, 2020.
b. The Contractor shall not be authorized to deliver or commence the performance of services as described in this SOW until written approval has been obtained from all entities. Any delivery or performance of service that is commenced prior to the signing of the Contract shall be considered voluntary on the part of the Contractor and non- compensable.
TERM/PERIOD OF PERFORMANCE. The Research shall be conducted during the period (the “Period of Performance”) commencing and, unless earlier terminated in accordance with this Agreement, ending (“Completion Date”). The Period of Performance may be modified or extended by affirmative email confirmation between the Parties’ Contractual Matters representatives designated in Section 14; all other changes to this Agreement may be made only as provided in Section 24. The term of this Agreement shall commence upon the first to occur of (i) the date first written above or (ii) the commencement of the Period of Performance, and expire on the Completion Date.
TERM/PERIOD OF PERFORMANCE. 1) Effective upon approval of the California Department of Technology (CDT), Statewide Technology Procurement (STP), the initial Multiple Award Contract term will be three (3) years.
2) Cal OES, at its sole discretion, may exercise its option to execute four (4), one (1)-year extensions for a maximum Multiple Award Contract term of seven (7) years.
3) The Contractor shall not be authorized to deliver goods or commence the performance of services as described in this SOW until written approval has been obtained from all entities. Any delivery or performance that is commenced prior to the signing of the multiple award California Govefnor’s Office of Emergency Services Vesta Solutions, Inc. 9-1-1 CPE Systems Agreement# 4151-6 contracts shall be considered voluntary on the part of the Contractor and non- compensable.
4) Amendments may occur at any time, consistent with the Terms and Conditions of the Multiple Award Contract and by mutual consent of both parties, subject to approval by the STP under Public Contract Code (PCC) 12100.
5) Period of performance for a PSAP’s CPE purchase will continue for the five (5) years, consisting of a one (1) year warranty and four (4) years maintenance included in the purchase price, from the date of system acceptance. The Contractor shall adhere to this Period of Performance even when the multiple award contract term may have expired.
6) If the Contractor receives a CPE request from the PSAP, the Contractor must coordinate with the PSAP to ensure sufficient time to develop a PO Package. A PSAP’s PO Package (as described within the CA 9-1-1 Branch Operations Manual Chapter 3 - Funding) must be received by the CA 9-1-1 Branch at a minimum of four (4) weeks prior the Multiple Award Contract expiration to allow time for review, revision, and issuance of a TD-288 Commitment to Fund.
7) The Contractor is required to respond to the PSAP’s request for additional CPE monthly maintenance (beyond original purchases five (5) year maintenance term) by providing a quote not to exceed the Cost Workbook pricing in Exhibit 16. Quote must be provided with sufficient lead time to allow PSAP’s submittal of required PO to the CA 9-1-1 Branch at a minimum of four (4) weeks prior to expiration of the Multiple Award Contract.
8) If the Contractor subsequently receives PSAP’s submittal of PO and the CA 9-1-1 Branch’s TD-288 Commitment to Fund additional CPE monthly maintenance, Period of Performance shall continue on a monthly basis for up to an add...
TERM/PERIOD OF PERFORMANCE. The original period of performance for the Agreement (also referred to in this SOW as the "Contract") ran from January 8, 2021 through April 30, 2021. Amendment 1 extends the Agreement term through September 6, 2021. The Contractor shall not be authorized to deliver or commence the performance of services as described in this SOW until written approval has been obtained from all entities. Any delivery or performance of service that is commenced prior to the signing of the Contract shall be considered voluntary on the part of the Contractor and non-compensable.
TERM/PERIOD OF PERFORMANCE. This Agreement will be effective as of the Effective Date, and will automatically expire on _______________.
TERM/PERIOD OF PERFORMANCE. The Contract term will commence on the Effective Date and will continue in force for a period of five (5) years. Upon expiration thereof, the Contract will continue in force thereafter for successive terms of five (5) years each, unless notice of termination is provided as follows: Any Party may notify the others in writing of its intent to terminate this Contract not later than one (1) year prior to the expiration of the then-current term, in which case the Contract shall terminate at the end of the then-current term.

B. Upon mutual consent, Cal OES and the Fire Agency may execute written amendments for changes to this Agreement that include time and funding.

Any delivery or performance of service that is commenced prior to the State signing the contract shall be considered voluntary on the part of the Vendor andnon-compensable.
