Termination of Professional Services. The Professional or the City may terminate the Professional Services component of this Agreement, without specifying the reason therefor, by giving notice, in writing, addressed to the other party, specifying the effective date of the termination. No fees shall be earned after the effective date of the termination. Upon any termination, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs, reports or other material prepared by the Professional pursuant to this Agreement shall become the property of the City. Notwithstanding the above, Professional shall not be relieved of any liability to the City for damages sustained by the City by virtue of any breach of this Agreement by the Professional, and the City may withhold any payments to the Professional for the purposes of set-off until such time as the exact amount of damages due the City from the Professional may be determined.

Termination of Professional Services. Professional Services whether ordered through a Statement of Work or Order may be terminated prior to the planned completion of the Professional Services as follows:
Termination of Professional Services a. Either party may terminate the Professional Services at any time without cause upon 30 (thirty) days prior notice. b. Upon any termination of the Professional Services, all paid fees will be nonrefundable and Customer will be responsible for all fees and expenses for all Deliverables provided and Professional Services performed up to, and including, the effective date of termination.
Termination of Professional Services. (i) User’s Default Famic reserves the right to terminate any professional service upon written notice sent to User before the cancellation date. The delay in which the notice is served will depend on the severity of the event prompting for termination:  User is in default of his contractual obligations and does not rectify the situation within ten (10) days following the receipt of the written notice (immediate termination).  User is in default of payments, in bankruptcy, in receivership or compulsory liquidation, if a receiver is appointed for the company or in the event of an administration order (immediate termination). Notwithstanding the foregoing, User is required to pay any amount due and related costs as of the date of such termination. (ii) Famic’s Default User reserves the right to terminate any professional service upon written notice sent to Famic thirty (30) days before the cancellation date.  Famic is in default of his contractual obligations and does not rectify the situation within ten (10) days following the receipt of the written notice.  Famic is in bankruptcy, in receivership or compulsory liquidation, if a receiver is appointed for the company or in the event of an administration order.
Termination of Professional Services. Licensee may terminate an Order for Professional Services by giving Magniforce thirty (30) days prior written notice. Promptly after receipt of such notice Magniforce shall inform Licensee of the extent to which performance has been completed through the date the termination will be effective, and collect and deliver to Licensee whatever work product then exists in the manner requested by Licensee. Licensee shall promptly pay for all Professional Services rendered through and including the effective date of termination in accordance with the terms of this Agreement and the applicable Order.
Termination of Professional Services. Except as may be provided in a Sales Order, Customer may terminate any engagement of Professional Services prior to completion effective ten (10) business days after providing Kofax written notice of such termination together with payment for all Professional Services and reimbursement of all travel and living expenses incurred through the date of Kofax’s receipt of such notice; provided, that Kofax also will be entitled to payment for any non-cancelable obligations associated with the work subject of such Professional Services, including, without limitation, any partially completed deliverables which pertain to milestones.
Termination of Professional Services. Excluding Standard and Premium Technical Support, ei- ther party may terminate Professional Services (i) in the event of material breach by the other party with notice and thirty (30) days’ opportunity to cure (or 10 days for failure to pay Profes- sional Services Fees or reimburse expenses not disputed in good faith) or (ii) in accordance with the termination provisions of the applicable Order.

  • Professional Services Bodily injury" or "property damage" arising out of the rendering of or failure to render profes- sional services;

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. If he has such a fixed base, the income may be taxed in the other State but only so much of it as is attributable to that fixed base. 2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.

  • DEPENDENT PERSONAL SERVICES 1. Subject to the provisions of Articles 16, 18 and 19, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of an employment shall be taxable only in that State unless the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State. 2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of an employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if: a) the recipient is present in the other State for a period or periods not exceeding in the aggregate 183 days in any twelve-month period commencing or ending in the tax year concerned, and b) the remuneration is paid by, or on behalf of, an employer who is not a resident of the other State, and c) the remuneration is not borne by a permanent establishment or a fixed base which the employer has in the other State. 3. Notwithstanding the preceding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship or aircraft operated in international traffic by a resident of a Contracting State, may be taxed in that State.
