The Governing Council. The Organization shall have a Governing Council consisting of all Member States. The Governing Council shall be the supreme body of the Organization.
The Governing Council. 1. The Centre shall have a Governing Council consisting of all Member States.
2. The Governing Council shall hold a regular session once every two years at such time and place as it shall determine. The Governing Council may hold special sessions if it so decides or if they are convened by the Director of the Centre at the request of one third of the Member States.
3. The Governing Council shall elect its officers and adopt its own Rules of Procedure. Each Member State shall have one vote. Except as otherwise expressly provided in this Agreement, all decisions of the Governing Council shall be taken by a simple majority of the votes cast. A simple majority of the Member States shall constitute a quorum.
4. Non-member States, organizations and agencies that are able to make a significant contribution to the activities of the Centre shall, in accordance with the Rules of Procedure adopted under paragraph 3, be invited to be represented at sessions of the Governing Council as observers.
The Governing Council. 1. The ASEAN Tourism Professional Monitoring Committee ("ATPMC") shall be the Governing Council of the Secretariat.
2. The ATPMC shall consist of ASEAN National Tourism Organisations ("ASEAN NTOs") and appointed representatives from the National Tourism Professional Boards ("NTPB").
3. The roles of the Governing Council shall be as follows:
a. undertake the overall supervision of operations, provide policy guidance and give directions to the Secretariat;
b. approve the organizational structure and staff requirements of the Secretariat; establish the terms and conditions for the position of the Executive Director, and staff members;
c. establish the terms and conditions for the position of the Executive Director, and staff members;
x. xxxxxxx and evaluate an Executive Director in accordance with the terms and conditions for such a position as established;
e. approve the rules, procedures and regulation for the operations of the Secretariat including staff and financial rules and procedures;
f. recommend to the ASEAN NTOs the annual business plan, including the annual budget of the Secretariat, and monitor its implementation;
g. oversee the utilization of revenue and approve the rules and procedures for the management of such revenue;
h. approve the disposal of the property and assets of the Secretariat in case of dissolution of the Secretariat, and on any other matters concerned with the dissolution; and
i. perform any other functions necessary to achieve the objective of the Secretariat.

3. The Governing Council shall hold an annual session at such time and place as it shall determine.
4. Special sessions of the Governing Council may be convened by the Director General at the request of not less than two-thirds of the Members.
5. The Governing Council may, in its Rules of Procedure, establish a procedure whereby the Chairman of the Governing Council may obtain a vote of the Members on a specific question without convening a meeting of the Council.
6. The Governing Council shall elect its Chairman and other officers.
7. Each Member shall have one vote. Unless otherwise provided in this Agreement, decisions of the Governing Council shall be taken by a majority of the votes cast. A majority of the Members shall constitute a quorum.
8. The Food and Agriculture Organization of the United Nations (FAO) shall be invited to be represented at meetings of the Governing Council in an advisory capacity.
9. Donor Governments may be represented at meetings of the Governing Council in accordance with an agreement concluded with the Organization under Article 16 of this Agreement.
The Governing Council. 10.1 In accordance with Article 283(1) of the Treaty on the Functioning of the European Union, the Governing Council shall comprise the members of the Executive Board of the ECB and the governors of the national central banks of the Member States whose currency is the euro.
10.2 Each member of the Governing Council shall have one vote. As from the date on which the number of members of the Governing Council exceeds 21, each member of the Executive Board shall have one vote and the number of governors with a voting right shall be 15. The latter voting rights shall be assigned and shall rotate as follows: The right to vote shall be exercised in person. By way of derogation from this rule, the Rules of Procedure referred to in Article 12.3 may lay down that members of the Governing Council may cast their vote by means of teleconferencing. These rules shall also provide that a member of the Governing Council who is prevented from attending meetings of the Governing Council for a prolonged period may appoint an alternate as a member of the Governing Council. The provisions of the previous paragraphs are without prejudice to the voting rights of all members of the Governing Council, with and without a voting right, under Articles 10.3, 40.2 and 40.3. Save as otherwise provided for in this Statute, the Governing Council shall act by a simple majority of the members having a voting right. In the event of a tie, the President shall have the casting vote. In order for the Governing Council to vote, there shall be a quorum of two-thirds of the members having a voting right. If the quorum is not met, the President may convene an extraordinary meeting at which decisions may be taken without regard to the quorum.
10.3 For any decisions to be taken under Articles 28, 29, 30, 32 and 33, the votes in the Governing Council shall be weighted according to the national central banks' shares in the subscribed capital of the ECB. The weights of the votes of the members of the Executive Board shall be zero. A decision requiring a qualified majority shall be adopted if the votes cast in favour represent at least two thirds of the subscribed capital of the ECB and represent at least half of the shareholders. If a Governor is unable to be present, he may nominate an alternate to cast his weighted vote.
10.4 The proceedings of the meetings shall be confidential. The Governing Council may decide to make the outcome of its deliberations public.

3. The Governing Council may hold special sessions if it so decides or at the request of one third of the Member States.
4. The Governing Council shall elect its Chairman and other officers.
5. The Governing Council shall adopt its own Rules of Procedure, by a threequarters majority of the votes cast.
6. Each Member State shall have one vote while the Associate Members will only have the right to voice. Except as otherwise expressly provided in this Agreement, all decisions of the Governing Council shall be taken by a majority of the votes cast. A majority of the Members shall constitute a quorum.
The Governing Council. 1. EUROFISH shall have a Governing Council composed of all Members. Each Member shall be represented by one delegate, who may be assisted by technical experts and advisers.
2. Subject to paragraph 3 below, each Member shall have one vote. Decisions of the Governing Council shall be taken by a majority of the votes cast. Except as otherwise provided by this Agreement, a majority of the total membership of the Governing Council shall constitute a quorum. However, as far as possible, decisions of the Governing Council will be taken by consensus.
3. A Regional Economic Integration Organisation that is a Member of EUROFISH shall be entitled to exercise in any meeting of the Governing Council or of any subsidiary body of the Organisation a number of votes equal to the number of its Member States that are entitled to vote in such meeting.
4. A Regional Economic Integration Organisation that is a Member of the Organisation shall exercise its membership rights on an alternative basis with its Member States that are Members of the Organisation in the areas of their respective competence. Whenever a Regional Economic Integration Organisation that is a Member of EUROFISH exercises its right to vote, its Member States shall not exercise theirs, and conversely.
5. Any Member of EUROFISH may request a Regional Economic Integration Organisation that is a Member of the Organisation or its Member States that are Members of EUROFISH to provide information as to which , as between the Member Organisation and its Member States, has competence in respect of any specific question. The Regional Economic Integration Organisation or the Member States concerned shall provide this information on such request.
6. Before any meeting of the Governing Council or a subsidiary body of the Governing Council, a Regional Economic Integration Organisation that is a Member of EUROFISH, or its Member States that are Members of the Organisation, shall indicate which, as between the Regional Economic Integration Organisation and its Member States, has competence in respect to any specific question to be considered in the meeting and which, as between the Regional Economic Integration Organisation and its Member States, shall exercise the right to vote in respect of each particular agenda item.
