Traffic Subject to Reciprocal Compensation. Reciprocal compensation is applicable for Transport and Termination of Subject Telecommunications Traffic as defined in Section 1.22 of this Agreement and is related to the exchange of traffic described in Section 3. For the purposes of billing compensation for Subject Telecommunications Traffic, billed minutes will be based upon actual usage recorded and/or records/reports provided by the transiting carrier. Measured usage begins when the terminating recording switch receives answer supervision from the called end-user and ends when the terminating recording switch receives or sends disconnect (release message) supervision, whichever occurs first. The measured usage is aggregated at the end of the measurement cycle and rounded to a whole minute. Billing for Subject Telecommunications Traffic shall be based on the aggregated measured usage less traffic recorded as local that is Non-Subject Telecommunications Traffic. The rate for Reciprocal Compensation is listed in Attachment A. The Parties agree to xxxx each other for Subject Telecommunications Traffic as described in this Agreement unless the Subject Telecommunications Traffic exchanged between the Parties is balanced and falls within an agreed upon threshold (“Traffic Balance Threshold”). The Parties agree that for purposes of this Agreement, the Traffic Balance Threshold is reached when the Subject Telecommunications Traffic exchanged, both directly and indirectly, falls between 52.5% / 47.5% in either the wireless-to- landline or landline-to-wireless direction. When the actual usage data for three (3) consecutive months indicates that the Subject Telecommunications Traffic exchanged, both directly and indirectly, falls within the Traffic Balance Threshold, then either Party may provide the other Party a written request, along with verifiable information supporting such request, to eliminate billing for Reciprocal Compensation per minute. Upon written consent by the Party receiving the request, there will be no billing for Reciprocal Compensation on a going forward basis unless otherwise agreed to by both Parties, in writing.

Such percentages shall apply to both Type 2 Direct and Indirect Service as defined herein.

The rate for Reciprocal Compensation for XXXXX shall be: Local Switching $0.019705 per conversation minute Tandem Switched Facility $.000161 per conversation minute per mile Tandem Switched Termination $0.001472 per conversation minute The rate for Reciprocal Compensation for CINGULAR shall be: $0.019705 per conversation minute. The above rates for traffic subject to Reciprocal Compensation shall be used until the Commission has approved a new forward looking Total Service Long Run Incremental Cost ("TSLRIC") study. The Agreement will be amended as of the date of the Commission Order approving the new TSLRIC study, the amendment reflecting the rates resulting from the new TSLRIC study. The amended rates will apply on a going- forward basis only. The above paragraph and rates are incorporated into this Agreement as a result of a February 21, 2006 Order of the Michigan Public Service Commission in MPSC Case No. U-14678. By entering into this Agreement, neither party waives, but instead expressly reserves, all of its rights, remedies and arguments with respect to any challenge to, or appeal of, said Commission Order.

If either Party does not have the capability to measure the traffic over the direct trunks, Parties may agree on an alternative method for billing such traffic. Measured usage begins when the terminating recording switch receives answer supervision from the called end-user and ends when the terminating recording switch receives or sends disconnect (release message) supervision, whichever occurs first. The measured usage is aggregated over the monthly billing period and rounded to a whole minute at the end of the monthly billing period. Billing for Local Telecommunications Traffic shall be based on the aggregated measured usage plus usage from reports provided by the transiting company less traffic that is Non-Local Traffic. The Parties agree to revise this rate to Sandhill's cost based rate, developed in compliance with the FCC's pricing methodology. When such study is completed, Sandhill will provide Cingular a copy of the study for its review. The cost based rate will become effective thirty (30) days after the Parties reach an agreement that the cost methodology used complies with the FCC's pricing methodology in deriving the combined transport and termination rate.
Traffic Subject to Reciprocal Compensation. Reciprocal Compensation applies to the Transport and Termination of one Party's Subject Traffic by another Party over the interconnection arrangement(s) as described in Section 4.0. The rate for Reciprocal Compensation is listed in Appendix A to this Agreement. The Partiesagreement to the sharing of facilities and the Reciprocal Compensation rate in Appendix A carries with it the precondition that the term of this Agreement is as set forth in Section 8 following. As such, all issues have been negotiated as one interrelated term containing specific rates and conditions that are non-separable for purposes of 47 CFR §252(i).
