Training Maintenance and Support. Provider shall provide training to Authorized Users at Subscriber site sufficient to enable them to use the Applications. Installation and training services shall be performed in a competent wxxxxxx-like manner. Provider shall provide reasonable telephone and email technical support for the Applications during Operating Hours (other than holidays on which the stock exchanges are closed). Extended or exceptional requests for support by Subscriber may be subject to a support fee to be mutually agreed upon by Provider and Subscriber.

Training Maintenance and Support. 8.1. Grantee and Grantor shall collaborate on mutually beneficial training, and shall be provided before Grantee begins to promote the Grantor Platform and thereafter as necessary at no cost to Grantee. Any additional optional training requested by the Grantee may be provided, subject to mutually agreed upon fees for such additional training (such fees and expenses to be paid by the Grantee). Grantee will be solely responsible for all fees and expenses incurred in attending any training. Without limiting the foregoing, Grantor will provide Grantee with: (i) sales and technical information regarding the Grantor Platform; (ii) a reasonable amount of literature and other marketing materials pertaining to Grantor and to the Grantor Platform; and (iii) notice within a reasonable time of any changes in the Grantor Platform, prices, terms of payment, warranties, and other material terms and conditions (for the sake of clarity, it is agreed that such changes will not affect any existing Customers).
Training Maintenance and Support. Avici agrees to provide Customer training, support and maintenance with respect to the Product and Software with the terms and conditions upon which such training, support and maintenance will be provided to be set forth in a separate "Maintenance, Support and Training Agreement" which shall be mutually agreed between the parties and executed within thirty (30) days from the Effective Date. Although a Maintenance, Support and Training Agreement is to be subsequently negotiated, this Agreement and its continuing effectiveness is not conditional upon the execution of the Maintenance, Support and Training Agreement.

  • Maintenance and Support For so long as you timely pay your SaaS Fees according to the Invoicing and Payment Policy, then in addition to the terms set forth in the SLA and the Support Call Process, we will:

  • Support and Maintenance Where Licensee purchases support and/or maintenance services, Licensee’s initial support and/or maintenance term will begin upon delivery to Licensee of the Licensed Software and continue for one (1) year thereafter (or the length of the term if less than a year for any subscription/term license) unless otherwise specified in the applicable annual support and/or maintenance agreement, Product Order, or other written agreement executed between Licensor and Licensee. Where Licensee purchases support and/or maintenance for any Licensed Software, Licensee hereby agrees that it shall purchase such support and/or maintenance services for all of Licensee’s licensed units of such Licensed Software product. Support and/or maintenance services provided by Licensor will be subject to Licensor’s then current applicable standard annual support and/or maintenance agreement unless otherwise agreed by the parties in writing.

  • Software Maintenance Subrecipient shall apply security patches and upgrades in a timely manner and keep virus software up-to-date on all systems on which State data may be stored or accessed.

  • TECHNICAL SUPPORT SERVICES 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Listing and Maintenance Requirements The Common Stock is registered pursuant to Section 12(b) or 12(g) of the Exchange Act, and the Company has taken no action designed to, or which to its knowledge is likely to have the effect of, terminating the registration of the Common Stock under the Exchange Act nor has the Company received any notification that the Commission is contemplating terminating such registration.   • Maintenance Support State Street shall use commercially reasonable efforts to correct system functions that do not work according to the System Product Description as set forth on Attachment A in priority order in the next scheduled delivery release or otherwise as soon as is practicable.
