Transition Coordination. Following the expiration of the Feasibility Period, Seller and Purchaser shall cooperate in good faith to effect an orderly transition of the ownership of the Hotel and the consummation of the transactions contemplated hereby. In implementation thereof, Seller and Purchaser shall each designate a representative to coordinate such transition. Initially, Seller’s representative shall be Xxxxx Xx Xxxxx and Purchaser’s representative shall be Xxxx Xxxxx. Either party may change its representative from time to time by providing notice to the other party in accordance with Section 14.6 of this Agreement.

Transition Coordination. As of the Closing Date and for the duration of the Transition Services, each Party shall designate one or more employees to coordinate the management of the Transition Services. At least once each month, these coordinators (or their respective designees) shall meet either in-person or by telephone to assess the progress towards completion of the Transition Services and each will use his or her reasonable efforts to facilitate completion of the Transition Services, including the review of the budgets for, and the costs and expenses incurred in connection with the performance of, the Transition Services.
Transition Coordination. Prior to the date of this Agreement, the Parties have developed a proposed set of procedures for the orderly transition of the marketing, distribution, order processing, billing and collection relating to the Product in the Territory from LEO's Canadian Affiliate and the Current Distributor to Pharmion and such new wholesaling or distribution organization as Pharmion shall select. Such procedures are set forth in Schedule 4 to this Agreement. XXX shall be responsible for all costs and expenses associated with the termination of agreements relating to such services that XXX or its Affiliate may have entered into prior to the date of this Agreement.
Transition Coordination. Within two (2) days after the Transfer Date, the Parties shall each appoint a representative (the “Transition Coordinators”) to facilitate the complete transition in a timely fashion of all Transferred Assets from Glenmark to Napo pursuant to this Agreement. The Transition Coordinators shall coordinate and facilitate communications between and among personnel of the various operational groups of the Parties involved in the transfer of the Transferred Assets. The Transition Coordinators shall meet, by telephone, internet platform or in person, to discuss the status of the transition and to attempt to amicably resolve any disagreements or miscommunications between the Parties that may arise in connection with information to be exchanged, timelines for transfer of documents or information, or the like. Such meetings shall be held at such times as is necessary to accomplish the purposes set forth in the foregoing sentence; either Transition Coordinator may by written or Email communication to the other Transition Coordinator request that a meeting be scheduled and the Transition Coordinators shall then cooperate in good faith to schedule the requested meeting. The Transition Coordinators are intended (i) to facilitate the smooth delivery by Glenmark to Napo of all Transferred Assets, (ii) to ensure the timely execution of the Manufacturing and Supply Agreement, in accordance with Section 4.7(c) below, and (iii) to serve as the primary contact and authoritative decision-making point person with respect to any and all matters arising in connection with the performance of this Agreement.
Transition Coordination. (a) Between the date of this Agreement and the earlier of the Closing Date and the termination of this Agreement pursuant to Section 10.01, each Party shall reasonably cooperate with the other Party in planning necessary and appropriate policies, procedures and other arrangements in connection with the transition and integration of ownership of the Group Companies, including (i) meeting periodically to provide updates regarding the pre-Closing separation, data segregation, migration and implementation activities relating to the Business IT Assets and (ii) planning the services to be provided pursuant to the Transition Services Agreement. As necessary in connection therewith, each Party shall designate certain of their respective employees as “Transition Coordinators” to coordinate planning contemplated by this Section 5.19.
Transition Coordination. (a) Promptly after the date hereof, and in any event within thirty (30) days hereafter, each of Seller and Buyer shall establish a transition committee that shall meet to discuss any relevant matters related to the Transition Services Agreement, the Separation, the Migration, the New Business Administrative Services Agreement, the New Policies Book Roll and the Cashflow Diagram (the “Transition Committee”), including each party appointing one representative to co-lead such committee (each, a “Transition Representative”), each of whom shall act as the principal points of contact between the parties hereto in relation to matters arising under this Section 5.11, the Transition Services Agreement and the New Business Administrative Services Agreement. Each of the Transition Representatives shall be a vice president or more senior-level employee in order to facilitate productive meetings.
Transition Coordination. B.1.8.1 Transition coordination is available to Enrollees enrolled in the EDCD Waiver to support the Enrollee and his or her designated representative, as appropriate, with the activities associated with transitioning from an institution to the community pursuant to the EDCD Waiver.

  • Cooperation and Coordination The Parties acknowledge and agree that it is their mutual objective and intent to minimize, to the extent feasible and legal, taxes payable with respect to their collaborative efforts under this Agreement and that they shall use all commercially reasonable efforts to cooperate and coordinate with each other to achieve such objective.

  • Service Coordinators Each Party has designated an employee or title as the key contact for the day-to-day implementation or monitoring of each Service as specified in the applicable Transition Service Schedule (each, a “Service Coordinator”). The Parties shall direct communications relating to specific Services to the applicable Service Coordinators. The Service Coordinators shall report to the Transition Committee from time to time, as directed by the members of the Transition Committee designated by the applicable Party.

  • Transition Seller will not take any action that is designed or intended to have the effect of discouraging any lessor, licensor, customer, supplier, or other business associate of the Company from maintaining the same business relationships with the Company after the Closing as it maintained with the Company prior to the Closing.   • Transitional Services Contractor shall provide Transitional Services to offenders who are being released from a prison, an assessment/sanction center, prerelease center, or treatment center for up to the first 90 days of community supervision after release. A Probation and Parole Officer (PO) will determine the specific services to be provided to each offender based on the offender’s needs and individualized case plan as determined or developed by the State. The referring PO will complete an agreed upon referral form designating the services selected. Contractor will confirm availability of services, establish a start date, and return the referral form to the PO and the designated State staff.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • General Cooperation (a) The Parties shall each cooperate fully (and each shall cause its respective Subsidiaries to cooperate fully) with all reasonable requests in writing (“Information Request”) from another Party hereto, or from an agent, representative or advisor to such Party, in connection with the preparation and filing of Tax Returns (including the preparation of Tax Packages), claims for Refunds, Tax Proceedings, and calculations of amounts required to be paid pursuant to this Agreement, in each case, related or attributable to or arising in connection with Taxes of any of the Parties or their respective Subsidiaries covered by this Agreement and the establishment of any reserve required in connection with any financial reporting (a “Tax Matter”). Such cooperation shall include the provision of any information reasonably necessary or helpful in connection with a Tax Matter (“Information”) and shall include, without limitation, at each Party’s own cost:
