Transition Coordination. As of the Closing Date and for the duration of the Transition Services, each Party shall designate one or more employees to coordinate the management of the Transition Services. At least once every two weeks, these coordinators (or their respective designees) shall meet either in-person or by telephone to assess the progress towards completion of the Transition Services and each will use his or her reasonable efforts to facilitate completion of the Transition Services, including the review of the costs and expenses incurred in connection with the performance of the Transition Services.

Transition Coordination. Following the expiration of the Feasibility Period, Seller and Purchaser shall cooperate in good faith to effect an orderly transition of the ownership of the Hotel and the consummation of the transactions contemplated hereby. In implementation thereof, Seller and Purchaser shall each designate a representative to coordinate such transition. Initially, Seller’s representative shall be Xxxxx Xx Xxxxx and Purchaser’s representative shall be Xxxx Xxxxx. Either party may change its representative from time to time by providing notice to the other party in accordance with Section 14.6 of this Agreement.
Transition Coordination. (a) Between the date of this Agreement and the earlier of the Closing Date and the termination of this Agreement pursuant to Section 10.01, each Party shall reasonably cooperate with the other Party in planning necessary and appropriate policies, procedures and other arrangements in connection with the transition and integration of ownership of the Group Companies, including (i) meeting periodically to provide updates regarding the pre-Closing separation, data segregation, migration and implementation activities relating to the Business IT Assets and (ii) planning the services to be provided pursuant to the Transition Services Agreement. As necessary in connection therewith, each Party shall designate certain of their respective employees as “Transition Coordinators” to coordinate planning contemplated by this Section 5.19. (b) As promptly as reasonably practicable following the date hereof, the Parties shall (and shall cause their applicable Affiliates to) negotiate in good faith and finalize a Transition Services Agreement, to be entered into in connection with the Closing (the “Transition Services Agreement”), by and among Buyer, Seller and the Company and their respective Affiliates, as applicable, substantially consistent with the Transition Services Agreement Term Sheet set forth on Exhibit D attached hereto and such other terms agreed to by the Parties.
Transition Coordination. Transition coordination is available to Enrollees enrolled in the EDCD Waiver to support the Enrollee and his or her designated representative, as appropriate, with the activities associated with transitioning from an institution to the community pursuant to the EDCD Waiver.

Transition Coordination. The Contractor shall work with the Government to coordinate the transition of DHA moving to DISA DES Services. The DHA has a complex set of legacy systems, processes, procedures, and support systems. The Contractor shall produce any required documentation necessary to ease the migration to DISA DES services.‌
Transition Coordination. Within two (2) days after the Transfer Date, the Parties shall each appoint a representative (the “Transition Coordinators”) to facilitate the complete transition in a timely fashion of all Transferred Assets from Glenmark to Napo pursuant to this Agreement. The Transition Coordinators are intended (i) to facilitate the smooth delivery by Glenmark to Napo of all Transferred Assets, (ii) to ensure the timely execution of the Manufacturing and Supply Agreement, in accordance with Section 4.7(c) below, and (iii) to serve as the primary contact and authoritative decision-making point person with respect to any and all matters arising in connection with the performance of this Agreement.

Transition Coordination. Prior to the date of this Agreement, the Parties have developed a proposed set of procedures for the orderly transition of the marketing, distribution, order processing, billing and collection relating to the Product in the Territory from LEO's Canadian Affiliate and the Current Distributor to Pharmion and such new wholesaling or distribution organization as Pharmion shall select. Such procedures are set forth in Schedule 4 to this Agreement. XXX shall be responsible for all costs and expenses associated with the termination of agreements relating to such services that XXX or its Affiliate may have entered into prior to the date of this Agreement.

  • Order Coordination and Order Coordination-Time Specific 2.1.9.1 “Order Coordination” (OC) allows BellSouth and Lightyear to coordinate the installation of the SL2 Loops, Unbundled Digital Loops (UDL) and other Loops where OC may be purchased as an option, to Lightyear’s facilities to limit end user service outage. OC is available when the Loop is provisioned over an existing circuit that is currently providing service to the end user. OC for physical conversions will be scheduled at BellSouth’s discretion during normal working hours on the committed due date. OC shall be provided in accordance with the chart set forth below. 2.1.9.2 “Order Coordination – Time Specific” (OC-TS) allows Lightyear to order a specific time for OC to take place. BellSouth will make every effort to accommodate Lightyear’s specific conversion time request. However, BellSouth reserves the right to negotiate with Lightyear a conversion time based on load and appointment control when necessary. This OC-TS is a chargeable option for all Loops except Unbundled Copper Loops (UCL) and Universal Digital Channel (UDC), and is billed in addition to the OC charge. Lightyear may specify a time between 9:00 a.m. and 4:00 p.m. (location time) Monday through Friday (excluding holidays). If Lightyear specifies a time outside this window, or selects a time or quantity of Loops that requires BellSouth technicians to work outside normal work hours, overtime charges will apply in addition to the OC and OC-TS charges. Overtime charges will be applied based on the amount of overtime worked and in accordance with the rates established in the Access Services Tariff, Section E13.2, for each state. The OC-TS charges for an order due on the same day at the same location will be applied on a per Local Service Request (LSR) basis.
