Trust Services. 5.1. Customer may choose to offer its Users Trust Services (SSL Certificates, Website Security and Privacy), as described in this, Section 5.
Trust Services. The trust processing services (“Trust Services”) to be provided by M&I shall be subject to the terms and conditions set forth on attached Schedule 5.4.
Trust Services. (1) Within thirty (30) days, the Board shall make a written determination of whether the Bank shall continue to offer trust services. In making this determination, the Board shall consider, among other things:
(a) the cost of operating an adequately staffed trust department;
(b) an evaluation of the profitability and future prospects of the trust department;
(c) the existence of sufficient business in the community to support a trust department;
(d) an evaluation of the quality and depth of current management;
(e) a determination as to whether additions to or deletions from the current management team are necessary; and
(f) future costs of training personnel.
(2) A copy of the Board's written determination, including the reasons upon which it is based, shall be forwarded to the Assistant Deputy Comptroller.
(3) If the Board elects to continue to offer trust services, then within ninety (90) days, the Board shall ensure that the Bank has competent management in place on a full-time basis in its Trust Officer position to carry out the Board’s policies, ensure compliance with this Agreement, applicable laws, rules and regulations, and manage the day-to-day asset management operations of the Bank in a safe and sound manner.
(4) Prior to the appointment of any individual to the position of Trust Officer, the Board shall submit to the Assistant Deputy Comptroller sufficient information to evaluate the qualifications, experience, and background of the individual, as well as a written statement of the Board's reasons for selecting the proposed officer and a written description of the proposed duties and responsibilities.
(5) The Assistant Deputy Comptroller shall have the power to disapprove the appointment of the proposed new officer. However, the lack of disapproval of such individual shall not constitute an approval or endorsement of the proposed officer.
(6) The requirement to submit information and the prior disapproval provisions of this Article are based on the authority of 12 U.S.C. § 1818(b)(6)(E) and do not require the Comptroller to complete his/her review and act on any such information or authority within ninety (90) days.
Trust Services. (a) Subject to Section 5.1 of this Agreement, and any restrictions imposed from time to time by the Board of Directors, the Trustee and AOG (as to matters which the Trust Indenture states that AOG and/or the Board of Directors will be responsible for) hereby engages, appoints and delegates to AIM and AIM hereby accepts the engagement, appointment and delegation and agrees to undertake on behalf of the Trust, subject to and in accordance with the terms, conditions and limitations contained in the Trust Indenture, any matters pertaining to the Trust, the Notes, the Permitted Investments, the Subsequent Investments, the Royalty and the Trust Units except for the following:
(i) the countersigning, transfer and cancellation of certificates representing Trust Units;
(ii) the maintenance of a register of Unitholders;
(iii) mailing notices, financial statements and reports to Unitholders pursuant to Sections 11.2, 17.2 and 17.3 of the Trust Indenture;
(iv) providing a basic list of Unitholders (as defined in 17.4 of the Trust Indenture) to Unitholders in accordance with the procedures outlined in the Trust Indenture;
(v) all matters relating to an Offering (as set forth in Section 8.2 of the Trust Indenture);
(vi) amending or waiving the performance or breach of any term or provision of this Agreement, the Shareholder Agreement or the Royalty Agreement;
(vii) renewing or terminating this Agreement;
(viii) the Trustee's duties under Article 13 of the Trust Indenture; and
(ix) any matter which requires the approval of the Unitholders under the terms of the Trust Indenture.
(b) The Trustee hereby engages, appoints and delegates to AIM and AIM hereby accepts the engagement, appointment and delegation and agrees to provide such administrative and support services pertaining to the Trust, the Notes, the Royalty, the Permitted Investments and the Trust Units and matters incidental thereto as may be reasonably requested by the Trustee from time to time.

Trust Services. Metavante agrees to provide Customer the Trust Services in accordance with attached Schedule 5.5. ------------ 6. FEES
6.1. Fee Structure. Schedule 6.1 attached hereto (the "Fee Schedule") sets ------------- ------------ forth the costs and charges for the Services and Customer agrees to pay Metavante the fees specified in the Fee Schedule for the Services rendered by Metavante. These costs and charges are included in one or more of the following categories:
A a minimum monthly fee for certain recurring, aggregated data processing services based on stated volumes (the "Monthly Base Fee"); actual volumes in excess of stated volumes shall result in additional charges as further described in the Fee Schedule; and B an hourly or daily fee for programming, training and related Services not included in the Monthly Base Fee requested by Customer.
Trust Services. The services described herein refer only to the processing and reporting services for Estates, Trust Under Will, Court Accounts, Trusts Under Agreement, Insurance Trusts, Agencies, Custodian/Safekeeping, Corporate Trusts, Pension/Profit Sharing accounts and Internal accounts including Common Trust Funds (CTF) and Collective Investment Funds (CIF).
