Position of Trust. As used herein: “Company” means Xxxxx Technologies, Inc., and any Affiliate that I am transferred to, am entrusted with Confidential Information about, or am required to provide services to in the course of my employment or services. “Affiliate” is any corporation, entity or organization that Xxxxx Technologies, Inc. owns a controlling interest in or that is under common ownership and control with Xxxxx Technologies, Inc. I acknowledge that I am being placed in a position of special trust and confidence. I understand that the Company has spent and will continue to spend substantial time and money developing its technologies, products and services and training its employees on its technologies, products and services. The Company also has dedicated its time and resources developing and maintaining relationships with existing and potential customers, clients, referral sources and vendors. Through my position, the Company will provide me with one or more of the following: (a) Confidential Information; (b) authorization to develop and expand relationships with customers, prospective customers, and others involved in the Company’s business that are key to the development of goodwill for the Company; and/or (c) specialized training related to the Company’s business and customers. I understand that the Company will provide me with one or more of these items in reliance upon my promise to abide by all of the restrictions in this Agreement. I agree that the business in which the Company is engaged is extremely competitive and that through my employment with the Company I have received and had access to and will receive and have access to Confidential Information (as defined below), customer contact, and proprietary materials related to the Company’s business that would give me an unfair competitive advantage in competition against the Company if not subject to restrictions provided for in this Agreement.
Position of Trust. The Employee agrees that Employee's position is one that requires a special measure of personal trust and loyalty. Therefore, the provisions of the Hours of Work and Rest Law-1951 shall not apply to the Employee and the Employee shall not be entitled to any compensation for working more than the maximum number of hours per week set forth in such Law in addition to the compensation set forth in this Agreement.
Position of Trust. 11.1. During the course of BDB performing Services for CLIENT, each party may be given access to information (in hard copy, verbal and/or electronic form) that relates to the other’s past, present and future research, development, business activities, finances, products, services and technical knowledge and which is either marked as confidential or which by its nature should reasonably be understood to be confidential (“Confidential Information”). In connection therewith, this Clause 11 shall apply.
11.2. The CLIENT and BDB hereby acknowledge that they are aware that the rendering of the Service/s to the CLIENT, by BDB, results in information which may be regarded as secret and/or confidential being made available to each Party. The Parties therefore undertake not to make known and/or otherwise divulge in any way whatsoever to any third parties, any information made available to either Party without the prior written consent of the other Party unless same is required by the prevailing laws of the Republic of South Africa.
11.3. The Parties undertake, in respect of any and all such information disclosed by either Party to the other, to:
11.3.1. preserve the confidentiality of such information by using the utmost good faith and care;
11.3.2. use the information only to meet their obligations contained in this Agreement;
11.3.3. obtain the other Party's prior written consent to disclose the information to a third party.
Position of Trust. It has been determined that you are a volunteer that is in a “Position of Trust” which is defined as “a paid or unpaid position where the holder of such position has the potential to cause direct harm to persons, finances, property, or the University in general” and in order to safeguard the youth on our campus, the University will obtain a Criminal Background Check and you will complete training in your connection to serve as a volunteer.
Position of Trust. In reliance upon Employee’s promises in this Agreement, Company will provide Employee with one or more of the following: (a) access to the Company’s Confidential Information (through a computer password or other means) with periodic updates; (b) authorization to communicate with customers, prospective customers, vendors or prospective vendors; and/or (c) authorization to participate in specialized training related to Company’s business.
Position of Trust. By entering into this Agreement and accepting the equity award provided by Company, Associate agrees and acknowledges that Company has granted the equity award(s) to Associate to secure Associate’s commitment to advance and promote the business interests and objectives of Company. Associate further agrees and acknowledges that, in Associate’s role as a key member of the executive and/or management team of Company, Associate has been entrusted with, and will continue to be entrusted with, Company’s Confidential Information, goodwill of customers and vendors, and relationships with other employees of Company; and that Associate’s use of such Confidential Information, customer and vendor goodwill, or employee relationships to directly or indirectly compete against Company would cause Company to suffer immediate and irreparable injury for which monetary damages would not be sufficient to make Company whole. Company agrees to provide Associate these items in exchange for and in reliance upon Associate’s promise to abide by the restrictions in this Agreement.
Position of Trust. The Employee is being employed in a management position, within the meaning of the Hours of Work and Rest Law, 5711-1951, which requires a special measure of personal trust as defined thereunder. Therefore, the provisions of such law shall not apply to the Employee, and he shall not be entitled to any compensation for his employment beyond that specified in this Agreement. The Employee shall not engage in any activities that may interfere or conflict with the proper discharge of his duties hereunder, and shall immediately notify the Chief Executive Officer of any actual or potential business or fiduciary conflict of interest that may arise with respect to his employment; provided, that subject to the foregoing notification obligation, the Employee shall be permitted to (x) accept appointment to or continue to serve on any board of directors or trustees of any business corporation, charitable organization or other entity with the consent of the Board and (y) manage his passive personal investments.

11.3. The Parties undertake, in respect of any and all such information disclosed by either Party to the other, to:

11.3.3. obtain the other Party's prior written consent to disclose the information to a third Party.

The Client and Three Peaks hereby acknowledge that the rendering of the service/s to the Client, by Three Peaks, results in information which may be regarded as secret and/or confidential being made available to each party in order to fulfil this agreement and the parties therefore undertake not to make known to other parties and/or otherwise divulge in any way whatsoever, any information made available to either party without the prior written consent of the other party, unless same is required by the prevailing laws of the Republic.
15.2. The Client and Three Peaks undertake, in respect of any and all such information disclosed by either party to the other, to:
15.2.1. preserve the confidentiality of such information by using the utmost good care;
15.2.2. use the information only to meet their obligations contained in this agreement;
15.2.3. obtain the other party’s written consent to disclose the information to a third party.
Position of Trust. 8.1 The CLIENT and BDB hereby acknowledge that they are aware that the rendering of the service/s to the CLIENT, by BDB, results in information which may be regarded as secret and/or confidential being made available to each Party in order to fulfil this Agreement and the Parties therefore undertake not to make known to other Parties and/or otherwise divulge in any way whatsoever, any information made available to either Party without the prior written consent of the other Party, unless same is required by the prevailing laws of the Republic of South Africa.
8.2 The Parties undertake, in respect of any and all such information disclosed by either Party to the other, to:-
8.2.1 preserve the confidentiality of such information by using the utmost good care;
8.2.2 use the information only to meet their obligations contained in this Agreement;
8.2.3 obtain the other party's written consent to disclose the information to a third Party.
8.3 The CLIENT will not approach any staff member of BDB to employ such staff member as a permanent or temporary employee or contractor, without the prior written consent of BDB.
