Where a. Kāhui Ako cannot select a teacher to one of the Teacher (between- schools) roles it generates from within the Kāhui Ako, or seeks an alternative period for the appointment of one or more of the roles, the Secretary for Education may agree to alternatives. This may result in alternative arrangements for the payment of the allowance outlined in (3.34.4) above and for the provision of the time allowance outlined in (3.34.9) below or for the period of the appointment to the role outlined in (3.34.5) or (3.34.6) above.
Where a regular Casual Employee seeks to convert to full-time or part-time employment, the Company may consent or refuse the election on reasonable grounds.
Where a. Teacher receives a payment pursuant to clause 10 Pro Rata Payment for Non- Term Time, including the case where a Teacher's employment is terminated by the school or ceases for any reason, the Teacher shall be entitled to be paid for that part of such fraction of the annual leave loading he or she would be entitled to for the full school year as is equal to the fraction which the number of school weeks worked by the Teacher in that year bears to the number of school weeks he or she would be normally required by the Principal to work in a full school year.
Where a. Xxxxx Xxx is unable to make an appointment to the Kāhui Ako Leadership role from the existing principals from within the Kāhui Ako, the Secretary for Education may agree to alternative appointments other than those outlined in clause 3.7.2 above. This may result in alternative arrangements for the payment of the allowance(s) outlined in clause 3.7.2 above and for the provision of the time allowance outlined in clause 3.7.9 below. This approval may be subject to conditions.
Where a. Party Terminates the Buyer Agreement under any of clauses 11.1, 11.2(a), 11.2(b), 11.3, 20.2, 23.4 or 31.3 all of the following apply:
(i) the Buyer's payment obligations under the terminated Buyer Agreement stop immediately;
(ii) accumulated rights of the Party are not affected;
(iii) the Supplier must promptly repay to the Buyer any and all Charges the Buyer has paid in advance in respect of Deliverables not provided by the Supplier as at the termination date;
(iv) the Supplier must promptly delete or return the NH Data except where required to retain copies by Law;
(v) the Supplier must promptly return any of the Buyer's property provided under the Buyer Agreement;
(vi) the Supplier must, at no cost to the Buyer, give all reasonable assistance to the Buyer and any incoming Supplier and co-operate fully in the handover and re- procurement;
Where a. Party acquires ownership of intellectual property rights incorrectly under this Buyer Agreement it must do everything reasonably necessary to complete a transfer assigning them in writing to the other Party on request and at its own cost.
Where a. Tech Telecom has requested an Unbundled Loop and BellSouth uses Integrated Digital Loop Carrier (IDLC) systems to provide the local service to the end user and BellSouth has a suitable alternate facility available, BellSouth will make such alternative facilities available to A-Tech Telecom. If a suitable alternative facility is not available, then to the extent it is technically feasible, BellSouth will make alternative arrangements available to A-Tech Telecom (e.g. hairpinning).
Where a competent authority disagrees with any of the measures taken by another competent authority pursuant to paragraph 2, it may bring the matter to the attention of XXXX. ESMA may act in accordance with the powers conferred on it under Article 19 of Regulation (EU) No 1095/2010.
Where a full-time employee transfers to a part-time bargaining unit position, seniority shall be converted on the basis of one (1) calendar year of service equals one thousand six hundred forty-eight (1648) hours worked.
