Worldline and the Facility Providers shall not be liable in contract, tort or otherwise for any indirect or consequential loss or damage sustained by the Merchant by any indirect use of or reliance on the electronic communication, orders or messages whether with or without the utilization of any security measures, including but not limited to any loss or damage resulting as a consequence of any defects, delays, interruptions, errors, inaccuracies or failures in the various communications and Worldline and the Facility Providers specifically excluded the same to the fullest extent permitted by law even if Worldline and the Facility Providers shall have been advised in advance of the possibility of such damages.
Worldline shall indemnify the Merchant against every third party demand that is found justified by either Worldline or a competent court, in which the third party claims that the use of a certain product or software infringes upon the intellectual ownership rights of this third party. Worldline shall bear the cost of this indemnification, and shall have the option to: • obtain the right for the Merchant to contin- ue using the product or software; • change or replace the product or software, so that this use will no longer infringe the third party intellectual property rights; • if the above options are not economically viable, request the Merchant to: o terminate the use of the product or software; or o return the purchased product or the purchased software to Worldline, in ex- change for a reimbursement by World- line of the purchase price, taking into account a deduction of the reasonable depreciations registered in the Mer- chant's accounting books.

This access shall include access to all features, functions, and capabilities of the Hybrid Loop that are not used to transmit packetized information.
