Business Continuity and Disaster Recovery. Bank shall maintain and update from time to time business continuation and disaster recovery procedures with respect to its global custody business, which are designed, in the event of a significant business disruption affecting Bank, to be sufficient to enable Bank to resume and continue to perform its duties and obligations under this Agreement without undue delay or disruption. Bank shall test the operability of such procedures at least annually. Bank shall enter into and shall maintain in effect at all times during the term of this Agreement reasonable provision for (i) periodic back-up of the computer files and data with respect to Customer and (ii) use of alternative electronic data processing equipment to provide services under this Agreement. Upon reasonable request, Bank shall discuss with Customer any business continuation and disaster recovery procedures of Bank. Bank represents that its business continuation and disaster recovery procedures are appropriate for its business as a global custodian to investment companies registered under the 1940 Act.

Business Continuity and Disaster Recovery. At the Supplier’s request, the Customer shall provide the Supplier with a copy of its BCDR Plan. The Supplier develop a BCDR Plan and shall ensure that it is linked and integrated with the Customer’s BCDR Plan and the Supplier shall review and amend its BCDR Plan on a regular basis and as soon as is reasonably practicable on receipt of an amended Customer BCDR Plan from the Customer; and the Supplier shall ensure that its Sub-Contractor’s BCDR Plans are integrated with the Supplier’s BCDR Plan. If there is a Disaster, the Parties shall, where applicable, implement their respective BCDR Plans and use all reasonable endeavours re-establish their capacity to fully perform their obligations under this Contract. A Disaster will only relieve a Party of its obligations to the extent it constitutes a Force Majeure Event in accordance with Clause 23 (Force Majeure).

(XXX hour/days shall be provided to Contractor by the Purchasing Entity.) Contractor must work with the Purchasing Entity to perform an annual Disaster Recovery test and take action to correct any issues detected during the test in a time frame mutually agreed between the Contractor and the Purchasing Entity.

Supplier shall send a copy of its business continuity/disaster recovery plan for review by CPR within ten (10) days of receipt of written notice by CPR. Supplier’s business continuity/disaster recovery plan will, at a minimum: (a) address all critical functions and operation used by CPR; (b) specify recovery time frames for each critical function and operation used by CPR; (c) be thoroughly tested at least annually; and (d) be updated (with all updates provided to CPR promptly) not less than once annually. Supplier shall provide immediate notice to CPR of the occurrence of any actual Force Majeure Event for which the Supplier invokes its business continuity/disaster recovery plan.
Business Continuity and Disaster Recovery. 15.1 Each party will maintain Business Continuity and Disaster Recovery Plan arrangements to ensure that each party is able to continue to perform its obligations under this Agreement, or where performance is not possible, resume performance as soon as reasonably practicable in the event of a Disaster.

Business Continuity and Disaster Recovery. PureCloud is deployed and configured in a redundant infrastructure through AWS. Services provided by PureCloud follow a stateless architecture. Data repositories in PureCloud use redundancy and replication designed to maintain availability and avoid data loss in the event of a lost data node. The PureCloud environment is physically separated from our corporate network environment so that a disruption event involving the corporate environment does not impact the availability of the PureCloud Services.
Business Continuity and Disaster Recovery. Service NSW will maintain an Enterprise Risk Management Framework focused on managing risks to Service NSW, including mitigation of the likelihood and impact of an adverse event occurring. As a function of risk management, business continuity management will enable Service NSW to minimise disruptive risks and restore and recover its business-critical services within acceptable predefined timeframes should an adverse event or other major business disruption occur. Recovery and timeframes may be impacted when events or disruptions are related to dependencies on partner Agencies. The Parties will agree on Recovery Point Objectives and Recovery Time Objectives and associated charges prior to designing the system and will periodically review these objectives. All systems and technology provided by Service NSW internally and through third-party vendors, operate through multiple data centres to achieve high availability. Service NSW systems are architectured, where practicable and possible, to ensure continuity of service in the event of a data centre disruption or outage.
Business Continuity and Disaster Recovery. Where specified in the Order Form, or elsewhere this Call Off Contract the Parties shall comply with the provisions of Call Off Schedule 9 (Business Continuity and Disaster Recovery).
