Confidentiality Information definition

Confidentiality Information means any information of Buyer provided to or learned by Seller during its relationship with the Buyer that is not generally known to the public, including, but not limited to, computer code, characteristics of the Buyer's software, Buyer's computer systems architecture, the prices, terms and conditions of the Buyer's contracts with its customers, the identities, needs and requirements of the Buyer's customers, the Buyer's business plans and strategies (including technology and e-commerce plans and strategies) and financial information regarding the Buyer. Seller agrees that it shall only use the Confidential Information for performing its Services or providing the Goods under this PO and for no other purpose whatsoever, and shall not disclose any such Confidential Information to any third party. Upon Xxxxx's request, Xxxxxx agrees to immediately return all Confidential Information to Buyer without making or retaining any copies. Seller agrees that in the event of a threatened or actual disclosure or unpermitted use of any Confidential Information in violation of this PO, the Buyer would suffer irreparable harm and its remedy at law would be inadequate, and Seller hereby agrees that in such event an injunction restraining such use may be issued by any court of competent jurisdiction. The obligation of this provision shall survive any termination of the parties' relationship.
Confidentiality Information as used in this Agreement shall include the existence of the above described discussions and the substance thereof, and all information, documents and data previously or hereafter furnished, disclosed or transmitted by or on behalf of Seller and Xxxxxx Commercial Realty, Inc. to Buyer or its authorized employees, agents or representatives, provided that such information be in writing and clearly and conspicuously marked “Confidential Informationat the time of such oral disclosure and subsequently described as such in a detailed letter sent by the disclosing party, Seller and Xxxxxx Commercial Realty, Inc. to Buyer within 10 days of such disclosure, identifying such information as “Confidential Information” and reciting the date and place of oral disclosure as well as the person to whom disclosed. Confidential information may include, but is not limited to, information concerning Sellers financial affairs, business activities, operations, operating date and /or business plans, except as set forth in Paragraph 1(b).
Confidentiality Information means with respect to a party hereto (the “Disclosing Party”), collectively: (i) all technical, financial and/or business information of any kind whatsoever, including all data, compilations, blueprints, plans, audio and/or video recordings and/or devices, information on computer disks, software, source code, object code, tapes, printouts and other printed, typewritten or handwritten documents, specifications, systems, schemas, methods (including delivery, storage, receipt, transmission, presentation and manufacture of audio, video, informational or other data or content), strategies, business or marketing development plans, customer lists, research projections, processes, techniques, designs, sequences, components, programs, technology, ideas, know-how, improvements, inventions (whether or not patentable or copyrightable), information about operations and maintenance, trade secrets, formulae, models, patent disclosures, information regarding the skills and compensation of the Disclosing Party’s employees, information concerning the actual or anticipated business, research or development of the Disclosing Party or its actual or potential customers or partners, information which is or has been generated or received in confidence by or for the Disclosing Party by or from any person; (ii) any and all tangible and intangible embodiments thereof of any kind whatsoever including all compositions, machinery, apparatus, records, reports, drawings, copyright applications, patent applications, documents, samples, prototypes, models, products and the like; and (iii) any extensions or derivatives thereof of any kind whatsoever. Confidential Information does not include information that the Recipient proves: (a) is or becomes generally known to the public through no fault or breach of this Agreement by the Recipient; (b) is known to the Recipient at the time of disclosure without an obligation of confidentiality; (c) is entirely independently developed by the Recipient without any access or reference to or use of the Disclosing Party’s Confidential Information; (d) the Recipient rightfully obtains from a third party without restriction on use or disclosure; or (e) is disclosed with the prior written approval of the Disclosing Party. Information shall not be deemed to be in the public domain as a result of the individual elements being separately found in the public domain.

Employee may have access to Confidential Information which the Company desires to protect at all times. The Employee understands, acknowledges, and agrees that the Company has expended substantial sums of money, time and effort in developing such Confidential Information and the Company will be substantially harmed in the competitive marketplace if the Confidential Information is used to its detriment or to the benefit of others.
