Parent's "Brokerage Services" provides transaction processing, desktop productivity applications and investor communications services to the financial services industry, while its "Dealer Services" provides computing, data and professional services to automobile and truck dealerships, as well as manufacturers, worldwide. Finally, Parent's "Claims Services" offers a broad line of claims information products to property and casualty insurance companies, claims adjusters, repair shops and auto parts recycling facilities. The Purchaser is a newly incorporated New Jersey corporation and a wholly owned subsidiary of Parent which to date has not conducted any business other than in connection with the Offer and the Merger.
