External Development Costs definition

External Development Costs means, with respect to a Licensed Product subject to a Co-Promotion Option, [***].
External Development Costs means all actual, reasonable, direct and necessary costs and expenses incurred by a Developer with third party contractors and service providers during the Term for the evaluation, research, study, development or implementation of the Project, including without limitation transportation, lodging, courier, telecommunication and reproduction costs, consultant/advisor fees, Internal Engineering Support, External Engineering Support, Training and Technical Support.
External Development Costs means any out-of-pocket external Development Costs incurred by a Party (or for its account by an Affiliate) on or after the earlier of the Execution Date or January 1, 2009 and that are payable to any Third Party. For purposes of clarity, External Development Costs (a) shall only include the actual amounts paid by a Party to a Third Party for specific Development activities conducted by such Third Party applicable to a Licensed Product, including, without limitation all filing fees required for, and other costs associated with, the conduct of Regulatory Activities and Clinical Trials applicable to any Licensed Product; and (b) shall not include any internal costs incurred by a Party (or for its account by an Affiliate) on or after the earlier of the Execution Date or January 1, 2009 that are attributable to the Development of a Licensed Product.

Examples of External Development Costs in a sentence

  • Payments due for [***] shall be made by CFFT to Vertex [***] within [***] following receipt by CFFT of an invoice for such VX-661 External Development Costs accompanied by usual and customary documentation of such costs, including copies of Third Party invoices supporting such costs and evidence that the costs relate to the VX-661 development program.

  • As soon as possible following its receipt of such statement, the Lead Developer shall prepare and circulate to each Developer a schedule that calculates (i) the total External Development Costs incurred by each Developer during the preceding quarter, and (ii) the reimbursements (if any) required to be provided by one Developer to any other Developer in order to ensure that each Developer bears External Development Costs in proportion to its respective Cost Sharing Percentage.

External Development Costs means reasonable and necessary out-of-pocket costs (excluding employee compensation or overhead costs incurred by Metroplex) that are paid to third parties for any of the following services: (A) site analysis; (B) review of surveys, title conditions and exceptions, easements, setbacks and site constraints; (C) preliminary soils testing and geological, hydrology and seismic studies, to include borings and core drilling for samples ("Ground Studies"); (D) traffic studies, circulation studies and pedestrian counts; (E) preparation of preliminary site plan alternatives, architectural sketch plans and conceptual drawings for a number of project alternatives; analysis of spatial relationships between structures and uses to be developed; (F) preliminary engineering studies; (G) development planning; (H) preparation of financial analysis alternatives, proposed Development Budget and preliminary project cost analysis for each parcel and/or project; (I) public relations campaign and development of theme for each project; (J) marketing and leasing consulting; and (K) preparation of a pre-leasing program. To the extent that any of such services are performed by Metroplex, they shall be treated as Internal Development Costs under the following paragraph (ii), rather than External Development Costs.
