Licensed Logo definition

Licensed Logo. The logo containing the AT&T and globe design, as such logo may be modified or replaced pursuant to Section 4.3, and the expression "Member, AT&T Wireless Services Network," as set forth in Schedule A attached hereto. Registrations and pending applications covering the Licensed Logo in the United States are set forth in Schedule B1 attached hereto. The listing of goods or services in the specification of any of these registrations or applications which are outside the scope of services authorized under this Agreement shall not be construed as inclusion of such goods or services in the license granted by this Agreement; it being understood that the only services authorized under this Agreement are as expressly set forth in this Agreement.
Licensed Logo means the logo incorporating the Licensed Mark as set forth on Schedule 1.

Examples of Licensed Logo in a sentence

  • Licensee shall not revise, alter or otherwise change the Licensed Logo without the prior written approval of Licensor.

  • Licensee shall use the Licensed Mark and the Licensed Logo in a manner that does not derogate, based on an objective business standard, Licensor’s rights in the Licensed Mark or the Licensed Logo or the value of the Licensed Mark or the Licensed Logo, and shall take no action that would, based on an objective standard, interfere with, diminish or tarnish those rights or value.

  • Accordingly, Licensee agrees that in the event of such breach or threatened breach, in addition to any remedies at law or at equity, Licensor shall have the right to enjoin Licensee from the unlawful and/or unauthorized use of the Licensed Mark and/or the Licensed Logo and any other equitable relief to protect Licensor’s rights in the Licensed Mark without the requirement of posting a bond.

  • Licensee agrees to cooperate with Xxxxxxxx’s preparation and filing of any applications, renewals or other documentation necessary or useful to protect and/or enforce Licensor’s intellectual property rights in the Licensed Mark and/or the Licensed Logo.

  • Licensee shall send a written notice to Licensor within thirty (30) days after termination of this Agreement certifying that Licensee has ceased any and all use of the Licensed Mark and the Licensed Logo, and send to Licensor a copy of the duly filed certificate of name change with the Secretary of State for the State of Delaware.

  • Licensor retains the right to change the form, style, look or color of the Licensed Logo at any time and, upon written notice to Licensee of any such changes, Licensee shall adopt any such revised Licensed Logo within ninety (90) days of its receipt of such notice.

Licensed Logo means the device exhibited in ATTACHMENT B entitled "Licensed Logo."

Licensed Logo means the Logo set forth in Exhibit A hereto, said Logo including the INTEL trademark, and the OPTIMIZER designation. 1.2 "Licensed Name" means the name "Intel(R) Optimizer [ ] or such other name that Intel may designate at its discretion." 1.3 "Licensed Marks" means the Licensed Logo and the Licensed Name. 1.4 "Intel Marks" means the Licensed Marks, the INTEL trademark and trade name, and any other marks belonging to Intel. 1.5 "Optimized Code" means those specific Software files identified on attached Exhibit B, as delivered to Licensee under the Software License. The Optimized Code is the software that is specifically associated with the Licensed Logo under this Agreement.
Licensed Logo means the Mvix logo for Member partners, or such additional or replacement logo(s) as Mvix may provide from time to time under this Agreement, and no other logo, xxxx, or designation. Mvix grants to Company for the term a limited, non-exclusive, nontransferable, royalty-free, worldwide permission to use the licensed logo to refer or relate to its status as a reselling member in Mvix's Partner Program and only: (a) in the exact form provided by Mvix; (b) in pre-sale advertising and marketing materials that prominently display Company's own corporate name and logo, but not on Company or third party product, packaging, documentation, shipping containers, or other materials distributed with Products or the rendering of Services; (c) on Company's web site, as a link to the Mvix home page (www.mvixusa.comor xxxxxxxxxxxxxxxxxx.xxx) or to an Internet URL to be provided by Mvix; (d) in a manner less prominent than Company's own corporate name and logo; (e) in accordance with the Mvix Trademark & Logo Usage Requirements and with any graphics standards or guidelines distributed by Mvix; (f) in a manner that is truthful and not misleading, and that does not use the Licensed Logo to imply any relationship with, or endorsement or sponsorship by, Mvix that is not true; (g) in a manner that avoids disparaging statements or implications about Mvix or its products or services; (h) on materials that are in compliance with all applicable laws and governmental regulations; and (i) with the following trademark legend on the page where the Licensed Logo appears (unless Company is required to use a more specific legend by any other agreement Company may have with Mvix): "Mvix and Mvix logo are trademarks or registered trademarks of Mvix, Inc. in the U.S. and are used with permission. Company and its products/services are independent of Mvix, Inc." Company is granted no other right, title, license to or interest in the Licensed Logo, or any of Mvix's trademarks, for any purpose, and specifically is granted no right to sublicense the Licensed Logo. Company may not assign or otherwise transfer this Agreement or any of its rights or obligations hereunder. All use of the Licensed Logo and Mvix Trademarks by Company inures to Mvix's benefit.

Related to Licensed Logo

  • Licensed Know-How means any and all unpatented and/or non-patentable technical data, documents, materials, samples and other information and know‐how that is Controlled by LICENSOR or any of its Affiliates as of the Effective Date or thereafter during the Term that relates to, or is otherwise reasonably necessary or reasonably useful for, the use, Development, manufacture, or Commercialization of the Product. Licensed Know-How shall not include Licensed Patents.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Marks means those MLS GRID and MLS trademarks, service marks, word marks, logos and distinctive marks of all other kinds, if any, set out in Exhibit A as Licensed Marks.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.
