Partner Program. 2.1 In exchange for the payment of applicable fees, Partner will be entitled to the benefits of the eXo Partner Program for the Partner Level described in an Addendum to this Agreement and on the Order Form entered into between the parties. 2.2 eXo may supply to Partner the Services at the location, rates and for the duration specified in an Order Form. Each party will appoint a coordinator who will manage the provision of Services. Services may be ordered by Partner pursuant to a Statement of Work (“SOW”) describing the work to be performed, fees and any applicable milestones, dependencies and other technical specifications or related information. Each SOW must be signed by both parties before eXo shall commence work under such SOW. If the parties do not execute a separate SOW, the Services shall be provided as stated on the Order Form. Partner will reimburse eXo for reasonable travel and lodging expenses as incurred.
Partner Program. (a) Company will register to Partner Program, create an account on Roots Softwares’ partner portal (the “WorkSuite”) and provide accurate, complete, and up-to-date registration information (including contact and payment information). The WorkSuite is informational only and not intended to provide instruction on the appropriate use of Offerings produced, supplied or under development by Roots Softwares or its licensors. Roots Softwares will use reasonable efforts to include accurate and up-to-date information on the WorkSuite. (b) Company shall ensure it has the rights to submit the content, data and information into the WorkSuite or as provided to Roots Softwares (“Data”), and shall be solely responsible for the accuracy and legality of (i) the Data provided to Roots Softwares by or on behalf of Company and (ii) the means by which Company acquired the Data. Although Roots Softwares has no obligation to monitor the Data provided by Company or Company’s use of the WorkSuite, Roots Softwares may do so and may remove any such Data or prohibit any use of the WorkSuite it believes may be (or alleged to be), or it receives any notice or claim that any Data, or activities hereunder with respect to any Data, in violation of this Agreement or any law or regulation or right of any third party. (c) In the event that Roots Softwares provides its APIs to Company solely for the purpose of submitting Data to rootsHCM or other purposes designated by Roots Softwares, Company shall (i) only use rootsHCM APIs in accordance with Roots Softwares’ instructions, (ii) restrict access to rootsHCM APIs to its own personnel who has needs to use rootsHCM APIs in order to fulfill its obligations herein, (iii) conduct its best efforts to prevent any unauthorized access, use or distribution of rootsHCM APIs, and (iv) immediately cease to use rootsHCM APIs upon termination or expiration of this Agreement, or upon Roots Softwares’ written request.
Partner Program. 10.1. For attracting approved buyers and creators, a Partner receives a bonus, the size of which is determined in this Agreement: 10.2. Participation in the Partner Program is regulated by the following terms: - the Partner has an account on the Site - the Partner accepts the terms of the Partner Program - the Partner has created a partner link and sent it to an invited buyer or creator - an invited Buyer is approved as a buyer if: 1) the invited Buyer has created an account by logging in to the Site via the partner link sent by the Partner, has completed registration and received their Account; 2) the invited Buyer is a new User, which means they have never created an account in the Relictum ecosystem before, and have never been in the process of creating an account, and also the invited buyer has purchased at least one NFT on the primary market; - an invited Creator is approved as a creator if: 1) the invited Creator has created an account by logging in to the Site via the partner link sent by the Partner, has completed registration and received their Account; 2) the invited Creator is a new User, which means they have never created an account in the Relictum ecosystem before, and have never been in the process of creating an account, and also the invited Creator has created and sold at least one NFT on the primary market; 10.3. The partner bonus for an approved buyer is 5% of the value of purchased NFTs, including 2% from the first partner level, 2% from the second partner level, and 1% from the third partner level. The partner bonus for an approved Creator is 1% of the value of NFTs sold. The partner bonus for curating a group of tokens attached to an invited creator who has entered into a separate agreement is 2% of the value of the NFTs sold by the invited creator. 10.4. Barring technical delays, Partner Bonuses are paid within 30 calendar days from the date of purchase or sale of an NFT by the invited buyer or creator. 10.5. In case of fraud or attempted fraud (especially with several accounts) or the violation of this Agreement and other Agreements under the Relictum ecosystem, Relictum NFT reserves the right to stop all action on that account and block the User in the Partner Program.
Partner Program. 2.1 The Xxxxxxx.xx Partner Program is detailed in the applicable Module and/or in the Partner Portal and will remain effective unless otherwise noted therein. Xxxxxxx.xx reserves the right to modify or withdraw benefits of the Xxxxxxx.xx Partner Program or eligibility requirements if Xxxxxxx.xx determines that circumstances or business requirements change. Xxxxxxx.xx will provide thirty (30) days advance notification to Partner prior to implementing such changes. 2.2 Xxxxxxx.xx reserves the right at any time to make changes or modifications to any Xxxxxxx.xx Offering, including, without limitation, changes which are required (i) for security, or (ii) to facilitate performance in accordance with the Documentation and/or to discontinue the sale of any Xxxxxxx.xx Offering. Xxxxxxx.xx will communicate any such changes or modifications to Partner via e-mail or such other method used by Xxxxxxx.xx to communicate with Partner such as the Partner Portal. 2.3 Partner agrees to report to Xxxxxxx.xx promptly in writing all suspected and actual problems with any Xxxxxxx.xx Offering of which Partner is aware. 2.4 Xxxxxxx.xx will make available to Partner, and Partner agrees to comply with specified training stated in the Xxxxxxx.xx Partner Program and or business plan agreed to by the parties. 2.5 Partner may request consent of Xxxxxxx.xx for an Affiliate within the Territory to participate under this Agreement and an applicable Module. Xxxxxxx.xx may grant or reject any request at Xxxxxxx.xx’s sole discretion. The Partner and each authorized Partner Affiliate shall be jointly and severally liable for the acts and omission of the Partner Affiliate. Such Partner Affiliate shall accept and be bound by the terms of this Agreement and the applicable Module(s) as if it were also a partner. Any termination of the Partner shall act as a termination of the authorized Partner Affiliate unless otherwise agreed to by the parties. 2.6 In order to maintain Partner appointment, Partner must comply with all organizational conflict of Interest, anti-kickback, and other provisions of law applicable to transactions including those relating to a Public Sector or to Government Customers. In addition, Partner is solely responsible for properly disclosing any actual or perceived conflicts of interest and other required information to customers or potential customers in connection with Partner's marketing and sales activities. If on the other hand the purchasing threshold for the following 12 months is not reached, the partner program level is automatically downgraded. In case of not reaching the BRONZE level, the Buyer needs to wait 12 months to sign up again for the loyalty program. 3.5 Entering the partner program and obtaining exclusive terms according to this article III has following conditions: Xxxxx has delivered to the Seller the list of planned projects and purchases (as Appendix no.1) concerning the Goods for the agreed term of this Agreement.
