Property Materials definition

Property Materials. All instruments, documents, leases, contracts, surveys, plats, plans, specifications, reports, studies, permits, applications, authorizations, approvals, proposals, applicable copyright and trademark materials, and other materials owned by Dearborn Center or within Dearborn Center's control or possession which consist of the Personal Property or which in any way pertain to the Real Property or Personal Property. The following enumerated items are included in the definition of "Property Materials" but are not intended to constitute a complete or comprehensive list thereof: as-built surveys; existing title insurance policy and title insurance commitment to be issued pursuant to Section 6.1 and legible copies of exceptions to title; site plan; Leases; copies of any lease proposals not yet finalized; soil tests; environmental studies; rent roll; service and utility letters, proposals and contracts; construction bids and contracts; copies of documents regarding joint use and/or maintenance of roads, parking areas and ingress and egress easements; zoning authorizations; existing certificates of occupancy and other governmental approvals and permits; copies of real property tax bills and special assessment notices for the Project; copies of operating statements for the Project; Dearborn Center local, state and federal tax returns of every kind for all years of existence and, when filed, 2003; general ledger and statements of income and expense (and cashflow if they exist), accounts receivable and payable lists and balance sheet for Dearborn Center; Redevelopment Agreement (together with copies of the Developer Note described therein, and, if and when issued, of the DPD Certificate described in Section 7.01 thereof).; and copies of the organizational documents of Dearborn Center.
Property Materials shall have the meaning set forth in Section 10.2(b).
Property Materials is as defined in Section 6.1.

Examples of Property Materials in a sentence

  • In the event this Agreement is terminated or the Closing does not occur for any reason whatsoever, Buyer shall promptly use good faith efforts to return to Seller all of the Property Materials provided to Buyer without retaining any copy thereof or extracting any information therefrom.

  • Buyer hereby assumes the risk that adverse physical and environmental conditions may not have been revealed by the Property Materials, Buyer’s Physical Inspections and Other Investigations of the Property and any other due diligence investigations of Buyer.

More Definitions of Property Materials

Property Materials means any prior title insurance policy, surveys, any Phase I reports, Phase II reports, inspection reports, zoning reports and all other written materials pertaining to the properties being acquired under the REPA. Purchaser and its representatives, agents and licensed contractors may make such tests, surveys and inspections of the Assets and properties as Purchaser deems necessary for its due diligence, including without limitation, Phase II reports, environmental assessments and testing, soil tests, environmental audits, structural and foundation surveys, equipment inspections and testing and topographical surveys ("Environmental Investigation"), from time to time, at the sole cost and expense of Purchaser. Purchaser shall have no responsibility under this Agreement with respect to the discovery of any hazardous or toxic waste, substance or material, pollutant or contaminant, including asbestos, as defined for purposes of Environmental Law ("Hazardous Substance") or any other condition found or discovered on or relating to the Purchased Assets or to undertake any remedial action on or relating to the Purchased Assets as a result of the inspections or tests undertaken by Purchaser and its representatives, agents or licensed contractors unless and to the extent that the presence of Hazardous Substances is due solely and directly to the acts of Purchaser and/or its representatives, agents or licensed contractors. For purposes of any Environmental Investigation, Purchaser agrees to (i) carry and to cause its representatives, agents and licensed contractors to carry commercially reasonable insurance coverages adequate to cover the Environmental Investigation activities; (ii) except as otherwise provided in this Agreement, defend, indemnify and save Seller harmless from and against all claims, out-of-pocket costs, expenses, losses and other obligations (including, without limitation, reasonable attorneys' fees and court costs) incurred, directly on account of any loss, damage or injury to any person or property, by reason of any negligent act or omission of Purchaser, its representatives, agents or licensed contractors, in connection with any Environmental Investigation; and (iii) restore the properties at Purchaser's sole cost to the condition that existed immediately prior to the commencement of the Environmental Investigation. Property Materials means all written materials relating to a Proposed Investment (including, without limitation, all written materials relating to all studies, soils tests, surveys (land, engineering, environmental or otherwise), inspections, reports, plans, specifications, maps, permits, approvals and other matters relating to the Property received by, or prepared by or for, Manager or any PECO Group Members).

Property Materials shall have that certain meaning set forth in Section 2.3 of this Agreement.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Third Party Material means software, software development tools, methodologies, ideas, methods, processes, concepts and techniques owned by, or licensed to a third party and used by the Service Provider in the performance of the Services;

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers.   • Project Materials means any and all works of authorship, artistic, literary and other works, inventions and materials designed, created, developed, written or prepared by the Supplier (or the Supplier's Personnel) in the course of providing the Services, whether individually, collectively or jointly with the Purchaser and on whatever media;

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Licensee Improvements means any enhancement to or modification or improvement of the Licensed Patents and/or the Proprietary Information created by or on behalf of Licensee and/or any of its subsidiaries.

  • Client Materials means all works and materials supplied by or on behalf of the Client to the Consultant for incorporation into the Deliverables or for some other use in connection with the Services;
