Standard Licence Terms definition

Standard Licence Terms means an irrevocable, royalty-free, non-exclusive, perpetual right for:
Standard Licence Terms the licence terms set out in Part A of schedule 5.2 (Standard Licence Terms);
Standard Licence Terms means the licence terms set out in Part A of Schedule 8 (Licence Terms).

  • If the Operator cannot obtain for the Authority a licence materially in accordance with the Standard Licence Terms the Operator will consult with the Authority on whether the rights that can be obtained are nevertheless acceptable to the Authority or whether the Operator should seek to use an alternative provider of software.

  • Except as provided in Clause 8.1 and Clause 8.2, a person who is not a party to these Standard Licence Terms shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Standard Licence Terms, but this does not affect any right or remedy of a third party which exists, or is available, apart from that Act.

  • It is agreed that these Standard Licence Terms are intended to confer a benefit on Wavin and the Third Party Licensors by making the exclusions and limitations of liability available to them, provided that the rights of such Third Party Licensors under this licence shall only be enforceable by Wavin on their behalf.

  • Wavin and the Third Party Licensors may enforce these Standard Licence Terms subject to and in accordance with this Clause 8 and the Contracts (Rights of Third Parties) Act 1999.

  • Subject to the provisions of these Standard Licence Terms, Wavin grants to the Licensee a free of charge, revocable, non-exclusive and non- transferable licence to download, install and use the BIM Content.


More Definitions of Standard Licence Terms

Standard Licence Terms shall have the meaning set out in Appendix 5;
Standard Licence Terms means the licence terms set out in Annex A of Schedule 7 and covers a royalty-free and non-exclusive right for the Customer to:Use the software or use other IPR during the Contract Period and on a perpetual basis wherever possible and at a minimum where not possible for a period of [twelve (12]) Months (excluding any Exit Period) following the expiry of the Term for the purposes of receiving and benefiting from the Services or services equivalent to part or all of the Services; in all cases, create an archival copy and a back-up copy of the software or IPR; create the reasonable and permitted number of copies of the software or IPR as applicable to the materials; assign the licence to a successor body in accordance with Clause 19; permit any third party (including any Replacement Service Provider) to Use the software and use other IPR on the Customer's behalf within the parameters provided in (a) to (c) inclusive above for the purposes and the period described in (subject to the third party entering into a reasonable confidentiality undertaking with the Customer). Step-In Notice has the meaning given in Clause 47.3;
Standard Licence Terms. Means the licence terms set out in Part A of Schedule 2-17 Annex A. Standards and Regulations means the standards and regulations as set out in Schedule 2-12 with which the SERVICE PROVIDER shall comply in the provision of the Ordered Information Management & Learning Services and its responsibilities and obligations hereunder. Sub-Contractor means any supplier selected, appointed and managed by the SERVICE PROVIDER in accordance with the provisions of Schedule 2-8, including the Sub-Contractors specified in Schedule 2-8. The terms “Sub-Contract” and “Sub- Contracting” shall be similarly construed.

Standard Licence Terms means a licence with the right to: (a) sub-license the rights to a third party (including any Replacement Supplier) provided that: (i) the sub-licence is on terms no broader than those granted to the Authority; (ii) the sub-licence authorises the third party to use the rights licensed only for purposes relating to the Services (or substantially equivalent services) or for any purpose relating to the exercise of the Authority’s business or function; and (iii) the sub-licensee shall have executed a confidentiality undertaking in favour of the Supplier; and (b) assign, novate or otherwise transfer its rights and obligations under the licence to any body (including any private sector body) which performs or carries on any of the functions and/or activities that previously had been performed and/or carried on by the Authority “Standards” the standards, polices and/or procedures identified in Schedule 2.3 (Standards);
Standard Licence Terms a royalty free and non-exclusive licence to Use the licensed materials during the Framework Term, including a right for the relevant licensee to permit third parties to Use such licensed materials to manage, receive and/or benefit from the Available Services provided that such third party enters into a non- disclosure agreement substantially in the form set out in Schedule 7.7 (Non-Disclosure Agreement) to the Framework Agreement; "Standard Migration" has the meaning given in the document titled "Migration Approach" which is a Framework Contract Controlled Document and which is included in the compact disc executed by the Parties and dated 1 November 2013, which is attached to this Framework Agreement; "Standard Service means all Service Levels other than those designated as Key Expression Definition
Standard Licence Terms means the licence terms set out in Part 7 of Schedule 11; State Second Pension Scheme means the S2P additional state pension;
