SUBMITTED MATERIALS. As defined in Section 5.2 of this Agreement.

SUBMITTED MATERIALS. As defined in Section 5.2 of this Agreement. "SUBSIDIARY": With respect to any Person, any entity of which securities or other ownership interests having ordinary voting power to elect a majority of the board of directors or other body performing similar functions are at any time directly or indirectly owned by such Person or, in the case of a Cable System, the right to direct the management or operation of such Cable System pursuant to a management agreement with a term of at least three years, for so long as such management agreement remains in effect; provided that, Licensee shall notify Licensor in writing immediately when it ceases management of any such Cable System. "TELEPHONE SERVICES": The provision to end users of Telephone Exchange Service, as that term is defined in the Telecommunications Act of 1934, as amended. Telephone Services shall include the ability to terminate a telephone call. "TRADE DRESS": The general image or appearance of the Licensed Marks and of the Licensed Services and Marketing Materials or Promotional Products and any packaging and labeling therefor, including without limitation, the combination of colors, designs, sizing configurations, publication formats and the like as set forth in the Style Guidelines and as such trade dress may be modified or replaced pursuant to Section 8.2 of this Agreement, and such other trade dress as may be added thereto or substituted therefor in accordance with Section 8.2. "TW LICENSEES": Those Persons and business units that are part of Licensor as of the Closing and any other Persons who are licensed under, or otherwise permitted to use, the Licensed Marks by Licensor. "TWE DISTRIBUTION AGREEMENT": The Distribution Agreement, dated as of the date hereof by and between Time Warner Entertainment Company, L.P., a Delaware limited partnership, Warner Communications Inc., a Delaware corporation, and AOL Time Warner Inc., a Delaware corporation. "VALUE ADDED RESELLER": Any Person that combines Licensed Services with additional software, services or features and then sells, distributes or leases such combinations directly to end users...

Examples of SUBMITTED MATERIALS in a sentence

• Notwithstanding the foregoing, Writer understands and acknowledges that the entity to which Writer is providing the Submitted Materials may not be a signatory to the Writers Guild of America Theatrical and Television Basic Agreement.

• Any Approvable Elements depicted or contained in the Submitted Materials to which Marvel does not object in writing during the Approval Period, time being of the essence, shall be deemed to be approved by Marvel.

• Notwithstanding the foregoing, regardless of whether you are a member of any performing rights society, you hereby grant us and our affiliates (and our Representatives) a perpetual, non-exclusive and irrevocable license to publicly perform each and every musical composition (including lyrics) contained in such Submitted Materials.

• You agree to the foregoing grant of rights, consents, agreements and assignments whether or not your Submitted Materials are used by us.

• Once Marvel approves, or is deemed to have approved, any Approvable Elements contained or depicted in Submitted Materials, Marvel shall not have any further approval rights regarding such Approvable Elements, unless the depiction of such Approvable Elements in materials subsequently prepared by SPE materially deviates from the depiction thereof which was approved or deemed approved by Marvel (a "Materially Changed Approvable Element").

• We cannot be responsible for maintaining any Submitted Materials that you provide to us, nor are we responsible for any information included in any Submitted Materials (for example, without limitation, a blog post or any comments to blog(s) created or posted by users), and we may delete or destroy any such Submitted Materials at any time.

• We may use third parties to provide services in connection with Submitted Materials.

• SPE shall, during the development or production of a Picture, submit to Marvel screenplays, storyboards, special effects tests, dailies or other materials in which Approvable Elements are depicted or contained ("Submitted Materials").

• By submitting or posting any User Information, photograph, video, and/or Submitted Materials or by using the Web Site you acknowledge and agree that, in the event that it becomes necessary or advisable for us to defend ourselves, in a court of law or otherwise, with respect to any such User Information, photograph, video, and/or Submitted Materials, or you engage in any prohibited conduct, as described below, we may rely on your representations and warranties contained herein.

• Except as may be expressly permitted in connection with one of the Web Site’s services, you also may not offer to buy or sell any product or service on or through your Submitted Materials.

More Definitions of SUBMITTED MATERIALS

SUBMITTED MATERIALS means all goods, data, deliverables, output, and materials that are submitted or required to be submitted by the Contractor or its Representatives to the City in the performance of the Work, and all copyright therein.

SUBMITTED MATERIALS means any material including documents, information or data provided by you to us in connection with the Services.
