Acceptance and Undertaking. The Construction Agent hereby unconditionally accepts the agency appointment and undertakes, for the benefit of the Lessor, to identify and acquire certain Properties (provided, title to the Properties shall be held in the name of the Lessor, except that the interest of the Lessor in certain Properties shall be a ground leasehold interest pursuant to one (1) or more Ground Leases if requested by the Construction Agent) and the development, acquisition, installation, construction and testing of the Improvements, the Equipment and the other components of the Properties in accordance with the Plans and Specifications and the Operative Agreements.

Acceptance and Undertaking. StadiumCo hereby accepts the appointment made by the Authority in Section 2.1 hereof, and undertakes, for the benefit of the Authority, to cause the Architect and CM at Risk to design and construct the Stadium Project, and to otherwise manage and administer the Project, in accordance with this Agreement and the other Definitive Documents, as an independent contractor for the Authority and in each case acting as a Reasonable and Prudent Project Manager. StadiumCo shall cause the Program Manager to provide sufficient personnel to appropriately assist StadiumCo in carrying out the requirements of this Agreement and shall take actions with such reasonable promptness as to cause no unreasonable delay to the Stadium Project in each case acting as a Reasonable and Prudent Project Manager.
Acceptance and Undertaking. The Construction Agent hereby unconditionally accepts the agency appointment, acknowledges that the Lessor, concurrent with the effectiveness of this Agreement, has acquired a ground leasehold interest in certain of the real estate comprising a part of the Property pursuant to the Ground Lease and various Appurtenant Rights (which Property, Ground Lease and Appurtenant Rights are acceptable in all respect to the Construction Agent) and undertakes, for the benefit of the Lessor, to develop, acquire, install, construct and test the Improvements, the Equipment and the other components of the Property in accordance with the Construction Documents and the Operative Agreements including obtaining all necessary entitlements and permits (including all environmental and occupancy permits, maintaining books and records relating to the Property and other functions typically undertaken in developing the Property).

Construction Agent hereby unconditionally accepts the agency appointment and undertakes, for the benefit of Landlord, to cause to be completed the Work in accordance with this Agreement, the Lease and the Work Agreements (collectively, the “Operative Documents”). To the extent of Escrow Funds available, Landlord agrees to cooperate with all of Construction Agent’s reasonable requests for information and to sign any applications reasonably required for the prosecution of the Work.

The Construction Agent hereby unconditionally accepts the appointment provided for herein as an independent contractor and an agent of the City and undertakes, for the benefit of the City, to act as the City’s agent for the purpose of providing construction management services, including planning, coordination, management and administration for the construction, renovation, installation, equipping, and improvement of the Project during the Construction Period in accordance with the Standard Conditions, Plans and Specifications and pursuant to the terms of this Agreement and the other Operative Documents. The Construction Agent shall perform its services in accordance with professional standards of skill, care and diligence in a timely manner in accordance with the Work Schedule so as to cause no delay, interference, disruption or hindrance in the Work and so that the Project shall be completed as expeditiously and economically as possible within the Cost Budget and in the best interests of the City.
Acceptance and Undertaking. Project Manager hereby accepts the foregoing delegation of responsibilities and agrees to perform the Project Services consistent with the requirements of this Agreement so that the City has all material rights, benefits and protections provided for under the Agreements.
