ACCEPTANCE, MAINTENANCE AND REPAIR. LESSEE has inspected and knows the condition of the premises and accepts the same in their present condition (subject to ordinary wear, tear, and deterioration in the event the term commences after the date hereof and to the rights of present of former occupant or occupants, if any, to remove movable property). LESSOR shall take good care of the premises and the equipment and fixtures therein (including but not limited to replacement of parts and components of heating and air conditioning equipment and by maintaining records of semi-annual maintenance checks by a qualified technician) and shall keep the same in good working order and condition, including particularly but not limited to protecting water pipes, heating and air conditioning equipment. plumbing. windows, doors, frames, dock bumpers, fixtures, appliances, and sprinkler system from becoming frozen or being damaged, and shall keep the premises and the approaches, sidewalks. parking areas, landscaped areas and the alleys adjacent thereto, if any. clean. sightly and free from ice and snow LESSEE shall pay as additional rent its pro rata share of maintenance and repairs in monthly installments equal to 1/12th of the most recent maintenance and repair expenses or mutually agreed upon estimate provided by LESSOR. At the expiration of the term, LESSEE shall surrender the premises broom clean, in as good condition as the reasonable use thereof will permit. All damage or injury to the premises not caused by fire or other casualty and all damage to glass. windows, walls. ceilings, flooring and doors shall be promptly repaired by the LESSEE.

At the expiration of the term, LESSEE shall surrender the premises broom clean, in as good condition as the reasonable use thereof will permit. LESSEE shall keep in repair, the roof, exterior and walls, gutters and downspouts of the premises in any building of which they are a part. LESSEE shall bear the entire cost of routine maintenance and repair of the Leased Premises. LESSEE shall bear only that pro rata portion of the cost of major repair of a piece of equipment on the Leased Premises with a cost in excess of $1,500 and with a useful life of five (5) or more years, which shall apply to the remainder of the term of the Lease, including available options, at the time such repair costs are incurred; provided LESSOR shall not be liable to pay any portion of the cost of such repairs due and owing to LESSEE'S failure to maintain the Leased Premises in accordance with the terms of this Lease. Should LESSEE fail within 30 days after written notice from LESSOR to LESSEE to make any maintenance or repairs required by this Lease, LESSOR may arrange to make the same on LESSEE'S behalf and the cost of said maintenance and repairs shall be additional rent under this Lease and shall be immediately due and payable.

ACCEPTANCE, MAINTENANCE AND REPAIR. (a) Tenant has inspected and knows the condition of the Premises and accepts the same in their present condition without representation or warranty of any kind by Landlord as to the present or future condition of the Premises, subject, however, to Landlord’s obligations under Section 9(b) and Section 14 hereof. Tenant shall, at its own cost and expense, maintain in good condition and repair, and replace (when a repair is not feasible) as necessary, the entire Premises (except as expressly provided in Section 9(b) below), including but not limited to all (i) glass, skylights, windows, interior and entrance and exit doors, sprinkler systems, plumbing and sewage systems, walls and wall finishes (including but not limited to, painting of interior and exterior walls, as and when necessary), floors (including floor slabs), ceilings, columns, entryways, pipes, mains, water and sewer connections, security systems, truck docks and doors, dock bumpers, dock plates, dock shelters, dock seals, and dock lighting, levelers, entrance doors, door jams, electrical facilities and equipment including, without limitation, lighting fixtures, lamps, fans and exhaust equipment and systems, electrical motors, heating, air conditioning and ventilation systems, and all other appliances, fixtures and equipment of every kind and nature located in, upon or about the Premises and (ii) signage, rail space areas, fences, water retention facilities, lighting standards and lamps, discharge piping, fountains, pumps, catch basins and drainage areas, driveways and parking areas (including paving, sealing and restriping, when necessary, and removal of snow, ice and trash), landscaped areas, walkways, curbs and all other facilities serving or relating to the Premises. Tenant's repair and maintenance obligations under this Section 9 shall not apply to any maintenance or repair caused by the negligent act or willful misconduct by Landlord occurring after the Commencement Date. Landlord hereby assigns to Tenant, to the extent assignable, any warranties that Landlord may have (if any) that relate to Tenant’s maintenance and repair obligations under this Lease. (b) Subject to the provisions of Section 14 hereof, Landlord shall make or cause to be made, all necessary repairs and replacements to the "structural components" (as hereinafter defined) of the Building. ACCEPTANCE, MAINTENANCE AND REPAIR. Subject to the provisions of paragraph 10 hereinabove, Xxxxxx has inspected and knows the general condition of the parking lot and accepts the same in its present condition. In addition to the maintenance requirements of paragraph 10, Lessee shall keep the parking lot and surrounding areas of the Land and adjacent areas owned or leased by Lessee clean and sightly and free of trash and debris, and with all grass in such areas well-mowed and trimmed. Lessee shall provide seven days per week snow removal service for the said parking lot during the term of this Lease, which at a minimum shall be performed whenever snow depth reaches three inches. All maintenance and repairs required by the Lease to be performed by Lessee shall be at Lessee’s sole cost and expense unless otherwise expressly provided in the Lease.
