Access to the Subscription Services Sample Clauses
Access to the Subscription Services. During the Term and subject to Customer’s compliance with these Terms and Conditions, OnSolve grants Customer a non-exclusive, personal, non-transferable license to access to and use the Subscription Services for Customer’s internal business purposes only and only in accordance with the applicable Documentation. Only Customer’s and its Affiliates’ employees and consultants may act as Administrators.
Access to the Subscription Services. Subject to and conditioned on Customer’s timely payment of the Fees in accordance with Section 9 hereof and compliance with the terms and conditions of this Agreement, Traumasoft grants Customer a restricted, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Subscription Services solely for Customer’s internal business use.
1.1. The Software is located on servers that are controlled by Traumasoft. Customer may access the Software but has no right to receive a copy of the object code or source code to the Software.
1.2. Customer must have a high-speed Internet connection, and hardware and software that is compatible with the Subscription Services, as set out in the Documentation. None of these things are Traumasoft’s responsibility.
1.3. Traumasoft regularly upgrades, updates, and maintains the Subscription Services, including providing regularly scheduled maintenance and planned downtime, which Traumasoft will use commercially reasonable efforts to schedule on Wednesdays between 10:00 pm and 2:00 am Eastern Time and Sundays between 10:00 am and 2:00 pm Eastern Time (“Scheduled Maintenance”), during which Scheduled Maintenance the Subscription Services or Software may be partially or completely unavailable. This means that the Subscription Services are continually evolving. Some of these changes will occur automatically, while others may require Customer to schedule and implement the changes. Customer acknowledges that Traumasoft may stop (permanently or temporarily) providing any features within the Software or Subscription Services in Traumasoft's sole discretion. This Agreement governs any updates, upgrades, releases, revisions or enhancements to the Software which Traumasoft may furnish to Customer in its sole discretion.
1.4. Traumasoft reserves all rights not expressly granted to Customer in this Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the Software, Subscription Services, Work Product and Documentation and, together with its codes, sequences, derivative works, organization, structure, interfaces, any documentation, data, trade names, trademarks, or other related materials (collectively, the “Traumasoft IP”). Access to the Subscription Services. During the Subscription Term, PackageX agrees to provide Customer with access to certain features and functions of the Software, as set forth in an Order. Customer may only access the Subscription Services during the Subscription Term and may only use the Software for its internal business use and subject to any use restrictions set forth in the Order.
