Audit Coordination. The basic and fundamental focus of responsible corporate management is the maintenance of proper financial information in auditable form. A company which is not auditable cannot go public, and may find itself unsalable even privately. A public company cannot acquire a private company or its business unless the target of acquisition is capable of being audited. Reg SX audits involve special considerations and must be conducted by auditors professionally equipped, and preferably experienced, for doing audits designed to meet the standards and possible review by NASD and/or SEC examiners. The audit is the table on which the house of cards rests. Its importance cannot be overstated. Many issuers find it useful to obtain audit coordination services, to assist them in communicating effectively with their independent auditor, and in identifying the information to be gathered for the auditor, and submitting such information in the form must useful to the auditor for efficiency and accuracy. Intrepid can provide references to any one or all of a number of experienced auditors, with special expertise in various business segments, or can assist the issuer in working with any qualified auditor of its choice. Intrepid can evaluate the adequacy of audit procedures and alert the issuer if something not considered should require attention. Intrepid does not conduct audits or instruct or control auditors or the results of any audit. Intrepid facilitates effective communication between auditor and issuer, if and as desired by its clients. Intrepid's evaluation of auditors for its clients is limited to whether the designated auditor is effectively conversant with Regulation SX, and whether the auditors experience and qualifications appear reasonably suitable for the size and scope of the audit required.
Audit Coordination. The Contractor will provide support and work collaboratively with CHA to prepare reports, gather information and file documentation, and prepare timely responses to all audit inquiries and shall assist and participate in the defense of any program findings. The CHA and Contractor shall work together in good faith to ensure that all appropriate, applicable and available defenses have been raised and asserted against the HUD findings. CHA shall have final approval of all written responses to program findings. In the event that an audit results in corrective action, the Contractor shall also work within the designated timelines to ensure that all corrective actions are taken, and proper documentation of such corrective actions are maintained and provided to CHA. If an audit finds that errors in program administration resulted in monetary damages which are required by HUD to be repaid or refunded, Contractor shall reimburse CHA for all such damages to the extent that the erroneous actions that resulted in the repayment obligation were performed by or under the control of the Contractor at the time that the damages were incurred. The CHA shall also be entitled to offset the amount of damages from any fees owed by CHA to the Contractor in the event that Contractor fails or refuses to reimburse CHA within 30 days of receipt of notice from HUD that such payment is required. S. Support CHA’s New Initiatives and Program Development: 1. Assist in the development and implementation of MTW and non-MTW policies; and 2. Assist CHA with the implementation of special initiatives.

  • Utility Coordination Identify all potential utility conflicts and provide preliminary office check plans showing the problem locations, posted to the City’s FTP site. Plans will clearly identify specific utility company facilities by color and by name (i.e. not just “gas” or “fiber optic”). ENGINEER shall include a conflict list for each utility, also posted to the FTP site. ENGINEER shall meet with utility company representatives to review plans and utility verification forms (Attachment No. 3 to Exhibit “A”) at each milestone date and as directed by the CITY and as determined necessary by the ENGINEER. This in- formation will be compiled into a summary report (Attachment No. 4 to Exhibit “A” also available on the City’s FTP site) maintained and updated by ENGINEER as necessary to present a cohesive and reflective status of utilities, and provided to the City as necessary. ENGINEER shall maintain involvement with utility companies until all conflicts have been resolved (not just identified). When appropriate, the City Engineer will approve the identification on plans of conflicts to be resolved during construction. ENGINEER shall meet with involved utility company/ies and project contractor to resolve any conflicts with utilities that occur during construction.

  • Care Coordination The Parties’ subcontract shall require that the Enrollee’s CP Care Coordinator provide ongoing care coordination support to the Enrollee in coordination with the Enrollee’s PCP and other providers as set forth in Section 2.6.

  • Service Coordinators Each Party has designated an employee or title as the key contact for the day-to-day implementation or monitoring of each Service as specified in the applicable Transition Service Schedule (each, a “Service Coordinator”). The Parties shall direct communications relating to specific Services to the applicable Service Coordinators. The Service Coordinators shall report to the Transition Committee from time to time, as directed by the members of the Transition Committee designated by the applicable Party.

  • Project Coordinator Within 14 days of the effective date of this Consent Agreement, DTSC and Respondent shall each designate a Project Coordinator and shall notify each other in writing of the Project Coordinator selected.
