Availability of Power. Subject to the other provisions of this Agreement, Cooperative shall make available to Customer, and the Customer shall take and purchase from Cooperative, all of Customer’s requirements for power and energy for the operation of Customer’s said plant. The “contract demand” under this Agreement for rate . . shall be 1.550 subject to adjustment by Customer as provided hereinbelow. During periods when Customer is served under rate only, contract demand may be increased, up to a . upon one month advance notice to Cooperative. Customer shall then have the right to decrease said contract demand upon three months advance notice to Cooperative. Contract demand under Schedule shall not be decreased below a minimum of 1550 During periods when Customer is served under rate Schedule 2, the “contract demand” shall be 1550 and this contract demand shall not be adjusted during such periods. The power and energy made available to Customer hereunder shall be delivered, taken, and paid for in accordance with the terms hereof and the tariff of the Cooperative, Schedule or Schedule 2, as approved by the Kentucky Public Service Commission (the “P.S.C.“) and as modified from time to time by appropriate authority, a copy of which is attached hereto and hereby made a part hereof. In the event of any conflict between the provisions of this Agreement and said tariff, the latter shall control. 3. The second paragraph of Section 7 of the Agreement is hereby amended by replacing the paragraph with the following new paragraph:

Availability of Power. With respect to the availability of power saws as discussed at the negotiations, the Company will provide spare saws in direct proportion to the number of skidder crews, where there are five skidder crews, there will be five spare saws. By this Letter of Understanding, the Company is prepared to agree that in the future, the Company will notify the Union when independent sawmills are to be set up on Company limits. The will also indicate the approximate size of the sawmill and the geographical location of same. This notification will take place to the commencement of such operations.

From Central/State Sector Generating Stations (a) Distribution Licensee’s share in the allocated and unallocated capacity in the Central/State Sector Generating Stations; (b) Likely availability of energy from each generating station based on projections given by the generators and the historical data of supply from the generators; or (c) The PLF/Generation targets for the Station fixed by Central Electricity Authority; or (d) The historical performance of the Station adjusted for any planned maintenance or shut-downs. ii. From other sources: (a) Distribution Licensee’s banking arrangement with any other Distribution Licensee, Board or Trading Licensee. (b) Distribution Licensee’s agreement with any other Distribution Licensee, Board, Generating Company or Trading Licensee regarding purchase of power. (2) The distribution licensee shall also include its yearly requirement of the Renewable Purchase Obligation as specified by the Commission in its UERC (Tariff and Other Terms for Supply of Electricity from Renewable Energy Sources and non-fossil fuel based Co-generating Stations) Regulations, 2013 as amended from time to time, and measures to ensure compliance of its RPO for the Control Period.

EKPC and Cooperative acknowledge that during the Initial Operations Period none of the actual monthly demand will be considered to be Excess Demand when determining the Billing Demand. The power and energy made available to Customer hereunder shall be delivered, taken, and paid for in accordance with the terms hereof and with the Schedule of Rules and Regulations of NES (the “Schedule”). In the event of any conflict between the provisions of said Schedule and the provisions of this Contract, the Schedule shall control. Nashville Electric Service reserves the right to require the installation of a dedicated phone line to the meter before power is connected for customers with potential to have a power factor less than eighty-five percent (85%).
