Calculation and Payment of Service Fee. 本协议项下的服务费应为接受服务方100%的合并利润总额。尽管有上述约定,甲方可以根据下述第2.2条的规定并参考接受服务方运营资本的需要自行调整服务费的金额。接受服务方应接受该调整。 The service fee shall be equal to 100% of the consolidated net profits of the Service Receiving Parties. Notwithstanding the foregoing provision, Party A may adjust the service fee at its sole discretion in accordance with provision of Clause 2.2 below and with reference to the working capital requirements of the Service Receiving Parties. The Service Receiving Parties shall accept such adjustments.
Calculation and Payment of Service Fee. 1.1 The fee for the services provided under this Agreement is calculated based on the revenue of Party B and the corresponding operating cost and sales, management and other costs and expenses, and may be charged in the form of:
(a) a percentage of the revenue of Party B;
(b) a fixed license fee for certain software; and/or
(c) other method determined from time to time by Party A according to the nature of services provided.
1.2 The specific amount of such fee shall be determined by Party A through taking account of the following factors, and Party A shall send Party B written confirmation for service fee:
(a) The technical difficulty and complexity of the services provided by Party A;
(b) The time spent by employees of Party A concerning the services;
(c) The contents and commercial value of the services provided by Party A;
(d) The benchmark price of similar services in the market.
Calculation and Payment of Service Fee. 2.1 Both parties agree that as the consideration of the technology support and technology services rendered by Party A to Party B under Article 1.1 hereof, Party B shall pay a service fee to Party A, which shall be 5%-30% of Party B’s monthly business income. The amount of service fee shall be determined by both parties based on the following factors:
(a) The technical difficulty and complexity of technology support and technology services;
(b) The time spent by Party A’s employees on technology support and technology services;
(c) The specifics and commercial value of technology support and technology services; and
(d) The market reference price of the same type of technology support and technology services.
2.2 Party A will summarize service fee on a quarterly basis and inform Party B. Within ten workdays after receiving such notice, Party B shall pay the service fee to the bank account designated by Party A. Where Party B fails to pay the service fee and other expenses pursuant to the provisions of this Agreement, Party B shall pay to Party A a penalty interest on the overdue sum at an annual interest rate of 10%.
2.3 If Party A is of the opinion that the service pricing mechanism as set out in this Article becomes inappropriate for whatsoever reason and needs to be adjusted, Party B shall, within seven workdays after receiving the written notice about fee adjustment from Party A, negotiate with Party A actively and in good faith so as to determine the new fee standard or mechanism. Otherwise, Party B shall be deemed as having accepted the service fee adjustment.
2.4 The foregoing fee adjustment shall not affect the validity of this Agreement and the performance by both parties of the other obligations under this Agreement.
Calculation and Payment of Service Fee. 2.1 The fee for the services provided under this Agreement is calculated based on the revenue of a Service Receiving Party and the corresponding operating cost and sales, management and other costs and expenses incurred by the Service Receiving Party, and may be charged in the form of:
(a) a percentage of the revenue of the Service Receiving Party;
(b) a fixed license fee for certain software; and/or
(c) other method determined from time to time by WFOE according to the nature of services provided.
2.2 The specific amount of such fee shall be determined by a Service Provider through taking account of the following factors, and a Service Provider shall send Jiubang Digital or the respective Jiubang Subsidiary written confirmation for service fee:
(a) The technical difficulty and complexity of the services provided by the Service Provider;
(b) The time spent by employees of the Service Provider concerning the services;
(c) The contents and commercial value of the services provided by the Service Provider;
(d) The benchmark price of similar services in the market.
Calculation and Payment of Service Fee. 1. Party B shall provide Party A with bills in the light of the service price by mutual consent and the actual workload.
2. Party A shall pay the relevant service fee in accordance with the date and the amount prescribed by the bxxx.
3. Party A and Party B may make other arrangements relating to the payment of the service fee subject to mutual consent.
Calculation and Payment of Service Fee. 2.1 Both Parties agree that Party A will issue bills to Party B on a quarterly basis according to the workload and commercial value of the technical services provided by it for Party B and the price agreed to by both Parties, and Party B shall pay corresponding consulting service fees and other service fees to Party A or any party designated by Party A in accordance with the date and amount specified in the bills. Party A may adjust the charging standards of consulting service fees at any time according to the quantity and content of consulting services provided by it for Party B. The aforesaid adjustment will take effect after notifying Party B in writing.
2.2 Within fifteen (15) working days as of the end of each financial year, Party B shall provide Party A with the financial statements of such year and all business records, business contracts and financial information required for the issuance thereof. Where Party A has any doubt about the financial information provided by Party B, it may entrust an independent accountant with good reputation to audit relevant information, for which Party B shall render cooperation.
Calculation and Payment of Service Fee. Both Parties agree that Party B shall pay Party A the Service Fee hereunder on a quarterly basis, and that the Service Fee shall be determined by both Parties based on the actual Services provided. In principle, the Service Fee shall be the balance of the total income of Party B after a deduction of any and all necessary expenses, fees and taxes other than the Service Fee of Party A, an offset of the previous years’ losses (if any), and a deduction of other statutory retained amounts. Party B shall provide Party A with its financial statements and business data of each quarter within thirty (30) days following the end of the quarter.
Calculation and Payment of Service Fee. The Fee for the services provided under this Agreement is calculated based on a percentage of the total revenues of the Party receiving the services or according to the total number of student enrollments of Affiliated Entities of Party B. The specific percentage or amount shall be agreed upon by both Party A and the Party receiving the services taking into account the actual services provided as evidenced by service bills or other written documents delivered by Party A to the Party receiving the services.
Calculation and Payment of Service Fee. 2.1 The fee for the services provided under this Agreement is calculated based on the revenue of a Service Receiving Party and the corresponding operating cost and sales, management and other costs and expenses incurred by the Service Receiving Party, and may be charged in the form of:
(a) a percentage of the revenue of the Service Receiving Party;
(b) a fixed license fee for certain software; and/or
(c) other method determined from time to time by WFOE according to the nature of services provided.
2.2 The specific amount of such fee shall be determined by a Service Provider through taking account of the following factors, and a Service Provider shall send Guangzhou Hengye or the respective Hengye Subsidiary written confirmation for service fee:
(a) The technical difficulty and complexity of the services provided by the Service Provider;
(b) The time spent by employees of the Service Provider concerning the services;
(c) The contents and commercial value of the services provided by the Service Provider;
(d) The benchmark price of similar services in the market.
Calculation and Payment of Service Fee. 1. The total service fee for the above services is equivalent to the balance of the total income of service recipient after deducting costs and taxes (excluding enterprise income tax) and other fees reserved or withheld in accordance with the requirements of laws and regulations. The specific amount, specific service content, service duration and other matters shall be determined by the service charge xxxx issued by Party A to the service recipient or other written document (such as a separately signed service agreement).
