Conceptual Site Plan. The City and Developer hereby acknowledge that the City approved the Conceptual Site Plan for the Project on April 3, 2014, attached hereto as Exhibit “B” and incorporated herein by this reference (the “Conceptual Site Plan”). The Conceptual Site Plan sets forth the basic land uses, intensity and density of such uses, relative height, bulk and size of buildings and structures proposed by Developer and approved by the City for development within the Property. Notwithstanding anything contained in the foregoing, however, the City acknowledges that while the Developer intends to develop the Project in general conformance with the Conceptual Site Plan, in order to make the Project economically viable and otherwise feasible, as the Project progresses through formal site plan review, Developer may request modifications to the Conceptual Site Plan and shall incorporate modifications as set forth in this Agreement. The City shall process all submittals made by Developer in conformance with below, and nothing contained herein shall preclude the City from the exercise of its normal review process and requirements in connection with its approval of such submittals. Modifications to the Conceptual Site Plan that exceed the thresholds set forth in Flagstaff Zoning Code Section 10-20.40.090.B.2 shall require a Zoning Map Amendment to process the requested modifications to the approved Conceptual Site Plans.

Conceptual Site Plan. The Conceptual Site Plan attached hereto as Exhibit B-1 shall serve as the general guide for the location of roads, buildings, and other development features. The Property shall be generally developed consistent with the approved Conceptual Site Plan located on Exhibit B-1 unless otherwise modified consistent with the terms of the Agreement.
Conceptual Site Plan. SHP has prepared an initial site plan with (i) an existing 14,000 sq. ft. market, (ii) some 21,000 sq. ft. of restaurant/retail, (iii) a parking structure, (iv) a 198-unit apartment building at a density of 45 du/ac, and (v) a community park/assembly area . attached hereto and incorporated herein by reference as Exhibit “C.” During the Initial Term, this plan must be modified substantially (i) to increase the retail component, (ii) to provide tenants that provide services for the residents, as well as uses that accommodate community assembly (e.g., bookstore), and (iii) to refine the community park design to include art, water elements, etc. To accomplish these changes ground floor retail within the parking structure (drug/pharmacy use), additional height, mixed use, site expansion, and other mechanisms are encouraged.
Conceptual Site Plan. The Tellurian Properties are not intended to be developed in accordance with the Conceptual Site Plan originally attached as Exhibit B to the Development Agreement. Therefore, Section 3.2 of the Development Agreement is hereby amended in its entirety to read as follows:

Conceptual Site Plan. Attached hereto as Exhibit "B" is a conceptual site plan of the Office Project (the "Conceptual Site Plan") prepared by Developer. The Office Project shall be developed in general conformance with the Conceptual Site Plan. Any amendments and changes to the Conceptual Site Plan require approval in writing from the Economic Development Department prior to Developer’s submission.
Conceptual Site Plan. Consultant shall provide a site plan with building footprints, parking footprint (general parking area with approximation of stall count), landscaping, and storm water management features. This site plan will be based on mix of buildings based on allowable land use, zoning, and parking requirements.
