Conduct of Project. 2.1 University shall use reasonable efforts to commence the Project promptly after the Effective Date and to conduct the Project substantially in accordance with the terms and conditions of this Agreement. Sponsor acknowledges that University and the Project Manager must conduct the Project in a manner consistent with University’s educational and research missions. Anything in this Agreement to the contrary notwithstanding, Sponsor and University may at any time amend the Project by mutual written agreement signed by their authorized representatives. 2.2 In the event that the Project Manager becomes unable or unwilling to continue Project, and a mutually acceptable substitution is not available, University and/or Sponsor shall have the option to terminate said Project, subject to the provisions of Article 7, by giving written notice to the other party of such termination. 2.3 Sponsor shall promptly provide University with such information or documents of whatever form or nature, or undertake such actions, as University may reasonably require in order to conduct the Project.

Conduct of Project. (a) Emory Principal Investigator, on behalf of Emory, shall use reasonable efforts to conduct the Project in a professional manner. Emory Principal Investigator shall also use good faith efforts to conduct the Project in accordance with the terms of this Agreement and all applicable U.S. government laws, rules and regulations. (b) Subject to sections 2.1 and 2.2 (a) above, Sponsor acknowledges that Emory shall have the freedom to conduct and supervise the Project in a manner consistent with Emory’s educational and research missions.

Conduct of Project. ECHO Activities at ABC. Subject to the terms and conditions of this Agreement, UNMHSC grants to ABC the nonexclusive right to conduct Project ECHO Activities at ABC, provided that the ECHO name be used as part of or integrated into the name of any and all projects resulting from this collaboration or modeled after Project ECHO or the ECHO Institute™. The name or title of the project will be determined by the organizational name used in this customized Intellectual Property Terms of Use Agreement.

Conduct of Project. The Recipient agrees to carry out the Project: (a) to achieve the Grant Purpose and for no other purpose; (b) in accordance with the Program Guidelines and its Application; (c) in an efficient, effective, economical and ethical manner; (d) in accordance with this Agreement; (e) diligently and to a high standard; and (f) in accordance with all applicable Laws.

Conduct of Project. 7.1 The Applicant must carry out the Project in accordance with this Agreement. 7.2 The Recipient is solely responsible for ensuring that any work undertaken on the Project is completed to a satisfactory standard and comply with any relevant legislation.

Conduct of Project a. The Ultimate Recipient shall carry out the Project promptly, diligently and in a professional manner and in accordance with the terms and conditions of this Agreement. b. The Ultimate Recipient shall reach the Project Completion by December 31, 2024, unless terminated earlier pursuant to the provisions of this Agreement. c. The Ultimate Recipient shall comply with all applicable federal, provincial and municipal laws in relation to the Project.

Conduct of Project. 4.1 Roles of the Research Organisations (a) The Lead Research Organisation is responsible for overall co-ordination of the Project, providing scientific leadership for the Project and being principal point of contact for liaising with GRDC. (b) Each Research Organisation other than the Lead Research Organisation agrees to cooperate with the Lead Research Organisation, including by providing the Lead Research Organisation with all information reasonably requested by the Lead Research Organisation to enable it to comply with its reporting obligations under this Contract. (c) Each Research Organisation is responsible for: (i) working collaboratively and cooperatively with each other Research Organisation; (ii) performance of those parts of the Project for which it is responsible under Schedule 1; (iii) promptly advising GRDC and the Lead Research Organisation of any disputes between the Research Organisations; and (iv) expenditure of the Research Funds allocated to it under Schedule 1 in accordance with this Contract. 4.2 Carrying out of Project Each Research Organisation must: (a) carry out the aspects of the Project for which it is responsible using all necessary and appropriate professional skill and diligence during the Term; (b) use its best endeavours to achieve all Project Outcomes, Project Outputs, Milestones and any other activities allocated to it in Schedule 1 by their due date; (c) except as otherwise expressly provided in this Contract, provide at its own expense all funds, personnel, Items, facilities, services and premises specified in Schedule 1 or otherwise required to carry out the aspects of the Project for which it is responsible; (d) except as otherwise expressly provided in this Contract, obtain at its own expense all third party assistance specified in Schedule 1 or as required to carry out that part of the Project for which it is responsible; (e) take all reasonable steps to ensure that its Research Organisation Personnel enable it to comply with its obligations under this Contract including, in particular, those obligations which relate to Project Outputs, Background Material and Third Party Material; (f) ensure that the aspects of the Project for which it is responsible are conducted by its Research Organisation Personnel and that its Research Organisation Personnel spend the amount of time working on the Project that is specified in Schedule 1 or as otherwise approved in writing by GRDC; (g) be responsible for the safekeeping and ma...

Conduct of Project. A Transaction Party must not, without the written consent of the Agent, change the scope of a Project from that assumed in or contemplated in the Corporate and Project Budget, and it must ensure that: (a) each Project is diligently developed and maintained in accordance with the Corporate and Project Budget, Good Industry Practice and Authorizations; and (b) the Project Assets are maintained in good condition.

Conduct of Project. 4.1 Carrying out of Project The Research Organisation must: (a) carry out the Project using all necessary and appropriate professional skill and diligence during the Term; (b) use its best endeavours to achieve all Project Outcomes, Project Outputs, Milestones and any other activities allocated to it in Schedule 1 by their due date; (c) except as otherwise expressly provided in this Contract, provide at its own expense all funds, personnel, Items, facilities, services and premises specified in Schedule 1 or otherwise required to carry out the Project; (d) except as otherwise expressly provided in this Contract, obtain at its own expense all third party assistance specified in Schedule 1 or as required to carry out the Project; (e) take all reasonable steps to ensure that its Research Organisation Personnel enable it to comply with its obligations under this Contract including, in particular, those obligations which relate to Project Outputs, Background Material and Third Party Material; (f) ensure that the Project is conducted by its Research Organisation Personnel and that its Research Organisation Personnel spend the amount of time working on the Project that is specified in Schedule 1 or as otherwise approved in writing by GRDC; (g) be responsible for the safekeeping and maintenance of any GRDC Background Material that is made available for the Project and must ensure that it is used, copied, supplied or reproduced only for the purposes as permitted under this Contract; and (h) comply with all applicable Laws in carrying out the Project, including (as applicable) those specified in clause 14.
