Conduct of Project. 3.1 The Proponent shall carry out the Project promptly, diligently and in a professional manner and in accordance with the terms and conditions of this Agreement.
3.2 The Proponent shall complete the Project by MARCH 31, 2000.
3.3 The Proponent shall comply with all federal, provincial and municipal laws in relation to the Project.
Conduct of Project. 2.1 University shall use reasonable efforts to commence the Project promptly after the Effective Date and to conduct the Project substantially in accordance with the terms and conditions of this Agreement. Sponsor acknowledges that University and the Project Manager must conduct the Project in a manner consistent with University’s educational and research missions. Anything in this Agreement to the contrary notwithstanding, Sponsor and University may at any time amend the Project by mutual written agreement signed by their authorized representatives.
2.2 In the event that the Project Manager becomes unable or unwilling to continue Project, and a mutually acceptable substitution is not available, University and/or Sponsor shall have the option to terminate said Project, subject to the provisions of Article 7, by giving written notice to the other party of such termination.
2.3 Sponsor shall promptly provide University with such information or documents of whatever form or nature, or undertake such actions, as University may reasonably require in order to conduct the Project.
Conduct of Project. ECHO Activities at ABC. Subject to the terms and conditions of this Agreement, UNMHSC grants to ABC the nonexclusive right to conduct Project ECHO Activities at ABC, provided that the ECHO name be used as part of or integrated into the name of any and all projects resulting from this collaboration or modeled after Project ECHO or the ECHO Institute™. The name or title of the project will be determined by the organizational name used in this customized Intellectual Property Terms of Use Agreement.
Conduct of Project. (a) Emory Principal Investigator, on behalf of Emory, shall use reasonable efforts to conduct the Project in a professional manner. Emory Principal Investigator shall also use good faith efforts to conduct the Project in accordance with the terms of this Agreement and all applicable U.S. government laws, rules and regulations.
(b) Subject to sections 2.1 and 2.2 (a) above, Sponsor acknowledges that Emory shall have the freedom to conduct and supervise the Project in a manner consistent with Emory’s educational and research missions.
Conduct of Project. (a) Each Project Obligor must construct, develop, equip, operate and maintain the Project:
(1) in accordance with Forecast Documents, generally applicable good mining practice and any Material Authorisations; and
(2) in a manner which will ensure production and delivery of Product in sufficient quantities to satisfy its obligations under the Relevant Documents.
(b) Each Project Obligor must ensure that it:
(1) has good title to its interest in each Project Tenement and Cypress Project Tenement;
(2) is otherwise entitled to acquire, have issued to it or to enter into any Project Tenement and Cypress Project Tenement not presently held by it, in each case free of Encumbrances other than Permitted Encumbrances;
(3) is in compliance with all provisions of its obligations, conditions and restrictions under the Project Tenements and Cypress Project Tenements in all material respects;
(4) has rights of access to, and entry on, all relevant freehold and leasehold land and rights to carry out all activities required for the purposes of that Project on that freehold or leasehold land;
(c) Each Project Obligor must promptly grant security in favour of the Security Trustee over any Project Owned Property and Cypress Owned Property acquired, and any Project Tenements granted or issued to it or entered into by it in respect of the Project on or after the date of this agreement (subject to it first obtaining any required third party consents in respect of the grant of such security in accordance with clause 8.26).
(d) Each Obligor must promptly grant security in favour of the Security Trustee over any Cypress Project Tenements granted or issued to it or entered into by it in respect of the Cypress Coal Mine or the Cypress Project Area on or after the date of this agreement (subject to it first obtaining any required third party consents in respect of the grant of such security in accordance with clause 8.26).
(e) Each Project Obligor must ensure that it complies with all of its undertakings set out in Schedule 13 that it is required to conduct, or in connection with, the Completion Tests.
(f) The Obligors must ensure that at all times prior to Completion, the Available Funding is greater than the Cost to Complete. If the Agent, in conjunction with the Lenders’ Technical Expert, determines (acting reasonably) that there is or will be a shortfall in Available Funding to satisfy the Cost to Complete, the Agent will request the Borrower to deliver, and the Borrower must deli...
Conduct of Project. 7.1 The Applicant must carry out the Project in accordance with this Agreement.
7.2 The Recipient is solely responsible for ensuring that any works and Approved Activities undertaken on the Project are completed to a satisfactory standard and comply with any relevant legislation.
Conduct of Project a. The Ultimate Recipient shall carry out the Project promptly, diligently and in a professional manner and in accordance with the terms and conditions of this Agreement.
b. The Ultimate Recipient shall reach the Project Completion by September 30, 2023, unless terminated earlier pursuant to the provisions of this Agreement.
c. The Ultimate Recipient shall comply with all applicable federal, provincial and municipal laws in relation to the Project.
Conduct of Project. A Transaction Party must not, without the written consent of the Agent, change the scope of a Project from that assumed in or contemplated in the Corporate and Project Budget, and it must ensure that:
(a) each Project is diligently developed and maintained in accordance with the Corporate and Project Budget, Good Industry Practice and Authorizations; and
(b) the Project Assets are maintained in good condition.
Conduct of Project. (a) Subject to this clause, unless otherwise agreed, Council must achieve Project Commencement within 12 months of the date of this Agreement.
(b) If Council is unable to achieve Project Commencement within 12 months of the date of this Agreement, Council must, at least five (5) Business Days before the expiry of that period, notify the LCLI Administrator of that fact and provide documentation to:
(i) demonstrate due cause for the delay;
(ii) provide evidence that Council is taking specific measures to remedy the delay and details of such measures; and
(iii) submit an amended detailed project delivery schedule to the satisfaction of the LCLI Administrator.
(c) Any agreed extension by the LCLI Administrator of the period to achieve Project Commencement will be for a maximum further period of 6 months.
(d) In no case will a Council be permitted to delay Project Commencement for longer than 18 months after the date of this Agreement.
(e) Unless otherwise agreed, Council must carry out the Project substantially in accordance with the Guidelines, its Application and the projected Project Delivery Schedule described therein.
(f) Council must promptly advise the LCLI Administrator of any significant change (including any delay that exceeds three (3) months) in the projected Project delivery schedule as supplied with its Application.
Conduct of Project. The Borrower shall ensure that the Marigold Project is diligently operated and maintained in accordance with (a) the applicable Life of Mine Plan, (b) Good Industry Practice, and (c) in all material respects, applicable Law.
