CONTRACTOR STAFF REPLACEMENT. ‌ 1. Contractor shall ensure the continuity of its staff members assigned to a Project with an Authorized User. a. It is recognized that circumstances may arise that necessitate the replacement of a Contractor staff member during a Project for reasons beyond the control of the Contractor (e.g., staff member leaving Contractor’s employ, sickness, or other similar material change in employment circumstances which renders the staff member unavailable. Note: Reassignment of Contractor staff to work on the Project of another entity or another Authorized User is an example of a break in continuity which is not for reasons beyond the control of the Contractor). Where replacement is required for reasons beyond the control of the Contractor, Contractor shall give Authorized User written notice within one business day from the date Contractor becomes aware that a replacement will be needed. b. In the event replacement of a Contractor staff member is required for reasons which are not beyond Contractor’s control, Contractor will give the Authorized User at least 30 calendar days written notification of the reasons for the replacement. c. The Authorized User shall have the right, in its reasonable discretion, to request the replacement of a Contractor staff member at any time. d. Whenever replacement of a Contractor staff member is necessary as contemplated in (a), (b) and (c) above, Contractor shall propose a replacement staff member to the Authorized User within 14 calendar days after Contractor notification or the Authorized User request for replacement. The qualifications of replacement staff members proposed by Contractor shall meet or exceed the qualifications of the staff member being replaced. 2. The Authorized User shall have the right to approve or disapprove any proposed replacement candidate. Such approval shall not be unreasonably withheld. Any approval or disapproval shall be made and communicated to Contractor within 14 calendar days. Any such approval or disapproval shall be documented by both NYSTEC and the Authorized User. 3. Contractor agrees that where notice of approval or disapproval is given by the Authorized User within 14 calendar days, replacement of staff shall not be grounds for an extension of deliverable due dates, an increase to cost to the project, nor an increase in the hourly rate of the proposed replacement staff member over the staff member being replaced. 4. CONTRACTOR STAFF REPLACEMENT. Within thirty (30) calendar days, the Contractor shall submit the following items to the SCO Contract Manager or representative: 1. The proposed staff’s resume that meets the qualifications identified in this agreement and in the TDDC MSA Classification for the replaced staff. 2. Exhibit F: Personnel Change Request Form. 3. Attachment 15: Staff Mandatory and Desirable Scored Qualification Form. 4. Attachment 16: Staff Reference Form for each listed experience. 5. Attachment 10: TDDC MSA Classification Qualifications, including any required certifications or degrees. 6. The proposed staff’s home physical address, work email and direct phone number. This information is needed for the State to send background check instructions and schedule the Live Scan background checks. 7. Domain email address (i.e., @XxxxxxxxxxXxxx.xxx). SCO requires domain email addresses to provide SharePoint user access. 8. SCO reserves the right to request a statement from the Key Staff who is being replaced to confirm the reason for replacement. 9. The SCO reserves the right to reduce the hourly rate of the new staff which shall be dependent, in part, upon the experience and individual skills of the proposed replacement staff. The replacement staff’s hourly rate shall not exceed the hourly rate for that position as set forth in the Agreement but may be lower. 10. Replacement Contractor staff must be the same TDDC MSA classifications identified in this agreement. 11. For replacement of Key Staff, Contractor must ensure that at all times Staff Mandatory Qualifications are being fully met. 12. SCO shall have the ability to interview the proposed staff prior to approval or rejection of the proposed staff change. 13. If SCO rejects the proposed staff, the Contractor shall provide the State with another viable staff within thirty (30) calendar days or a mutually agreed upon date. 14. If a qualified staff is not identified within thirty (30) calendar days of rejection, the Contractor shall be in material breach of the Agreement unless the Contractor submits a written request for an extension and SCO provides written approval before the deadline. 15. If the proposed staff is acceptable to the State, the State representative shall sign the Exhibit F: Personnel Change Request Form and submit it to the Contractor representative for signature. 16.   • Contractor Staff All employees of the Contractor, or of its subcontractors, who perform Project Based IT Consulting Services under the resulting Authorized User Agreement, shall possess the necessary qualifications, training, licenses, and permits as may be required within the jurisdiction where the services specified are to be provided or performed, and shall be legally entitled to work in such jurisdiction. All persons, corporations, or other legal entities that perform Services under the Contract on behalf of Contractor shall, in performing the Services, comply with all applicable Federal, State, and local laws concerning employment in the United States. The following requirements shall apply in addition to the requirements of Appendix B, section 42, Employees, Subcontractors and Agents, unless otherwise agreed to by the Authorized User:

  • Replacement of Key Personnel The Engineer must notify the State in writing as soon as possible, but no later than three business days after a project manager or other key personnel is removed from association with this contract, giving the reason for removal.

  • State Approval of Replacement Personnel The Engineer may not replace the project manager or key personnel without prior consent of the State. The State must be satisfied that the new project manager or other key personnel is qualified to provide the authorized services. If the State determines that the new project manager or key personnel is not acceptable, the Engineer may not use that person in that capacity and shall replace him or her with one satisfactory to the State within forty-five (45) days.

  • Contractor Key Personnel ‌ The Contractor shall assign a Corporate OASIS SB Program Manager (COPM) and Corporate OASIS SB Contract Manager (COCM) as Contractor Key Personnel to represent the Contractor as primary points-of-contact to resolve issues, perform administrative duties, and other functions that may arise relating to OASIS SB and task orders solicited and awarded under OASIS SB. Additional Key Personnel requirements may be designated by the OCO at the task order level. There is no minimum qualification requirements established for Contractor Key Personnel. Additionally, Contractor Key Personnel do not have to be full-time positions; however, the Contractor Key Personnel are expected to be fully proficient in the performance of their duties. The Contractor shall ensure that the OASIS SB CO has current point-of-contact information for both the COPM and COCM. In the event of a change to Contractor Key Personnel, the Contractor shall notify the OASIS SB CO and provide all Point of Contact information for the new Key Personnel within 5 calendar days of the change. All costs associated with Contractor Key Personnel duties shall be handled in accordance with the Contractor’s standard accounting practices; however, no costs for Contractor Key Personnel may be billed to the OASIS Program Office. Failure of Contractor Key Personnel to effectively and efficiently perform their duties will be construed as conduct detrimental to contract performance and may result in activation of Dormant Status and/or Off-Ramping (See Sections H.16. and H.17.).

  • The Contractor must 16.1.1. treat all Authority Protected Information as confidential and safeguard it accordingly, implementing appropriate technical and organisational measures to protect Authority Protected Information against disclosure; 16.1.2. only use the Authority Protected Information for the purposes of performing its obligations under the Framework Agreement; 16.1.3. only disclose the Authority Protected Information to such Contractor Representatives that are directly involved in the performance of the Framework Agreement and need to know the information; and 16.1.4. not disclose any Authority Protected Information without the prior written consent of the Authority.

  • Contractor Services Emerald has contracted, on an exclusive basis, with official contractors to provide certain services for the Event. Service companies other than the official contractors will not be allowed to perform any of these exclusive services. Non-exclusive services may be performed by exhibitor-appointed contractors (“EACs”) within certain guidelines. Please refer to the Exhibitor Service Manual for a listing of exclusive services and EAC guidelines.

  • Selection of Subcontractors, Procurement of Materials and Leasing of Equipment The contractor shall not discriminate on the grounds of race, color, religion, sex, national origin, age or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall take all necessary and reasonable steps to ensure nondiscrimination in the administration of this contract. a. The contractor shall notify all potential subcontractors and suppliers and lessors of their EEO obligations under this contract. b. The contractor will use good faith efforts to ensure subcontractor compliance with their EEO obligations.

  • Subcontractor Compliance The Recipient is responsible for Subrecipient compliance with the requirements of this clause and may be held liable for unpaid wages due Subrecipient workers.

  • Contractor Project Manager The Contractor Project Manager shall serve, from the Effective Date, as the Contractor project manager and primary Contractor representative under this Agreement. The Contractor Project Manager shall (i) have overall responsibility for managing and coordinating the performance of Contractor’s obligations under this Agreement, including the performance of all Subcontractors; and (ii) be authorized to act for and bind Contractor and Subcontractors in connection with all aspects of this Agreement. The Contractor Project Manager shall respond promptly and fully to all inquiries from the JBE Project Manager.
